. RESOLUTION OF THE SOUTH BEND REDE VELOPMENT COMMISSION
APPROVING AND AUTHORIZING THE EXECUTION OF
AN ADDENDUM TO THE MASTER AGENCY AGREEMENT
(South Bend Animal Shelter Project)
WHEREAS, effective January 1, 2010, the South Bend Department of
Redevelopment, acting by and through its Redevelopment Commission (the
"Commissionj?) and the South Bend Board of Public Works (the "BPW ") entered into a
Master Agency Agreement which authorized the BPW to act as agent for and on behalf
of the Commission for certain projects during 2010; and
WHEREAS, pursuant to the Master Agency Agreement, the Commission desires
to add the South Bend Animal Shelter Project to the Master Agency Agreement by way
of this Addendum.
• NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment
Commission as follows:
Section 1. The Commission hereby approves the Addendum to Master
Agency Agreement (South Bend Animal Shelter Project) and hereby authorizes its
execution in substantially the form attached hereto with such changes as the Commission
may deem necessary or appropriate upon the advice of counsel, said execution thereof to
be conclusive evidence of the Commission =s approval of such changes. The Clerk is
hereby directed to file a copy of the Addendum with the BPW.
Section 2. This Resolution shall be in full force and effect after its adoption
by the Commission.

ADDENDUM TO
MASTER AGENCY AGREEMENT
(South Bend Animal Shelter Project)
This Addendum to Master Agency Agreement (this "Addendum "), made and
entered into as of the 22nd day of February, 2010, by and between the South Bend
Department of Redevelopment, acting by and through its Redevelopment Commission
(the "Commission ") and the City of South Bend, Indiana, a municipal corporation duly
organized and existing pursuant to the laws of the State of Indiana, acting by and through
its Board of Public Works (the "BPW ") for purposes of the Commission designating the
BPW to act as the Commission's agent to undertake the South Bend Animal Shelter
Project (the "Project ").
WHEREAS, effective January 1, 2010, the Commission and the BPW entered
into a Master Agency Agreement which authorized the BPW to act as agent for and on
ibehalf of the Commission for certain projects during 2010; and
WHEREAS, pursuant to the Master Agency Agreement, the Commission desires
to add the South Bend Animal Shelter Project to the Master Agency Agreement by way
of this Addendum.
NOW, THEREFORE, in consideration of the mutual covenants and promises
contained herein, and for other good and valuable consideration, the receipt of which is
hereby acknowledged, the BPW and the Commission agree as follows:
1. The Commission hereby empowers and appoints the BPW, pursuant to the
Master Agency Agreement, to act as the Commission's agent for the limited purpose of
contracting for and managing the completion of the Project, the scope of said Project
being more specifically described in "Exhibit A ", attached hereto and made a part hereof.
2. All of the terms and conditions of the Master Agency Agreement shall
0, control this appointment and this Addendum shall be attached to the Master Agency

Agreement.
IN WITNESS WHEREOF, the undersigned execute this Addendum to Master
Agency Agreement to be effective as of the date first written above.

South Bend Animal Shelter Project
Project: South Bend Animal Shelter Project
Project Description: Remodeling of the building located at 521 Eclipse Place to
become the new state of the art animal shelter for South Bend Animal Care and
Control. The remodeling will be done according to design and specifications
done by Grinsfelder Associates Architects of Ft. Wayne, Indiana, complementing
the surrounding park land (Kennedy Park).
Scope of Work: The Board of Public Works, acting on behalf of the
Redevelopment Commission per the proposed Agency Agreement, will adapt the
Grinsfelder design, bid the project per applicable statutes, award the project, and
monitor construction activities. The Board of Public Works will consult with the
South Bend Park Board, as owner, and Catherine Toppel (Director of Code
Enforcement), as operator of the new facility and Dave Relos (representative of
the Redevelopment Commission) for approval of bidding specifications and
change orders.
Budget: Project is not to exceed $1,500,000.00 in cost.
Source of Funds: Airport Economic Development Area Tax Increment Finance
District.
Timeline: Completion Date of the Project will be contingent upon various
approvals from area agencies.

Legal Description:
A parcel of land located in the West one half of the Southwest Quarter of Section 3,
Township 37 North, Range 2 East, Portage Township, City of South Bend, St. Joseph
County, Indiana and being a part of Kennedy Park and is more particularly described as
follows:
Beginning at the North right of way line of Bendix Drive and the East right of way line of
Goodland Avenue; thence North 360 feet, more or less, to a line of utility poles; thence
East along said pole line a distance of 245 feet, more or less, to a fence; thence South
along said fence line a distance of 175 feet to a point where the fence turns East;
thence East along said fence line a distance of 230 feet, more or less to a City sidewalk;
thence South along said sidewalk and another fence line a distance of 163 feet, more or
less to the North right of way line of Bendix Drive; thence West along said North right of
way line a distance of 450 feet to the place of beginning. Containing 2.776 acres, more
or less subject to all legal highways and easements of records.
