Attached to this memorandum is Resolution 2877 and Addendum To Master Agency Agreement for
the ZCI Demolition Inspection Services. Attached to the Addendum is a copy of the professional
services proposal from Wightman Petrie to provide oversight and inspection services during the
demolition of the former Ziolkowski Construction properties on Lafayette in the Ignition Park area.
Wightman Petrie is already under contract to provide similar services during the demolition of the
AirGas property across Lafayette from the ZCI site..
Staff requests approval of Resolution 2877 and the Addendum To Master Agency Agreement for the
ZCI Demolition Inspection Services.

RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION
APPROVING AND AUTHORIZING THE EXECUTION OF
AN ADDENDUM TO THE MASTER AGENCY AGREEMENT
(ZCI Demolition Inspection Services)

WHEREAS, effective January 1, 2011, the South Bend Department of
Redevelopment, acting by and through its Redevelopment Commission (the
"Commission ") and the South Bend Board of Public Works (the "BPW ") entered into a
Master Agency Agreement which authorized the BPW to act as agent for and on behalf
of the Commission for certain projects during 2011; and
WHEREAS, pursuant to the Master Agency Agreement, the Commission desires
to add the ZCI Demolition Inspection Services to the Master Agency Agreement by way
of this Addendum.
NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment
Commission as follows:
Section 1. The Commission hereby approves the Addendum to Master
Agency Agreement (ZCI Demolition Inspection Services) and hereby authorizes its
execution in substantially the form attached hereto with such changes as the Commission
may deem necessary or appropriate upon the advice of counsel, said execution thereof to
be conclusive evidence of the Commission's approval of such changes. The Clerk is
hereby directed to file a copy of the Addendum with the BPW.
Section 2. This Resolution shall be in full force and effect after its adoption
by the Commission.
Section 3. Commission staff members are authorized to execute on behalf of
the Commission any documents necessary to carry out the intent of this resolution.

May 24, 2011, at 4:00 p.m., in Room 1308, County -City Building, South Bend, Indiana
46601.

ADDENDUM TO
MASTER AGENCY AGREEMENT
(ZCI Demolition Inspection Services)

This Addendum to Master Agency Agreement (this "Addendum "), made and
entered into as of the 13th day of June, 2011, by and between the South Bend Department
of Redevelopment, acting by and through its Redevelopment Commission (the
"Commission ") and the City of South Bend, Indiana, a municipal corporation duly
organized and existing pursuant to the laws of the State of Indiana, acting by and through
its Board of Public Works (the "BPW ") for purposes of the Commission designating the
BPW to act as the Commission's agent to undertake the Main - Lafayette Connector
Design Project (the "Project ")
WHEREAS, effective January 1, 2011, the Commission and the BPW entered
into a Master Agency Agreement which authorized the BPW to act as agent for and on
behalf of the Commission for certain projects during 2011; and
WHEREAS, pursuant to the Master Agency Agreement, the Commission desires
to add the ZCI Demolition Inspection Services to the Master Agency Agreement by way
of this Addendum.
NOW, THEREFORE, in consideration of the mutual covenants and promises
contained herein, and for other good and valuable consideration, the receipt of which is
hereby acknowledged, the BPW and the Commission agree as follows:
1. The Commission hereby empowers and appoints the BPW, pursuant to the
Master Agency Agreement, to act as the Commission's agent for the limited purpose of
contracting for and managing the completion of the Project, the scope of said Project
being more specifically described in "Exhibit A ", attached hereto and made a part hereof.
2. All of the terms and conditions of the Master Agency Agreement shall
control this appointment and this Addendum shall be attached to the Master Agency
Agreement.
3. Commission staff members are authorized to execute on behalf of the
Commission any documents necessary to carry out the intent of this resolution.
IN WITNESS WHEREOF, the undersigned execute this Addendum to Master
Agency Agreement to be effective as of the date first written above.

Thank you for the opportunity to provide a proposal for professional services related to the
above project located at 1005/1015 S. Lafayette Boulevard (parcels #18- 8002 -0061, #18 -8002-
0070, #18- 8002 -0071, #18- 8002 -0073, #18- 8002 -0074, #18- 8002 -0075, #18- 8002 -0076, #18-
8002 -0077, #18- 8002 -0079, #18- 8002 -0100, #18- 8002 -0101, #18- 8002 -0102 & #18 -8002-
0104).
Wightman Petrie has developed the following scope of work based upon information provided
by you and similar projects we have recently completed for the City of South Bend. We feel
strongly that the environmental and engineering requirements for the project are in line with
some of the strongest areas of expertise that our firm has to offer. We acknowledge a complete
understanding of the project requirements outlined and propose the following fees in order to
complete the work.
Services for this work will include the following tasks with associated fees

DEMOLITION INSPECTION AND CONSTRUCTION ENGINEERING SERVICES
Wightman Petrie will provide one part time on -site Project Inspector whose duties will include
demolition inspection (4 hours per day), writing daily reports, tracking all pay item quantities for
verification purposes, making field determinations on workmanship of various items within the
project, and acting as a liaison and first point of contact for the General Contractor's
representative, affected property and business owners, City officials, the Design Engineer, and
all other interested parties to the project.
In addition, Wightman Petrie's Design Engineer will provide overview of the project, reviewing
and approving the inspector's weekly reports to the City, visiting the construction site during key
activities, assisting the inspector in quality control review, issuing work directives, helping find
solutions or answers to questions or problems that may occur during construction, and issuing
the certificate of substantial completion and assisting with the closure documentation.
The following estimates are provided based on a 30- calendar day sequence:
PART TIME INSPECTOR:
30 -day project (assumes 21 work days or 84 hours @ $65 /hr). $5,460.00
DESIGN ENGINEER:
45 -day project (assumes 33 work days or 35 hours @ $110 /hr). $3,850.00
Estimated Total $9,310.00
TOTAL PROJECT SERVICES
Wightman Petrie will provide the services discussed above for a not -to- exceed fee of:
$9,310.00.
Be assured that all of the above will be delivered in a continuously timely manner with the
timetable of the project held foremost. As you may know, Wightman Petrie guarantees the best
possible product provided in the most efficient manner and accordingly will strive to reduce
costs wherever possible. Wightman Petrie will only bill for hours worked and will detail all
services provided as the project progresses.
