Ladies and Gentlemen,
Visual Labs, Inc. prepared a response to the Request for Proposal regarding the South Bend
Police Department (SBPD) Body Camera/l,n-Car Video Project. The response was delivered to
the U. S. Postal Service on September 1, 2017 with an expected delivery date of September 5,
2017. However, based on USPS tracking, the package has been delayed (see attached).
Accordingly, we are re -submitting a copy of the response to the RFP. We have also enclosed a
duplicate check (#1123) in the amount of $5,000 as the bid bond. A check (#1121) for $,5,0010
was included in the original package.
It is likely that you will receive the original response delivered by LISPS very soon, potentially
even before the due date. However, in an abundance of caution, we are resending a duplicate

Visual Labs, Inc. is pleased to respond to the Request for Proposal regarding the South Bend
Police Department (SBPD) Body Camera/In-Car Video Project. As you will see in this response
to the RFP, the Visual Labs solution is unique in that it does not rely on proprietary vendor
hardware. The solution uses a fully -functioning, off -the -shelf smartphone -- a "smart device" --
as the video/audio recording device. The choice of hardware is at the discretion of the agency.
By using a connected device, the solution provides significant enhancements to officer safety,
such as the ability to view a livestrearn video from an officer's camera, and even remotely
Initiate that livestrearn if needed.
As a point of emphasis, the livestrearning capability and other officer safety features are
available wherever sufficient cellular data connectivity exists. In other words, these features
are NOT dependent on an officer being physically nearby a separate hardware device, for
example, a router in a vehicle. Accordingly, the features of the Visual Labs body camera system
are available to officers on foot or bicycle patrol, and when an officer is away from a vehicle,
such as in a foot pursuit. This is not the case with certain other systems on the market.
We understand that the SBPD has been field testing body cameras and in -car camera systems
for quite some time. You may know that we were not part of that field testing program,
possibly because SBPD was not aware that our, solution existed. As you will see by our response
to the RFP, we meet virtually every single requirement set forth. Further, we believe we will
be the most cost-effective solution, one that officers will find to be the easiest to use, and a
solution that can be, deployed extremely quickly and efficiently.
Upon review of the RFP, it appears that It was written with one specific vendor in mind.,
Nonetheless, we are undertaking the effort to respond to the RFP in the hopes that SBPD will
act in good faith and fairly evaluate all responses, and that it has not pre -selected a preferred
vendor from the field testing program.

The body camera system is an "all -in -one" solution where the only device needed is the
smartphone -- that is, there is not a requirement for any external hardware or equipment (e.g.
router, docking station, wiring, installation). Further, in addition to use as a body camera, the
solution provides functionality as a digital camera, an audio recorder, a personnel locator and a
smartphone -- capable of making telephone calls, sending text messages, etc, from anywhere
with cellular coverage. To our knowledge, there is not any other body camera solution on the
market today that can provide all this functionality using a single hardware device.
One of many attributes that sets the Visual Labs solution apart from its competitors is the
speed of implementation. Because a smartphone is the only device needed, Visual Labs can
fully implement its body camera solution in around 30 days, as has been done with multiple
agencies of over 100 officers. In fact, the body camera solution was implemented in less than
one day with an agency that already had sm,artphones. our references will verify the ease and
speed of implementation.
Another key point to the Visual Labs solution is the use of non-proprietary hardware. With our
solution, SBPD could use any off -the -shelf Android smartphone (at least version 5,0). Further,
cellular providers will generally provide government customers with free smartphones and will
also provide free hardware upgrades every year or so. This insures that SBPD will always be
able to obtain the latest hardware technology with body camera devices always under
warranty.
We encourage SBPD to contact the City of Fontana, California Police Department, an agency
with 200 sworn officers. After years of research and a public RFP process, the Visual Labs
solution was chosen above seven other well-known competitors. We think Fontana Police Chief
Robert Ramsey said it best about our system, "This is top -of -the -line technology."
A check in the amount of $5,000 is enclosed in lieu of a bid bond.
This proposal shall remain firm and open for a period of ninety (90) days from the date of
opening. We acknowledge that SBPD reserves the right to further negotiate after proposals are
opened with any potential consultants if deemed necessary.

Response to Request for Proposal - SBPD Body Camera/In-Car Video Project
General Notes:
As discussed below, the Visual Labs solution uses an Android smartphone as the body worn
camera recording device. This provides the agency with many options for hardware devices, all
of which are off -the -shelf and non-proprietary. The exact model(s) of smartphone used can be
selected by the agency. Accordingly, there, is not a unique specification sheet for the hardware
deployed with the Visual Labs solution. Many of the answers provided below relate to the
Kyocera Dura,Force PRO, a ruggedized smartphone that is very popular with Visual Labs clients.
A specification sheet for that device is attached. If a different model of smartphone was
chosen, some of the responses might be slightly different.
With respect to the in -car video system, a second smartphone recording device would be
mounted in a patrol vehicle, to serve as an in -car video system. At SBPID's option, the device
could be connected to an LTE cellular network (see cost proposal in -car option two). The Visual
Labs in -car video solution is very robust and cost-effective. However, we have noted that many
cities, including Oakland, CA, Orlando, FL and Tulsa, OK, have recently eliminated their In -car
video system due to officer safety, budgetary and/or usefulness concerns. Accordingly, we
have provided separate pricing for the body camera solution, as well as two options for the in -
car video solution so that SBPD can consider various alternatives.
The following information is provided with respect to the requirements set forth in the RFP.
A. Requirements -Meeting Specifications
1. With the Visual Labs solution, there is no need for an officer to return to the station to
manually offload video. All body camera footage can be automatically offloaded (uploaded)
from the field without any intervention from the officer. The recording device can be, but does
not need to be, within the "bubble" of the in -vehicle WIFI hotspot for the upload to occur.
Further, because footage can be uploaded without the need to connect to an external
hardware device, the automatic upload feature can also be easily used by officers on
motorcycle, bicycle or foot patrol, or otherwise when not near a patrol vehicle, such as
immediately after a foot pursuit.
2. All video (body or in -car) can be offloaded directly to a SBPD-approved access point via
a secure wireless connection and without the need for a hard -wired connection, physical
docking of the camera, separate storage device, or USB drive.

3. Once a body camera video is ended, it is always uploaded immediately and
automatically over a cellular network (assuming connectivity), even when an officer is not near
a vehicle or router. This occurs without any intervention by the officer and allows immediate
review and access by authorized parties within SBPD.
4. All software updates are installed wirelessly. Initial configuration settings are set
automatically and globally. Settings can also be changed on each individual device based on
department policy and/or officer preference.
5. The cost proposal includes an allowance for a mounting solution, such as a holster.
However, many mounting solutions are available, some of which do not require any uniform
modification, When uniform modifications are required for a specific mounting solution, the
cost is generally nominal (i.e. approx. $10). A separate battery unit is not required. Under
normal use, the body camera's battery will last at least 12 hours. Power to the in -car camera
will be supplied by the vehicle's battery.
6. Activation of the body camera is achieved by a simple press of a button on the device.
Visual Labs does not recommend the use Bluetooth activation due to the potential for failure of
continuous "pairing" which is inherent in any Bluetooth device. However, Bluetooth activation
is an option with the Visual Labs system.
7. The Visual Labs body camera system provides for the direct user input of notes, video
classifications, and other metadata for both videos and still photographs without requiring
pairing to a separate device.
8. The cameras have an tP68 rating and meet the MIL-STD-81OG standard (see attached
specification sheet). Accordingly, they will remain operational after shock or rough treatment.
9. A provision relating to the non -disclosure of customer confidential information is
included in Visual Labs' standard subscription agreement (see Appendix).
B. Requirements - Design Innovation and Ergonomics
1. The body camera supports extended constant recording of approximately seven hours
before requiring a battery recharge.
2. The body cameras are non-proprietary, fully -functioning smartphones and can be
charged in the vehicle, via a standard 110-volt ac outlet, or via a wireless charging station.
3. Audio prompts are available to notify an officer when the camera recording has
started. Tactile and visual prompts are also available to notify an officer that a recording is
ongoing. These prompts can be enabled or disabled at an officer's discretion.

4. The Visual Labs in -car solution provides a single camera that can be either front or rear
facing and can record in high -definition.
5. Both the in -car video system and the body camera system have built in GPS for
correlation of video to location through the evidence management software. Real-time
location tracking of the officer (positional awareness) is achieved through the GPS capabilities
of the body camera system, and with an LTE-connected in -car solution (see in -car option two in
the cost proposal).
6. The in -car video system will be set to a special always -on mode so that any vehicle
crash would be recorded.
7. Both the in -car video system and body camera system have pre -event record
capabilities.
8, Both the in -car video system and the body camera system have built-in 802.11 high-
speed WiFi capabilities for wireless offload of video.
9. Any videos taken with the Visual Labs system can be reviewed on a tablet or laptop
after upload. Note that the original video file cannot be edited so as to preserve the chain of
custody. BOLO alerts and other messages can be sent directly to the smartphone recording
device.
10. All video is encrypted at rest on the body camera and in -vehicle camera, in transit to
cloud storage, and while being maintained in cloud storage.
11. The evidence management software has comprehensive chain of custody audit trail
logging and reporting.
12. The Visual Labs solution includes a comprehensive video redaction capability that will
automatically redact and track all personally identifiable individuals in a video, and prepare that
video for sharing or export to another user.
13. The system provides an ability to simultaneously playback two or more (up to four)
selected videos from the body camera and In -car video sources associated with an incident.
14. The system stores all video, audio, and metaclata in a UIS-compliant secure cloud -
based storage location, and video, audio, and metadata are automatically uploaded to secure
CAS -compliant cloud storage wirelessly, without the use of peripheral docking or wired offload
devices.
NOTE: Visual Labs would use the Microsoft Azure Government Cloud as its storage solution
for SBPD. According to, the link below, the State of Indiana has a CJIS agreement in place with
Microsoft. Other cloud storage providers may not have such an agreement in place, and as a

result, vendors using such other systems may not meet the CJIS standards required by the State
of Indiana.

15. The evidence management software has an interactive, map -based interface where the
location, of video evidence is correlated to videos taken with both the body camera and in -car
cameras systems.
16. The evidence management software supports video and audio evidence review,
classification, and dissemination from both body cameras and in -car cameras.
17. The evidence management software supports an unlimited number of users.
C. Warranty and Maintenance Service
1. The Visual Labs software comes with a warranty against any defects in materials or
workmanship on all software components for the duration of any contract. The smartphone
recording devices have a two-year warranty against any defects in materials or workmanship.
With respect to the body cameras and in -car cameras under option two of the cost proposal,
new devices will generally be provided free of charge approximately every 12 months by the
cellular provider. Therefore, the body cameras will always be under warranty. An extended
warranty for the in -car devices under option one in the cost proposal is available for $20 per
device, per month.
2. Software updates will be provided as part of ongoing maintenance at no additional
cost.
3. All SBPD users will have access to a 24 hour/7 day per week help desk service phone
number for technical support during and after normal business hours. Technical support is also
provided via email.
4. Visual Labs will provide unlimited routine technical support during normal business
hours.
5. Visual Labs will provide 24 hour/7 day per week emergency technical support for any
system outage,. Due to the nature of the Visual Labs solution, virtually all technical support
issues can be resolved remotely. However, if onsite support is required to resolve a defect in
the Visual Labs system, such support will be provided at no charge.
6. Visual Labs will provide testimony (expert or otherwise) regarding the system and/or
captured video at hearings, trials, and other legal or administrative proceedings, when
requested by the department. The charge for such services, if any, is set forth in the cost
proposal.

D. Training
General Comment:
Training and implementation of the Visual Labs system is extremely simple and straightforward.
The device used for recording is a fully -functioning, non-pror)rietary smartphone, just like most
individuals use every day. In designing the system, Visual Labs focused on being user friendly in
lieu of having "flashy" components.
Even though the system has many advanced, high technology features, implementation and
training, from start to finish, can be accomplished in a very short time. Recently, the Visual
Labs system was implemented with the police department in Fontana, California, an agency
with 200 sworn officers. The time period from the first day of training to full implementation
was less than 30 days. A similar result was achieved with the Washington County, Minnesota
Sheriff's Office, an agency of similar size. We encourage you to contact both agencies and
specifically ask about the speed of deployment and our responsiveness. Contacts for both
agencies are shown below. Many other references can be provided upon request.

With respect to training, Visual Labs would plan for a two,- to four -clay training program similar
to that offered to clients of similar size. Additional training would be provided as appropriate.
On day one, one or more train -the -trainer sessions would be followed by direct training to
groups of officers and/or "power users" -- specialized staff such as IT or records management.
Direct in -field training via one or more ride-alongs and tabletop exercises for officer safety
features (e.g. live streaming) may also be appropriate. Website training sessions would allow
administrators, records personnel and others to view the previous day's footage and perform
analytics via heatmaps, geofenice reports, dashboards, etc. Visual Labs will provide the
necessary training during off -hours (nights, weekends) to ensure that all staff are appropriately
trained. In general, group training sessions are led by two Visual Labs staff members and each
session can be completed in approximately two hours.

Visual Labs regularly follows up with its clients, especially during the first few weeks after
implementation. Follow up, training would likely be via remote sessions (telephone and/or
WebEx). As new features are added, a detailed explanation of the features and their use is
typically provided by email, along with screenshots as appropriate.
1. As outlined above, Visual Labs will provide onsite training to all officers assigned a
camera and administrator training for all body cam,era/in-car camera administrative personnel.
2. Visual Labs will provide onsite "train -the -trainer," training to SBPD at no additional cost
at least twice per year for the duration of the contract.
D. Installation
1. Physical 'Installation of the in -car mounting will be done by a certified installer.
2. The location of the in -car cameras shall be at the discretion of SBPD.
E. PaiymentTerms
1. A five-year agreement, including the "Cancellation of the Contract" provisions outlined
in the RFP, is acceptable to Visual Labs, Any reasonable payment terms, including a pay-as-you-
go monthly schedule, will be acceptable, Visual Labs would agree to a fixed price for its services
for any non -cancellable term. To the extent the contract was cancellable at SBPD's option,
Visual Labs would agree to a fixed price, subject to an Inflation (CPI) adjustment every twelve
months.
2. Payment can be broken up based on deliverables.
3. Payments terms of 35 days is acceptable to Visual Labs.
F. Replacement Parts
The only "part" of the Visual Labs solution is a non-proprietary, off -the -shelf smartphone, See
comments in Section C. 1. above and also the cost proposal.
The Visual Labs body camera solution relies on a single piece of hardware -- a smartphone.
That is, there are no routers, special uniforms, docking stations, storage appliances, etc. needed
by the agency. Not only does this result in simple operations, it also results in a very simple
pricing structure. The agency would acquire the requisite number of Android smartphones
from its preferred cellular carrier and activate those devices. One or more mounting solutions
would be determined to secure the smartphone to the officer's uniform. The Visual Labs
software application would be added to the smartphones and users would be granted access to
the ba:ckend video management website,. With respect to the in -car system, SBPD would have

the option of using an activated device or using the device in WiFi-only mode. Pricing for each
option is provided below.
The Visual Labs solution will work on any off -the -shelf Android smartphone running operating
system version 5.0 (Lollipop) or higher. The smartphone hardware is generally available from
cellular carriers for free.
With respect to a body camera mounting solution, we have assumed that the agency will
acquire a custom; -molded case with a rotating clip for each smartphone. The cost for each case
is approximately $30. As an alternative to using a case, a minor uniform modification could be
deployed. We estimate that the cost to modify several uniforms for each officer would also be
approximately $30. As a conservative measure, we assume a cost of $40 per officer.
Visual Labs can provide affidavits and expert testimony if required. Affidavits will be provided
at no charge unless outside legal counsel is required to be retained. Expert testimony given by
an in -person court or deposition appearance will be charged at $100 per hour, plus any
associated travel costs,

Visual Labs has developed a software system that combines the sensor data and functionality
of a smartphone with a robust website. The system is designed to expand and enhance the
quality of services delivered by police departments, sheriffs departments, college campus
safety staff, private security firms, and others. Features of the system include:

The Body Camera Paradigm Shift
Visual Labs takes a completely different approach to body worn cameras versus the many other
"camera -only" products on the market today, The Visual Labs body camera solution represents a
paradigm shift in the thinking toward body worn cameras. We believe the appropriate definition
of B,WC is not Body Worn Camera, but instead Body tit c,)rn Computer.
We believe, that there is no reason for any security agency to acquire a simple,
camera -only device when available technology provides the option for so much
more functionality, with the potential for significant cost savings.
The Visual Labs solution uses a fully-furu.-turning sinartphone as the recording device and
provides all the features that camera -only devices offer. The key advantage of the Visual Labs
system is that all the built-in functionality of the smairtphone (a small computer) is also
available. This includes the ability to obtain real-flune situational awareness via a live stream
video feed:, sent to a command center, which could be fixed or mobile, and could be located
anywhere in the world. Further, with appropriate authorization and control, a command center

critical in cases where communication with an officer cannot be established, whether due to radio
equipment failure or, in a worst -case scenario, due to the officer's inability to respond.
Another function of a smartphone that is inherent in the Visual Labs solution is the ability to
provide real-time positional awareness via GPS, which represents a significant enhancernent to
officer safety. A dispatch or command center can know the location of an officer, even when the
officer is away from a GPS enabled patrol car -- for example, in a foot pursuit All this
functionality is available without the need to pair the device with any additional hardware.
A Captain from a large, very well -respected police department wrote to us "... you haviia a [treat
product and I can tell you that the other day when one of our officers went into a foot pursuit

The following Questions and Answers are to be added to the contract documents:
South Bend RFP (SBPD Body Camera/ In Car Video Camera Project) Questions
1. RFP states that 15 pages is the limit. Does this include Cover, Table of Contents, Contractual
Documentation, required affidavits/certifications and documentation of enrollment and participation in
the E-Verify Program? The 15 page limit is for the actual proposal not including cover page, table of
contents, affidavits/ certifications.
2. 15 single sided pages or 15 double sided pages? 15 pages single sided.
3. Are we able to submit 2 proposals? Please submit no more then two (2) proposals for an integrated
system incorporating body cameras and in car cameras.
4. What is the required amount of the bid bond? $5,000
S. The RFP indicates proposals must include the City's Non -Collusion Affidavit, Non -Debarment Affidavit.
Employment Eligibility Verification and Non -Discrimination Commitment Form. The form provided in the
RFP also includes a Certification of Use of United States Steel Products. Is there a different form that the
City would like completed or should proposers strike through the language pertaining to steel since this
this is not a public works project? Please use this form.
6. How many officers need camera solution and data upload training? 200+/-
7. How many camera solution Administrators need training? 20 +/-
8. How many trainers will attend the two Train -the -Trainer sessions offered annually? 20+/-
9.5 yr agreement with simple payment plan and possible trade in credit. Would the trade-in credit be
for the existing in -car cameras? Yes

13. For quoting purposes, can the Board confirm a quantity of each of the cameras (body worn and In -
Car) requested? 170+/- of each.
14. How many originals and/or copies of vendor responses does the Board wish to receive? One (1)
Original.
15. Is the City Interested in a body mountable camera or point -of -view camera? As for the body camera,
a body mountable is preferred.
16. How many locations will be supporting the body camera and In -car cameras? One physical building
with several access points using load balancing.
17. Field tests of camera systems before or after RFP? The South Bend Police Department has been
field testing body camera systems and in car camera systems for the last 3 yrs.
18. Does the agency have an unlimited data plan with unlimited bandwidth per device, per month?
Unlimited but with certain restrictions.
19. Would the City like responses mailed or emailed? Original hard copy must be mailed and arrive no
later than 9:30 a.m., Local Time, on September 7, 2017, in the office of the Board of Public Works,
County City Building, 227 W. Jefferson Blvd., Ste.1316, South Bend, Indiana 46601.
20. What is the length of patrol shift and are cars assigned or fleet share? There are three (3) patrol
shifts of eight (8) hours each and cars are assigned to each individual officer.
21. Does each vehicle have a dedicated in car computer? Each officer is assigned a vehicle and laptop
which is docked in the vehicle.
22. Does each car have a wireless router? Each laptop has a built in wireless card.
23. What is the max number of vehicles that could potentially upload at one time? Twenty-four (24)
24. How many Wireless Access Points does SBPD currently have? Currently 5 external, adding more
though.
25. What CAD/RMS system is SBPD using? New World CAD, ADSI

The documents below describe the relationship between Visual labs, Inc. ("Visual Labs") and the Client identified below ("Client")
(each of Visual labs and Client, a "Party"). The documents attached to this cover page consists of the Master Terms and Conditions,
which describe the general legal terms governing the relationship, and one (1) or more orders, attachments, schedules, or addenda
setting forth additional details (collectively, the "Agreement"). This Agreement will become effective when this cover page is executed
by authorized representatives of both Parties (the "Effective gate").

Master Terms and Conditions
1. DEFINITION OFTi RMs
The following terms have the following meanings:
1.1. "Application" means Visual labs' proprietary smartphone software application,
1.2. "Authorized User" means any employees, agents or representatives of Client that are authorized to use the Services by receiving usernames
and passwords from Client (or from Visual Labs at Client's request), subject to any limitations or restrictions set forth in this Agreement.
1.3. "Client Content" means any Information, data, text, pictures, video, audio, geographic locations, or any other content provided or recorded
by Client or its Authorized Users in connection with Client's and its Authorized Users' use of the Platform.
1.4. "Confidential Information" means all confidential or proprietary information disclosed by one Parry to the other In connection with this
Agreement, unless it Is or later becomes publicly available through no fault of the other Party or It was or later Is rightfully obtained by the other
Party from Independent sources free from any duty of confidentiality. Confidential Information shall Include the terms and pricing in this Agreement,
but not the fact that this Agreement has been signed, the Identity of the Parties or the nature of the Services.
1.5, "Documentation" means Visual Labs' summary of system features as well as other documentation relating to the Services and Platform,
as may be provided by Visual labs to Client and as may be updated and amended from time to time.
1.6. "Feedback" means feedback, suggestions, improvements, and recommendations regarding the Services and Platform.
1.7. "Platform" means Visual Labs' Application, web -site platform, and technology infrastructure provided by Visual labs supporting the
Services that perform functions as described in the Documentation, Including but not limited to, facilitating live -streaming, recording, playback,
archiving and storage of Client Content, and data analysis of such Client Content.
1.& "Proprietary Items" means, collectively, the Services, Platform, and Documentation, the visual expressions, screen formats, Interfaces, and
other design features of the Services and Platform, all ideas, methods, algorithms, formulae and concepts used In developing and/or incorporated
Into the Services, Platform, or Documentation, all future modifications, revisions, updates, refinements, improvements and enhancements of the
Services, Platform, or Documentation, all derivative works based upon any of the foregoing, and all copies of all of the foregoing.
1.9. "Services" means the services that Visual Labs provides through the Platform in accordance with the Documentation and this Agreement.
1.10. "Subscription Term" means the duration of Client's right to receive, access, and use the Services and Platform.
2, SUBSCRIPTION RIGHTS AND OBLIGATIONS
2.1. Subscription Rights. Subject to the terms and conditions of this Agreement, during the Subscription Term, Visual Labs grants to Client and
its Authorized Users a non-exclusive, non -transferable license to (1) Install the Application on up to the maximum number of devices owned or
controlled by Client as set forth on Schedule A and (ii) use and access the Platform as required to use the Services solely In accordance with the
Documentation for Client's Internal business purposes In connection with Clients safety and security operations.
2.2. Visual Labs Obligations. Visual Labs shall host, operate, maintain, and support the Services and Platform. Visual Labs shall provide to Client
standard support for the Services and Platform at no additional charge. From time to time in accordance with Visual Labs' generally applicable
procedures, Visual labs may at its discretion make available and implement upgrades, enhancements, and error corrections to the Platform.
2.3. Usernames and Passwords. Visual Labs will provide each Authorized User a unique username and password to enable such Authorized
User to access the Platform and Service pursuant to this Agreement. Each username and password may only be used to access the Service and
Platform during one (1) concurrent login session. Client will ensure that each username and password issued to an Authorized User will be used only
by that Authorized User. Client is responsible for maintaining the confidentiality of all Authorized Users' usernames and passwords, and is solely
responsible for all activities that occur under these usernames. Client agrees: (a) not to allow a third party to use Client`s accounts, usernames or
passwords at anytime; and (b) to notify Visual Labs promptly of any actual or suspected unauthorized use of its account, usernames or passwords,
or any other breach or suspected breach of this Agreement. Visual Labs reserves the right to terminate any accounts, usernames, or passwords that
Visual Labs reasonably determines may have been used by an unauthorized third party. Authorized User accounts and their associated usernames
and passwords cannot be shared or used by more than one Individual Authorized User, but may be reassigned from time to time to a new Authorized

User who is replacing a former Authorized User who has terminated employment or otherwise changed job status or function and no longer uses the
Service and Platform. Client is solely responsible for all access to and use of the Service and Platform by its Authorized Users and all access to and
use of the Service and Platform through any Authorized User's account.
2.4. Client Responsibilities. Client shall (a) be responsible for Authorized Users' acts and omissions, (b) be responsible for providing,
establishing, and maintaining Internet connection, mobile device service, and any other necessary equipment, Infrastructure, and services required
to use the Services and Platform, (c) prevent unauthorized access to or use of the Services or Platform, and notify Visual Labs promptly of any such
unauthorized access or use, (d) use, train Authorized Users to use, and ensure that Authorized Users use, the Services and Platform only in accordance
with this Agreement, the Documentation and In compliance with all applicable laws and regulations, (e) reasonably cooperate with Visual Labs as
necessary for Visual Labs to perform its obligations under this Agreement, and (f) be responsible for all Client Content and any use of Client Content
by Client, Authorized Users, and any other party. Client agrees to comply with all relevant applicable laws, rules and regulations. Client represents
and warrants that It has the right, and has obtained all necessary consents and authorizations, Including any consents and authorizations required
under any privacy or data security laws or regulations, to provide and disclose information to Visual Labs In connection with this Agreement.
2.5. Restrictions, Client shall not (and shall not permit any Authorized User to) (a) make the Services or Platform available to any third party
other than Authorized Users, (b) resell, lease, distribute, transfer or otherwise make available the Services or Platform on a time-sharing or service
bureau basis, (c) make Client Content available to any third party other than Authorized Users, Client administrators, Client faculty (if any), law
enforcement, and government and regulatory officials who need to know such information for security, civil investigative, or judicial purposes, (d)
use the Services or Platform to promote any unlicensed, unfair, or illegal activities or for deceptive or illegal purposes, (e) use the Services or Platform
to store or transmit malicious code, (f) use or access the Services or Platform In any way that harms, potentially harms, or otherwise threatens the
reputation, integrity, performance, or availability of Visual Labs, any Visual Labs client, the Services or Platform, (g) attempt to gain unauthorized
access to the Services, Platform, other clients' content, or data stored or processed therein, (h) decompile, disassemble, or reverse engineer the
Services or Platform, in whole or in part, (1) use the Service or Platform for any purposes other than the purpose specifically permitted In this
Agreement, or 0) use or access the Services or Platform to create (or have created) a competing or similar service. Visual Labs may restrict or prohibit
use or access to the Services and Platform or delete specific Client Content if Visual Labs suspects such use or access Is In breach of this Agreement,
does not comply with the Documentation, or is otherwise objectionable or threatens the reputation of visual Labs, any Visual Labs client, the Services,
or Platform.
3. CLIENT CONTENT AND PROPRIETARY ITEMS
3.1. Client Content.
a) Cilent acknowledges that all Client Content is the sole responsibility of the Client. Client, and not Visual Labs, is entirely responsible
for all Client Content that Client records, uploads, accesses, stores, streams, displays, or transmits through the Platform.
b) Client acknowledges that Client Content that is more than six (b) months old, may be stored In an archival location and may only be
available for access by Client upon two (2) business days' written notice to Visual Labs.
c) Visual Labs reserves the right to take appropriate action against Client, if Client (in Visual Labs' sole judgment) violates this Agreement
or violates the rights of, harms, threatens the safety of, or creates liability for, Visual Labs or any other person. Such actions may
Include removing Cilent Content, suspending Client's access to the Platform and Service, terminating Clients account, and/or reporting
Client to law enforcement authorities. In order to cooperate with legitimate governmental requests, subpoenas or court orders, or to
protect Visual Labs' business and customers, Visual Labs may access and disclose any Information Visual Labs considers necessary or
appropriate, including Clients usernames and passwords, IP address and traffic information, usage history, and Client Content, subject
to all appropriate privacy laws. Client hereby provides its Irrevocable consent to such disclosure.
d) Client grants Visual Labs a fully paid, royalty -free, worldwide, non-exclusive and fully sublicensable right and license during the
Subscription Term to use, reproduce, modify, adapt, perform, and display Client Content (in whole or In part) for the purposes of
providing, maintaining, and supporting the Services and Platform in accordance with this Agreement.
e) Client grants Visual Labs a fully paid, royalty -free, worldwide, non-exclusive and fully sublicensable, perpetual and irrevocable right
and license to use, reproduce, modify, adapt, perform, create derivative works of and display operational data (e.g. how many hours
the Application has been used, when the Application has been used, where the Application has been used) and disclose and share
such operational data with third parties In an anonymous and aggregate form at Its discretion.
3.2. Enhancements. Upon mutual written agreement of the parties, Visual Labs will provide enhancements to the Proprietary Items as maybe
requested by Client. Fees for any such enhancements will be determined by mutual agreement of the parties.
3.3. Title and ownership. All right, title, and interest in and to the Client Content (including all related patent, copyright, trademark, trade
secret, Intellectual property and other ownership rights) are and will remain the sole and exclusive property of Client. All right, title, and interest In

and to the Proprietary Items (including all related patent, copyright, trademark, trade secret, intellectual property and other ownership rights) are
and will remain the sole and exclusive property of Visual Labs and Visual Labs reserves all rights not expressly granted herein. Any derivative works,
modifications, or enhancements relating to the Proprietary Items (whether created alone by either Party or jointly by or on behalf of both Parties)
and any Feedback relating thereto will be solely and exclusively owned by Visual Labs. Client hereby assigns to Visual Labs any rights, title and
Interest, Including all Intellectual property rights, In any Feedback and acknowledges that visual Labs will be free to use Feedback for any purposes
In Its sole discretion.
4. PAYMENTS
4.1. Fees and Expenses. In consideration for access and use of the Platform and Service, Client shall pay to Visual Labs, without offset or
deduction, the fees set forth in Schedule A Visual Labs reserves the right to Increase the fees any time, but must provide notification of such increase
at least sixty (60) days In advance. All fees shall be due and payable within fifteen (15) days after an Invoice is issued by Visual Labs.
4.2. Taxes. The fees and other amounts payable by Client to Visual Labs do not Include any taxes of any jurisdiction that may be assessed or
Imposed upon the Services, Platform, Documentation, or otherwise, Including sales, use, excise, value added, personal property, export, import and
withholding taxes, excluding only taxes based upon Visual Labs' net income. Client shall directly pay any such taxes assessed. Client shall promptly
reimburse Visual Labs for any taxes payable or collectable by Visual Labs (other than taxes based upon Visual Labs' net income). If Client has provided
Visual Labs with proof of its tax exempt status, then, In the event that Client's tax exempt status should become altered, Client shall be obligated to
notify Visual Labs Immediately of any such modification and Client shall become liable for all taxes as set forth above. In the event Client fails to
notify Visual Labs of any such change, Client shall be liable for payment of any tax related penalties or interest assessed against Visual Labs or Client
as a result of such Client failure.
4.3. Payment Terms. Visual Labs may accept and process payment (including renewals) from Client by either check, ACH credit, wire transfer,
or other method as mutually agreed. Amounts owed to Visual Labs will be Invoiced to Client's address for Invoices as designated by Client or, If not
designated, then the address printed on this Agreement. Any Client check rejected by Visual Labs' bank for any reason shall be subject to a $25 fee.
If any Client payment Is more than fifteen (15) days past due, Interest at the rate of ten percent (10%) per annum (or, if lower, the maximum rate
permitted by applicable law) shall accrue. Except as otherwise provided In this Agreement, all fees and other amounts paid by Client under this
Agreement are non-refundable. All dollar amounts referred to In this Agreement are in United States Dollars.
4.4. Suspension. in the event that Client's account Is more than fifteen (15) days overdue on any payment for any reason, Visual Labs shall
have the right, In addition to its remedies under this Agreement or pursuant to applicable law, to suspend Client's use of the Services and Platform,
without further notice to Client, until Client has paid the full balance owed, plus any fees and/or interest due.
S. WARRANTY DISCLAIMER AND LIMITATIONS
5.1. Warranty. Visual Labs warrants that (a) the Platform and Services will perform substantially as specified in the Documentation and (b) the
Implementation, support and training services will be performed In a professional manner consistent with applicable Industry standards. Visual Labs'
obligation with respect to any non-conformance with the foregoing warranty is for Visual Labs to use cornmerclally reasonable efforts to correct the
non-conformance. If Visual Labs Is unable to correct the non-conformance despite its use of commercially reasonable efforts, then Visual Labs will
notify Client and Client may terminate this Agreement and Visual Labs will refund to Client the subscription fees paid by Client to Visual Labs for the
preceding thirty (30) day period or the implementation or other services fees paid by Client for the non -conforming services, as applicable. THE
FOREGOING REMEDY IS CLIENT'S EXCLUSIVE REMEDY AND VISUAL LABS' SOLE LIABILITY FOR A BREACH OF THE WARRANTY SET FORTH IN THIS
SECTION, THIS WARRANTY SHALL NOT APPLY IF THE NON-CONFORMANCE IS DUE TO DISRUPTION OR OUTAGE OF COMMUNICATIONS (INCLUDING
THE INTERNET, MOBILE SERVICES, OR OTHER NETWORKED ENVIRONMENT), POWER, OR ANY OTHER UTILITIES, MALFUNCTION OF MOBILE DEVICES
OR OTHER CLIENT EQUIPMENT, OR CLIENT'S OR ITS AUTHORIZED USERS' FAILURE TO USE THE PLATFORM OR SERVICES IN ACCORDANCE WITH THE
DOCUMENTATION AND VISUAL LABS' INSTRUCTIONS.
5.2. Warranty Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN SECTION 5.1, THE PROPRIETARY ITEMS AND ALL IMPLEMENTATION, SUPPORT,
TRAINING AND OTHER SERVICES ARE PROVIDED "AS IS" AND VISUAL LABS MAKES NO REPRESENTATIONS OR WARRANTIES, ORAL OR WRITTEN,
EXPRESS OR IMPLIED, ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE, INCLUDING IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INTERFERENCE, OR NON -INFRINGEMENT. Without limiting
the generality of the foregoing, Visual Labs does not represent or warrant that: (a) the Service or Platform will meet any expectations or specifications
of Client; (b) the Services or Platform will protect Client, Its employees, personnel, or Invitees, or Client's premises from any specific threats or
increase the security of Client's premises; or (c) the operation of the Services and Platform will be uninterrupted or error -free. CLIENT
ACKNOWLEDGES AND AGREES THAT CERTAIN FEATURES OF THE SERVICES AND PLATFORM MAY NOT WORK AND LOSSOF DATA MAY BE POSSIBLE
UNDER CERTAIN CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO, THE LOSS OF iNTERNET, MOBILE SERVICE, OR WIRELESS CONNECTION.

6. LIMITATION OF LiABILITY
IN NO EVENT WILL VISUAL LABS BE LIABLE FOR ANY LOSS OF DATA, LOST PROFITS, LOST REVENUE, OR INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL,
EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING IN CONNECTION WITH THiS AGREEMENT, INCLUDING THE USE OF THE SERVICES, PLATFORM,
OR DOCUMENTATION, BASED ON ANY THEORY OF CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR OTHERWISE, EVEN IF ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. Visual Labs' total aggregate liability under this Agreement shall under no circumstances exceed the greater of $200
or the fees actually paid by Client to Visual Labs in the six (6) months preceding the event giving rise to the claim of liability. The existence of multiple
claims shall not enlarge this limitation.
7. CONFIDENTIALITY
All Confidential Information of a Parry ("Disclosing Pasty") In the possession of the other ("Receiving Party"), whether or not authorized, shall be
held in strict confidence, and the Receiving Parry shall take all steps reasonably necessary to preserve the confidentiality of the Confidential
Information. The Disclosing Party's Confidential information shall not be used or disclosed by the Receiving Parry for any purpose except (a) as
necessary to Implement or perform this Agreement, or (b) as required by law, provided that the other Party is given a reasonable opportunity to
obtain a protective order. The Receiving Party shall limit its use of and access to the Disclosing Parry's Confidential Information to only those of its
employees or representatives whose responsibilities require such use or access and who are bound by obligations of confidentiality at least as
protective as those herein. The Receiving Party shall advise all such employees and representatives, before they receive access to or possession of
any of the Disclosing Party's Confidential Information, of the confidential nature of the Confidential Information and require them to abide by the
terms of this Section.
S. INDEMNIFICATION
8.1. By Visual Labs. Visual Labs shall defend at Its own expense any action against Client brought by a third party to the extent that the action
is based upon a claim that (A) any use of, or access to, the Proprietary Items by Client as expressly authorized under this Agreement Infringes or
misappropriates, as applicable, any intellectual property rights of a third party, and Visual Labs will pay those costs and damages finally awarded
against Client In any such action that are specifically attributable to such Claim or those costs and damages agreed to In a monetary settlement of
such action; provided that Client gives Visual Labs (a) prompt written notice of such claim; (b) authority to control and direct the defense and/or
settlement of such claim; and (c) such information and assistance as Visual Labs may reasonably request, at Visual Labs' expense, in connection with
such defense and/or settlement. Notwithstanding the foregoing, Visual Labs shall have no obligation or liability to the extent that any alleged
infringementor misappropriation arises from (1) Client Content or the combination, operation, or use of the Proprietary items with products, services,
deliverables, materials, technologies, business methods or processes not furnished by Visual Labs; (2) modifications which were not made by Visual
Labs; or (3) Client's breach of this Agreement or use of the Proprietary Items other than In accordance with this Agreement (collectively, 'hP
Excluslone). Upon the occurrence of any Infringement -related claim for which indemnification Is or may be due under this Section, or in the event
that Visual Labs believes that such a claim is likely, Visual Labs may, at its option (i) modify or replace the Proprietary Item so that it becomes non -
Infringing; (11) obtain a license to the applicable third -party intellectual property; or (ill) terminate this Agreement on written notice to Client and
refund to Client any pre -paid fees for Services not provided. The obligations set forth In this Section shall constitute Visual Labs' entire liability and
Client's sole remedy for the claims set forth in this section.
8.2. By Client. Client shall Indemnify, hold harmless, and, at Visual Labs' option, defend Visual Labs from and against all costs and expenses
(including reasonable attorneys' fees), damages, losses, and liabilities arising out of any (a) IP Exclusions, (b) Client Content or Client's or Its Authorised
Users' use thereof, (c) personal Injury, death, theft, or property damage arising from Client's or its Authorized Users' use of, or access to, the
Proprietary Items, or (d) violations of law or breaches of this Agreement by Client or its Authorized Users. Visual Labs agrees to give Client: (i) prompt
written notice of such claim; (11) authority to control and direct the defense and/or settlement of such claim; and (ill) such Information and assistance
as Client may reasonably request, at Client's expense, in connection with such defense and/or settlement. Notwithstanding the foregoing, Client
shall not settle any third -party claim, unless such settlement completely and forever releases Visual Labs with respect thereto or unless Visual Labs
provides its prior written consent to such settlement. In any action for which Client provides defense on behalf of Visual Labs, Visual Labs may
participate in such defense at Its own expense by counsel of its choice.
9. TERM AND TERMINATION
9.1. The initial Subscription Term shall begin on the Effective Date and shall terminate on the last day of the (,Y -,.-.) full month
following the Effective Date. The Subscription Term shall automatically renew for additional (. _) month periods, unless one Party
provides the other Party written notice of Its Intent to not renew the Subscription Term at least thirty (30) days prior to the start of the upcoming
renewal period.

9.2. Either Party may terminate this Agreement immediately on giving notice in writing to the other Party If the other Party commits a material
breach (including any non-payment of fees due) and, in the case of a material breach capable of being cured, failed to cure that breach within fifteen
(15) days after the receipt of a request In writing to cure such breach.
9.3. Upon any termination or expiration of this Agreement, whether under this Section 9 or otherwise, (a) Client shall discontinue all access and
use of all Proprietary Items, and promptly return to Visual labs any Confidential Information then In C[lent's possession or control and (b) Client shall
uninstall the Application from any device owned or controlled by Client, and (c) Visual Labs, at its sole discretion, may block Client access to the
Services and Platform and/or delete Client Content.
9.4. Client shall remain liable for all payments due to Visual Labs with respect to the period ending on the date of termination or expiration.
For any termination other than a termination for good cause by Client in accordance with Section 9.2, the balance of all remaining subscription fees
relating to the then current Subscription Term will be due and payable. The provisions of Sections 1, 2.4, 2.5, 3, 4.2, 4.3, 4.4, 5, 6, 7, 8, 9.3, 9.4 and
10 shall survive any termination or expiration of this Agreement.
10. OTHER PROVISIONS
10.1. Insurance. During the Subscription Term, Visual tabs will, at no cost to Client, maintain the following minimum insurance in full force and
effect. (1) commercial general liability insurance, including contractual liability coverage and coverage for bodily injury, personal Injury, and property
damage In a combined single limit of not less than $1,000,000 per occurrence and $1,00D,000 In the aggregate, (11) workers' compensation insurance
in compliance with all statutory regulations of the nation, state, territory, or province having jurisdiction over Visual Labs' employees performing
services under the Agreement with limits of not less than $1,000,000 (or such greater amount as may be required by applicable law), and (III)
technology errors and omissions insurance in an amount not less than $1,000,000 in the annual aggregate.
10.2. Notice. All notices, consents and other communications under or regarding this Agreement shall be in writing and shall be deemed to have
been received on the earlier of the date of actual receipt or the first business day after being sent by a reputable overnight delivery service. Either
Party may change its address for notices by giving written notice of the new address to the other Party.
10.3. Assignment. Client may not, without Visual Labs' prior written consent, assign, delegate, pledge, or otherwise transfer this Agreement or
any of its rights or obligations under this Agreement to any party, whether voluntarily or by operation of law. A sale of assets, merger or consolidation
will be deemed an assignment for the purposes of this Agreement.
10.4. Export Laws and Use Outside of the United States. Client shall comply with the export related laws and regulations. Client represents and
warrants that (I) Client Is not located in a country that Is subject to a U.S. Government embargo, or that has been designated by the U.S. Government
as a "terrorist supporting" country; and (11) Client is not listed on any U.S. Government list of prohibited or restricted parties. Client shall not export
or re-export directly or indirectly (including via remote access) any Proprietary Items (or parts thereof) to any applicable jurisdiction or entity
prohibited by law or to which a license Is required without first obtaining a license from the applicable regulatory authority. Client will defend,
Indemnify and hold harmless Visual Labs from and against any violation of such laws or regulations by Client or any of its agents, officers, directors,
or employees.
10.5. Relationship. The relationship between the Parties under this Agreement is that of Independent contractors and not partners, joint
venturers or agents.
10.6. Other Limitations. The warranties made by Visual Labs In this Agreement, and the obligations of Visual Labs under this Agreement, run
only to Client and not to any Authorized User or other third party. Under no circumstances shall any Client affiliate, Client customer, contractor,
personnel, invitee, or any other third party be considered a third party beneflciary of this Agreement. No action or claim of any type relating to this
Agreement may be brought or made by Client more than twelve (12) months after Client first has knowledge of the basis for the action or claim. The
Client and Visual Labs have freely and openly negotiated this Agreement, including the pricing, with the knowledge that the liability is to be limited
In accordance with the provisions of this Agreement.
10.7. Entire Understanding. This Agreement states the entire understanding between the Parties with respect to its subject matter, and
supersedes all prior proposals, marketing materials, negotiations and other written or oral communications between the Parties with respect to the
subject matter of this Agreement. Any terms in an order or written purchase authorization that add to, or conflict with or contradict, any provisions
In the Agreement will have no legal effect.
10.8. Modification and Waiver. No modification of this Agreement, and no waiver of any breach of this Agreement, shall be effective unless in
writing and signed by an authorized representative of both Parties. This Agreement may not be modif led or amended without written agreement of
the Parties. No waiver of any breach of this Agreement, and no course of dealing between the Parties, shall be construed as a waiver of any
subsequent breach of this Agreement.

10.9. Severability. If any portion of any provision of this Agreement Is held to be Illegal, invalid or unenforceable, in whole or in part, (a) such
unenforceable portion of the provision will be deemed severed from this Agreement, (b) the validity and enforceability of the remaining portion of
the provision and the other provisions of this Agreement will not be affected or Impaired, and (c) this Agreement will be amended In order to effect,
to the maximum extent allowable by law, the original Intent of such provision.
10.10. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which
together shall constitute one and the some Instrument.
10.11. Governing taw and Venue, This Agreement shall be construed and enforced In accordance with the laws of the State of California excluding
choice of law; provided, however, that the terms of any applicable law now or hereafter enacted that is based on or similar to the uniform computer
Information transactions act drafted by the national conference of commissioners on uniform state laws shall not apply. Each Party irrevocably
agrees that any legal action, suit or proceeding brought by It that in any way arises out of the Agreement must be litigated exclusively In state court
In San Mateo County or Santa Clara County, California or In a federal court in the Northern District of California.
10.12. Force Majeure. Except with respect to Client's payment obligations, neither Party shall be liable for, nor shall either Party be considered
In breach of this Agreement due to any failure to perform its obligations under this Agreement as a result of a cause beyond its control, including any
act of Cod or a public enemy, act of any military, civil or regulatory authority, change in any law or regulation, fire, flood, earthquake, storm or other
like event, disruption or outage of communications (including the Internet or other networked environment), power or other utility, labor problem,
unavailability of supplies or any other cause which could not have been prevented by the non -performing Party with reasonable care.
10.13. Use of Name. Client authorizes Visual Labs to use Client's name in marketing materials and any routine list of Visual Labs clients.

Schedule A
Sample Law Enforcement Agency
The Services will be provided via the use of (_j smartphones (the "Devices") that will be provided by and owned by Client.
The cost of the Devices and the associated cellular service, including data service, shall be the responsibility of Client. The Devices
will be deployed on Client employees and will be used primarily as a body worn camera to record audio and video of Interactions
between Client employees and the general public. While the Visual Labs Application is engaged, each Device will also record, and in
certain cases transmit, the physical location (i.e. latitude and longitude) of the Device.
Each Device may be housed in a smartphone case. It is the sole responsibility of Client, and not Visual Labs, to verify that the Device
and the case are appropriate for their employees and that they do not interfere with the duties of, or compromise the safety of, the
employees on which each Device and case are deployed. It 1s understood by Client that certain "real time" Services (e.g. live
streaming) require a reasonably strong connection to the internet. It is further understood that certain areas of Client's jurisdiction
may not support the required connection to the Internet for certain Services.
The default retention period for all Client footage shall be (_) days. Authorized Client personnel shall have the ability
to change the retention period of any specific file to "indefinite" via the Visual Labs website. Unless the retention period has been
changed to "Indefinite" by Client, Visual Labs shall delete all Client footage as soon as practicable after the expiration of the
retention period.
