ZOLL@ Medical Corporation ("ZOLL") is pleased to provide our response to Invitation to, Bid:
Light (8) More or Less Cardiac Monitors Defibrillators due May 22, 2018 at 9:30am.
ZOLL manufactures and' markets an integrated line of proprietary, non-invasive resuscitation
devices and disposable electrodes. ZOLL's products are used in hospitals, by emergency
medical services (EMS) personnel and in public access environments to provide lifesaving
pacing and defibrillation to patients suffering cardiac arrest, and for the treatment of patients
with life -threatening cardiac arrhythmias. ZOLL also designs and markets software that
automates collection and management of both clinical and non -clinical data.
Our proposal includes the following:

1) Are bid bonds required?
a. Answer: Yes, as stated in the Notice to Bidders, a 10% Bid Bond is required.
2) In regards to section A under "Rejection of Proposals Containing Alteration, Erasures,
Incomplete Bids, and Etc,", if ZOLL was to take exceptions to clauses within the bid document
be considered as an alteration and would those exceptions be considered?
a. Answer: Exceptions will betaken into consideration in awarding the bid.
3) How many years would you like the annual service agreement to cover?
a. Answer: Otte (1) year.
4) For the lease options, what type of initial "first payment" would you expect either as a percentage
or dollar amount?

5) We noticed that you wish to trade in eleven (11) devices and wish to purchase eight (8) devices,
is this correct?
a. Answer: The bid specs state "up to" eleven (11) trade-ins o the E Series Zolls.

6) Would you be interested in remanufactured devices with the same warranty?

7) You are requesting six (6) additional three (3) lead cables needed. Our 12 Lead cable comes with

The City of South Bend Board of Public Works is soliciting sealed proposals the purchase
of eight (8) more or less Cardiac Monitors/Defibrillators, one (1) wireless twelve (12) lead
reception package, certain trade-in equipment,

Bends firefighter/paramedics on emergency medical service calls.
Each Cardiac Monitor/Defibrillator shall include:

* 3 Lead EGG cables;
* Noninvasive Mood Pressure Monitoring;
* Integral external pacing with cable;
* 12 Lead acquisition and transmission capabilities with cable(s);

• Pulse oximetry with cables and adult/pediatric sensors;

level of protection, to the unit and accessories, that will positively affect the

Thank you for allowing ZOLL Medical Corporation to respond to the bid document distributed
by The City of South Bend, IN
ZOLL believes that the X Series' Monitor/DefibriHator absolutely meets or exceeds the needs of The City
of South Bend. However, it is very clear that the specifications themselves are identical to those of the
Physio-Control LIFEPAK 15' and/or L]IFENIET' System and are therefore impossible for any other product
to meet. WILL feels that this blatant use of "lockout specs" provided by a single manufacturer violates
the spirit and intent of a true bid process. Thus, we respectfully request that you consider the X Series
on the merits of its own unique benefits.

INSTRUCTIONS TO BIDDERS
BiD FORMS AND EXECUTION
A. Bidders are expected to examine the Drawings, Specifications, Proposal and all Instructions.
Failure to do so will be at the Bidders risk.
B. Each Bidder shafl furnish all information required by the Notice, Instruction's to Bidders and
Specifications. Bids must be made on the form provided, The Bidder shall sign the Proposal
and Non-Collusa'on Affidavit, which is a part of the provided form, where indicated, provide a
notary signature and provide all other information required.
C. The Bidder sha# sign the Proposal in the following manner: If the Proposal is made by an
individual, his/her name and post office address must be shown. If made by a partnership or
joint venture, the name and post office address of each member of the partnershiip or joint
venture must be shown. If made Iby a corporation, the Proposal must be signed by an officer
of the corporation or by a representative duly authorized by the corporation to execute the
Proposal in its behalf.
SEALED BIDS ONLY
A. Bids, Proposals, Guaranty, and other required documents must be submitted in a sealed
envelope marked on the outside with the general classification of material bids, i.e. 'Bid for
Computer Equipment," "Bid for Front End Loader,' or "Bid for Office Supplies."
S. When samples are required, such samples shall be delivered or shipped at the bidders
expense to the address specified in the Invitation to Md. Samples must be shipped
separately from bid documents and labeled clearly with the Bidders name, address and the
commodity or equipment classifications and documents, the item (and item number, if any),
and Material Safety Data Shoots (if appiicable). All samples must be representative of the
commodities or equipment which will be suppiied by the successful Bidder. All samples will
become the property of the City of South Bend and none will be returned, unless otherwise
stated in the Specifications.

DELIVERY OF BIDS
A. Bids must be delivered to the, Office of the Board of Public Works, 131, Floor, County -City
Buitcling, Room 1316, 227 West Jefferson Boulevard, South Send, Indiana 46601 (574)235-
9251, by the time specified (local time) in the Notice to Bidders. If not delivered personally,
the sealed envelope containing the Bid must be mailed to the following address:

B. The Post Office Department will be considered agent of the Bidder in delivering the bid. The
City will not be responsible for deliveries. Any Bids received after the time specified will
be returned unopened.
C. Bids will be opened and read publicly at the time and place designated in the Noticeto
Bidders. Bidders, their authorized agents, and the public are invited to be present.
D. Bidders may bid on one (1) or more item, provided however, that the bid submitted for each is
delivered in a separate, sealed envelope, with the envelope clearly labeled on the outside
as to the specific item for which the bid is being submitted. Bidders may submit separate bid
bonds for each item being bid upon OR may submit one (1) bid bond equal to 10% of the
combined total of all bids submitted.
E. The Board may reject any bid that does not conform to these requirements as non-
responsive.
5. ADDENDA — NO VERBAL INTERPRETATIONS
A. No inquiries by Bidders relative to interpretation of Plans, Specifications, Special Provisions,
or other Bidding Documents will be answered verbally. If any prospective Bidder is unable or
unwilling to comply with one or more requirements of the bidding document, such Bidder
should so inform the Board of Public Works in writing. Upon receipt of such information,
consideration will be given to the advisability of issuing an Addendum which would thereupon
become applicable to all Bidders. Any such inquiry must be submitted at least seven (7) days
prior to the bid opening date in order to give the Board sufficient time to consider any
necessary Addendum. All answers to such inquiries, in the form of Addenda, will be furnished
to all prospective Bidders who have registered with the City. All Bidders are required to
acknowledge receipt of any Addenda by inserting the Addendum number and the issuing date
on executed Proposals.
G, REJECTION OF PROPOSALS CONTAINING ALTERATION, ERASURES, INCOMPLETESIDS
AND ETC.
A. Proposals shall be rejected if they show any alteration of form, additions not called for,
conditional or alternate bids (except when and insofar as are invited), incomplete bids,
erasures or irregularities of any kinds.
B. All blank spaces for bid prices must be filled in, in ink, with the unit price and total price for
each item (This does not apply to divisible bids). In case of incorrect totaling of amounts and
where the unit price and the extension thereof do not agree, the unit price for each item shall
govern, and the City is authorized to correct all erroneous extension and totals for the purpose
of comparing bids.
7. TRADE DISCOUNTS
A. Trade discounts shall not be shown separately, but shall be incorporated in the Bidder's unit
price, unless otherwise specified.
8. VEHICLE BIDS
A. Bidders may bid on one (1) or more vehicles, provided however, that the bid submitted for
each vehicle is delivered in a separate, sealed envelope, by vehicle, with the envelope clearly

9. TAX EXEMPTIONS
A. The City of South Bend is exempt from the payment of federal excise and transportation taxes
levied under the provision of the Intemal Revenue Code. It is also exempt from the Indiana
State Gross Retail Tax (sales tax). The City wilt furnish the successful Bidder with any
certificate of exemption required.
10, WITHDRAWAL OF BIDS
A. Withdrawal ofbids wIM be allowed only in those cases in which a written request towithdrawa
bid is received by the Board of Public Works prior to the date and hour for receiving and
opening bids. In such cases, the same will be returned to Bidder unopened.
IL ESCALATOR OR CONTINGENT CLAUSES
A. The use of escalator clauses or other contingent clauses by the Bidder is prohibited, unless
requested or permitted by the Invitation to Bid. No Proposal shall contain nor be
accompanied by any writing purporting to limit or qualify the City's right to accept such
Proposal or purporting to alter such Proposal or any Contract which may be executed
pursuant thereto.
12, PRICES MUST BE DELIVERED PRICES
A. The bid price shall be a delivered price. All materials shall be shipped FO.B. shJ1921ag rgymL
deafinatioo as specified in the Invitation to Bid. No fuel surcharges accepted.
13. AWARD —WAIVER OF TECHNICALITIES
A. The Award of Bid, if any award be made, will be made within sixty (6,0) calendar days after the
opening of Proposals to the lowest responsible and responsive Bidder who's Proposal
complies with all the requirements proscribed, exclusive of technicalities waived. Until the
final award of the Bid, however, the right is reserved by the City to reject any and all
Proposals and to waive technical errors.
14, SPLITTING OF AWARDSIDIVISIBLE BIDS
A. Bids will be awarded on the basis of the total dollar amount for all items in the Proposal unless
the bid is described by the City as a Divisible Bid. The City may award a Divisible Bid to the
lowest responsible and responsive Bidder for each item or class of items as indicated in the
bid documents.
15. BIDDER QUALIFICATION
A. The City may require any Bidder to submit evidence of qualiftcations, and may consider any
evidence of the financial, technical, and other qualifications and abilities of the Bidder. The
City will not award a Contract to a Bidder who, in its opinion, is not fully qualified on the basis
of financial resources and responsibility, possession of adequate equipment, personnel,
experience, and past record of performance to perform the obligations to be undertaken
competently and without delay,
16. PURCHASE ORDERS
A. A Purchase Order will he issued to the successful Bidder after formal acceptance of the bid is
made by the City.

18. SOURCE OF SUPPLY
A. If the Bidder is not a manufacturer, the source of supply must be shown and all sub-

A. All items shall be delivered strongly packed and marked according to accepted commercial
practice unless otherwise directed in the Specifications. No charge shall be made for
containers and the CAy shall have no obligation to return containers unless otherwise
provided by the Specifications or Special Provisions. Any items not received in good
condition will be rejected.
20. INSPECTION OF GOODS
A. The City of South Bend reserves the right to inspect and have any goods tested afterclefivery

26, ESTIMATED QUANTITIES
A. If the quantity set forth In the Nottce to Bidders and Proposal is approximate and represents
the estimated requirements of the City for a specified period of time, the unit price and the
extended total price thereof shall be used only as a basis for the evaluation of bids. The
actual quantities necessary may be more or less than the estimate„ but the City shall neither
be obligated nor itmited to any specific amount. The Clty will, if at all possible, restrict
increases to twenty percent (20%) of the estimated quantity and will, if at all possible, restrict
decreases to twenty percent (20%) of the estimated quantity.
27. TERM "OR EQUAL'
A. Where the term "'OR EQUAL" is used in these Specifications, the Bidder deviating from

ZOLL QUOTATION GENERAL TERMS & CONDITIONS
1. ACCEPTANCE. This Quotation constitutes an offer by ZOLL Medical Corporation to sell to the
'':,.Customer the equipment (including a license 10 use certain software) listed in this Quotation and
(described in the specifications either attached to or referred 10 in this Quotation (hereinafter referred to
as Equipment). Any acceptance of such offer is expressly limited to the terms of this Quotation, including
these General Terms and Conditions. Acceptance shall be so limited to this Quotation notwithstanding (i)
any conflicting written or oral representations made by ZOLL Medical Corporation or any agent or
employee of ZOLL Medical Corporation or (ii) receipt or acknowledgement by ZOLL Medical Corporation
of any purchase order, specification, or other document issued by the Customer. Any such document
shah be Wholly inapplicable to any sale made pursuant to this Quotation, and shall not be binding in any
way on ZOLL Medical Corporation.
Acceptance of this Quotation by the Customer shall create an agreement between ZOLL Medical
Corporation and the Customer (hereinafter referred to as the "Contract' the terms and conditions of
which are expressly limited to the provisions of this Quotation including these Terms and Conditions. No
waiver change or modification of any of the provisions of this Quotation or the Contract shall be binding
on ZOLL Medical Corporation unless such waiver, change or modification (1) is made in writing (h)
expressly stales that it is a waiver, change or modification of this Quotation or the Contract and (ill) Is
signed by an authorized representative of ZOLL Medical Corporation.
2. DELIVERY AND RISK OF LOSS. Unless otherwise stated, all deliveries shall be F.Q.B. ZOLL
Medical Corporation's facility. Risk of loss or damage to the Equipment shah pass to the Customer upon
delivery of the Equipment 10 the carrier.
3. TERMS OF PAYMENT. Unless otherwise staled in its Quotation payment by Customer is due thirty
(30) days after the ship date appearing on ZOLL Medical Corporation invoice. Any amounts payable
hereunder which remain unpaid after the dale shall be subject to a late charge equal to 1.5 % per month
from the due date until such amount is paid.
4. CREDIT APPROVAL. All shipments and deiiverles shall at all times be subject 10 the approval of
credit by ZOLL Medical Corporation. ZOLL Medical Corporation may at any time decline to make any
shipment or delivery except upon receipt of payment or security or upon terms regarding credit or
security satisfactory to ZOLL Medical Corporation.
5. TAXES & FEES. The pricing quoted in its Quotation do not include sales use, excise, or other similar
taxes or any duties or customs charges, or any order processing fees. The Customer shall pay in
addition for the prices quoted the amount of any present or future sales, excise or other similar tax or
customs duty or charge applicable to the sale or use of the Equipment add hereunder (except any tax
based on the net income of ZOLL Medical Corporation), and any order processing fees that ZOLL may
apply from time to time. In lieu thereof the Customer may provide ZOLL Medical Corporation with a tax
exemption certificate acceptable to the taxing authorities.
6. WARRANTY. (a) ZOLL Medical Corporation warrants to the Customer that from the earlier of the date
of installation or thirty (30) days after the date of shipment from ZOLL Medical Corporation's facility, the
Equipment (other than accessories and electrodes) will be free from defects in material and workmanship
under normal use and service for the period noted on the reverse side. Accessories and electrodes shall
be warranted for ninety (90) days from the date of shipment. During such period ZOLL Medical
Corporation will at no charge to the Customer either repair or replace (at ZOLL Medical Corporation's
sole option) any part of the Equipment found by ZOLL Medical Corporation to be defective In material or
--workmanship. If ZOLL Medical Corporation's inspection detects no defects in material or workmanship,
,TOLL Medical Corporation's regular service charges shall apply. (b) ZOLL Medical Corporation shall not
bo responsible for any Equipment defect failure of the Equipment to perform any specified function, or
any other nonconformance of the Equipment caused by or attributable to (i) any modifficalion of the
Equipment by the Customer, unless such modification is made with the prior written approval of ZOLL
Medical Corporation: (ii) the use of the Equipment with any associated or complementary equipment
accessory or software not specified by ZOLL Medical Corporation, or (Ili) any misuse or abuse of the
Equipment: (iv) exposure of the Equipment to conditions beyond the environmental, power or operating
constraints specified by ZOLL Medical Corporation, or (v) installation or wiring of the Equipment other
than in accordance with ZOLL Medical Corporation's instructions. (c) Warranty does not cover items
subject to normal wear and burnout during use, including but not limited to lamps, fuses, batteries, cables
and accessories. (d) The foregoing warranly does not apply to software included as part of the
Equipment (including software embodied in read-only memory known as "firmware"). (a) The foregoing
warranty constitutes the exclusive remedy of the Customer and the exclusive liability of ZOLL Medical
Corporation for any breach of any warranty related to the Equipment supplied hereunder. THE
WARRANTY SET FORTH HEREIN IS EXCLUSIVE AND ZOLL MEDICAL CORPORATION
EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES WHETHER WRITTEN, ORAL, IMPLIED, OR
STATUTORY, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY OR
FITNESS FOR A PARTICULAR PURPOSE.
7. SOFTWARE LICENSE. (a) All software (the "Software" which term shall include firmware) included as
part of the Equipment is licensed to Customer pursuant to a nonexclusive limited license on the terms
hereinafter set forth, (b) Customer may not copy, distribute, modify, translate or adapt the Software, and
may not disassemble or reverse compile the Software, or seek in any manner to discover, disclose or
use any proprietary algorithms, techniques or other confidential information contained therein, (c) All
rights in the Software remain the product of ZOLL Medical Corporation, and Customer shalt have no right
or interest therein except as expressly provided herein. (d) Customer's right to use the Software may be
terminated by ZOLL Medical Corporation in the event of any failure to comply with terms of this
quotation, (o) Customer may transfer the license conferred hereby only in connection with a transfer of
the Equipment and may not retain any copies of the Software following such transfer. (f) ZOLL Medical
Corporation warrants that the read-only memory or other media on which the Software is recorded wit be
free from defects in materials and workmanship for the period and on terms set forth in section 6. (g)
Customer understands that the Software is a complex and sophisticated software product and no
assurance can be given that operation of the Software will; be uninterrupted or error -free, or that the
Software will meet Customer's requirements. Except as set forth in section 7(f), ZOLL MEDICAL
CORPORATION MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE
SOFTWARE AND IN PARTICULAR DISCLAIMS ANY IMPLIED WARRANTIES OR
MERCHANTABILITY OR FITNESS OF A PARTICULAR PURPOSE WITH RESPECT THERETO.
Customer's exclusive remedy for any breach of warranty or defect relating to the Software shall be the
repair or replacement of any defective read-only memory or other media so that it correctly reproduces
the Software. This License app€ties only to ZOLL Medical Corporation Software.
6. DELAYS IN DELIVERY. ZOLL Medical Corporation shall not be liable for any delay in the delivery of
any part of the Equipment if such delay is due to any cause beyond the control of the ZOLL Medical
Corporation including, but not limited to acts of God, fires, epidemics, floods, riots, wars, sabotage, labor
disputes, governmental actions, inability to obtain materials, components, manufacturing facilities or
transportation or any other cause beyond the control of ZOLL Medical Corporation. In addition ZOLL
.Medical Corporation shall not be liable for any delay in delivery caused by failure of the Customer 10
cuovide any necessary information in a timely manner. In the event of any such delay, the date of
"shipment or performance hereunder shall be extended to the period equal to the time lost by reason of
such delay. In the event of such delay ZOLL Medical Corporation may allocate available Equipment
among its Customers on any reasonable and equitable basis. The delivery dates set forth in this
Quotation are approximate only and ZOLL Medical Corporation shall not be liable for or shall the
Contract be breached by, any delivery by ZOLL Medical Corporation within a reasonable time after such
dates.
9. LIMITATIONS OF LIABILITY, IN NO EVENT SHALL ZOLL MEDICAL CORPORATION BE LIABLE
FOR INDIRECT SPECIAL OR CONSEQUENTIAL DAMAGES RESULTING FROM ZOLL MEDICAL
CORPORATIONS PERFORMANCE OR FAILURE TO PERFORM PURSUANT TO THIS QUOTATION
OR THE CONTRACT OR THE FURNISHING, PERFORMANCE, OR USE OF ANY EQUIPMENT OR
SOFTWARE SOLD HERETO, WHETHER DUE TO A BREACH OF CONTRACT, BREACH OF
WARRANTY, THE NEGLIGENCE OF ZOLL MEDICAL CORPORATION OR OTHERWISE.
1D. PATENT INDEMNITY. ZOLL Medical Corporation shall at its own expense defend any suit that may
be instituted against the Customer for alleged infringement of any United Slates patents or copyrights
related to the parts of the Equipment or the Software manufactured by ZOLL Medical Corporation,
provided that (€) such alleged infringement consists only in the use of such Equipment or the Software by
itself and not as a part of or in combination with any other devices or parts, (11) the Customer gives ZOLL
Medical Corporation immediate notice in writing of any such suit and permits ZOLL Medical Corporation
through counsel of its choice, to answer the charge of infringement and defend such suit, and (tit) the
Customer gives ZOLL Medical Corporation all requested information, assistance and authority at ZOLL
Medical Corporation's expense, to enable ZOLL Medical Corporation to defend such suit.
In the rase of a final award of damages for infringement in any such suit, ZOLL Medical Corporation Wit
pay such award, but it shall not be responsible for any settlement made without its written consent.
Section 10 stales ZOLL Medical Corporation's total responsibility and liability's, and the Customer's sole
remedy for any actual or alleged infringement of any patent by the Equipment or the Software or any part
thereof provided hereunder. In no event shall ZOLL Medical Corporation be liable for any indirect,
special, or consequential damages resulting from any such infringement.
11. CLAIMS FOR SHORTAGE. Each shipment of Equipment shall be promptly examined by the
Customer upon receipt thereof. The Customer shall inform ZOLL Medical Corporation of any shortage in
any shipment within ten (10) days of receipt of Equipment. If no such shortage is reported within ten (10)
day period, the shipment shall be conclusively deemed to have been complete.
12. RETURNS AND CANCELLATION. (a) The Customer shall obtain authorization from ZOLL Medical
Corporation prior to returning any of the Equipment. (b) The Customer receives authorization from ZOLL
Medical Corporation to return a product for credit, the Customer shali he subject to a restocking charge
of twenty percent (20%) of the original list purchase price, but not less than $60.00 per product. (c) Any
such change In delivery caused by the Customer that causes a delivery dale greater than six (6) months
from the Customer's original order date shall constitute a new order for the affected Equipment in
determining the appropriate list price.
13. APPLICABLE LAW. This Quotation and the Contract shalt be governed by the substantive laws of
the Commonwealth of Massachusetts without regard to any choice of law provisions thereof.
14. COMPLIANCE WITH LAWS, (a) ZOLL Medical Corporation represents that all goods and services
delivered pursuant to the Contract will be produced and supplied in compliance with all applicable stale
and federal laws and regulations, including the requirements of the Fair Labor Standards Act of 1938, as
amended. (b) The Customer shall be responsible for compliance with any federal, stale and local laws
and regulations applicable 10 the installation or use of the Equipment furnished hereunder, and will obtain
any permits required for such installation and use.
15. NON -WAIVER OF DEFAULT. In the event of any default by the Customer, ZOLL Medical
Corporation may decline to make further shipments or render any further warranty or other services
without in any way affecting its right under such order. If despite any default by Customer, ZOLL Medical
Corporation elects to continue to make shipments its action shall not constitute a waiver of any default by
the Customer or in any way affect ZOLL Medical Corporation's legal remedies regarding any such
default. No claim or right arising out of a breach of the Agreement by the Customer can be discharged in
whole or in part by waiver or renunciation of the claim or right unless the waiver or renunciation is
supported by consideration and is in writing signed by ZOLL Medical Corporation.
16. ASSIGNMENT. This Quotation, and the Contract, may not be assigned by the Customer without the
prior written consent of ZOLL Medical Corporation, and any assignment without such consent shall be
null and void.
17. TITLE TO PRODUCTS. Title to right of possession of the products sold hereunder shall remain with
ZOLL Medical Corporation until ZOLL Medical Corporation delivers the Equipment to the carrier and
agrees to do all acts necessary to perfect and maintain such right and title in ZOLL Medical Corpora€ion.
Failure of the Customer to pay the purchase price for any product when due shall give ZOLL Medical
Corporation the right, without liability to repossess the Equipment, with or without notice, and to avail
itself of any remedy provided by law.
1B. EQUAL EMPLOYMENT OPPORTUNITY I AFFIRMATIVE ACTION.
VETERAN'S EMPLOYMENT - If this order is subject to Executive Order 11710 and the
rules, regulations, or orders of the Secretary of Labor Issued thereunder the contract clause as set forth
at 41 CFR 60.250.4 is hereby included as part of this order.
EMPLOYMENT OF HANDICAPPED - if this order is subject to Section 503 of the
Rehabilitation Act of 1973. as amended and the rules, regulations or orders of the Secretary of Labor as
Issued thereunder, the contract clause at 41 CPR 60-741.7 is hereby included as part of this order.
EQUAL OPPORTUNITY EMPLOYMENT - if this order is subject 10 the provisions of

as a pars of this order and Seller agrees to comply with the reporting requirements set forth at 41 CFR
6D-1.7 and the affirmative action compliance program requirements set forth as 41 CFR 60A.40.
19. VALIDITY OF QUOTATION. This Quotation shall be valid and subject to acceptance by the
Customer, in accordance with the terms of Section 1 hereof for the period set forth on the face hereof.
After such period, the acceptance of this Quotation shah not be binding upon ZOLL Medical Corporation
and shall not create a contract, unless such acceptance is acknowledged and accepted by ZOLL Medical
Corporation by a writing signed by an authorized representative of ZOLL Medical Corporation,
20. GENERAL. Any Contract resulting from this Quotation shall be governed by and interpreted in
accordance with the laws of the Commonwealth of Massachusetts. This constitutes the entire
agreement between Buyer and Supplier with respect to the purchase and sale of the Products described
in the face hereof, and only representations or statements contained herein shall be binding upon
Supplier as a warranty or otherwise. Acceptance or acquiescence in the course of performance
rendered pursuant hereto shall not be relevant to determine the meaning of this writing even though the
accepting or acquiescing party has knowledge of the nature of the performance and opportunity for
objection. No addition 10 or modification of any of the terms and conditions specified herein shall be
binding upon Supplier unless made in writing and signed by a duly authorized representative of Supplier.
The terms and conditions specified shall prevail notwithstanding any variance from the terms and
conditions of any order or other force submitted by Buyer for the Products set forth on the face of this
Agreornenl. To the extent that this writing may be heated as an acceptance of Buyer's prior offer, such
acceptance is expressly made conditional on assent by Buyer to the terms hereof, and, without limitation,
acceptance of the goads by Buyer to the terms hereof, and, without limitation, acceptance of the goods
by Buyer shall constitute such assent. All cancellations and reschedules require a minimum of thirty (30)
days notice.

`.Customer the equipment (including a license to use certain software) listed in this Quotation and
described in the specifications either attached to or referred to in this Quotation (hereinafter referred to
as Equipment). Any acceptance of such offer Is expressly limited to the terms of this Quotation, including
these General Terms and Conditions. Acceptance shall be so limited to this Quotation notwithstanding (1)
any conflicting written or oral representations made by ZOLL Medical Corporation or any agent or
employee of ZOLL Medical Corporation or (ii) receipt or acknowledgement by ZOLL Medical Corporation
of any purchase order, specification, or other document Issued by the Customer. Any such document
shall be wholly inapplicable to any safe made pursuant to this Quotation, and shall not be binding in any
way on ZOLL Medical Corporation.
Acceptance of this Quotation by the Customer shall create an agreement between ZOLL Medical
Corporation and the Customer (hereinafter referred to as the 'Contract the terms and conditions of
which are expressly limited to the provisions of this Quotation including these Terms and Conditions. No
waiver change or modification of any of the provisions of this Quotatan or the Contract shall be binding
on ZOLL Medical Corporation unless such waiver, change or modification (i) is made in writing (ii)
expressly states that it is a waiver, change or modification of this Quotation or the Contract and (III) is
signed by an authorized representative of ZOLL Medical Corporation.
2. DELIVERY AND RISK OF LOSS. Unless otherwise stated, all deliveries shall be F.O.B. ZOLL
Medical Corporation's facility. Risk of loss or damage to the Equipment shall pass to the Customer upon
delivery of the Equipment to the carrier.
3. TERMS OF PAYMENT. Unless otherwise stated in its Quotation payment by Customer is due thirty
(30) days after the ship date appearing on ZOLL Medical Corporation invoice. Any amounts payable
hereunder which remain unpaid after the data shall be subject to a late charge equal to 1.5% per month
from the due date until such amount is paid.
4. CREDIT APPROVAL. At shipments and deliveries shall at ail times be subject to the approval of
credit by ZOLL Medical Corporation. ZOLL Medical Corporation may at any time decline to make any
shipment of delivery except upon receipt of payment or security or upon terms regarding credit or
security satisfactory to ZOLL Medical Corporation.
S. TAXES & FEES. The pricing quoted in its Quotation do not include sales use, excise, or other similar
taxes or any duties or customs charges, or any order processing fees. The Customer shall pay in
addition for the prices quoted the amount of any present or future sales, excise or other similar tax or
customs duty or charge applicable to the sale or use of The Equipment sold hereunder (except any tax
based on the net income of ZOLL Medical Corporation), and any order processing fees that ZOLL may
apply from time to time. In liou thereof the Customer may provide ZOLL Medical Corporation with a tax
exemption cer6ficaie accap€ablo to the taxing authorities.
6. WARRANTY. (a) ZOLL Medical Corporation warrants to the Customer that from the earlier of the date
of installation or thirty (30) days after the date of shipment from ZOLL Medical Corporation's facility, the
Equipment (other than accessories and electrodes) will be free from defects in material and workmanship
under normal use and service for the period noted on the reverse side. Accessories and electrodes shall
be warranted for ninety (90) days from the date of shipment. During such period ZOLL Medical
Corporation will at no charge to the Customer either repair or replace (at ZOLL Medical Corporation's
sole option) any part of the Equipment found by ZOLL Medical Corporation to be defective in material or
.workmanship. If ZOLL Medical Corporation's inspection detects no defects in material or workmanship,
5ZOLL Medical Corporation's regular servica charges shall apply. (b) ZOLL Medical Corporation shall not
=be responsible for any Equipment defect failure of the Equipment to perform any specified function, or
any other nonconformance of the Equipment caused by or attributable to (i) any modification of the
Equipment by the Customer, unless such modification is made with the prior written approval of ZOLL
Medical Corporation: (li) the use of the Equipment with any associated or complementary equipment
accessory or software not specified by ZOLL Medical Corporation, or (ill) any misuse or abuse of the
Equipment: (iv) exposure of the Equipment to conditions beyond the environmental, power or operating
constraints specified by ZOLL Medical Corporation, or (v) installation or wiring of the Equipment other
than in accordance Wth ZOLL Medical Corporation's instructions. (a) Warranty does not cover items
subject to normal wear and burnout during use, including but not limited to lamps, fuses, batteries, cables
and accessories. (d) The foregoing warranty does not apply to software included as part of the
Equipment (including software embodied in read-only memory known as Y(mware'). (a) The foregoing
warranty constitutes the exclusive remedy of the Customer and the exe€usive liability of ZOLL Medical
Corporation for any breach of any warranty related to the Equipment supplied hereunder. THE
WARRANTY SET FORTH HEREIN IS EXCLUSIVE AND ZOLL MEDICAL CORPORATION
EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES WHETHER WRITTEN, ORAL, IMPLIED, OR
STATUTORY, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY OR
FITNESS FOR A PARTICULAR PURPOSE.
7. SOFTWARE LICENSE. (a) All software (the 'Software' which term shall include firmware) included as
part of the Equipment is licensed to Customer pursuant to a nonexclusive limited license on the terms
hereinafter set forth, (b) Customer may not copy, distribute, modify, translate or adapt the Software, and
may not disassemble or reverse compile the Software, or seek in any manner to discover, disclose or
use any proprietary algorithms, techniques or other confidential Information contained therein, (c) All
rights in the Software remain the product of ZOLL Medical Corporation, and Customer shall have no right
or interest therein except as expressly provided herein. (d) Customer's right to use the Software may be
terminated by ZOLL Medical Corporation in the event of any failure to comply with terms of this
quotation, (a) Customer may transfer the license conrerred hereby only in connection with a transfer of
the Equipment and may not retain any copies of the Software following such transfer. (I) ZOLL Medical
Corporation warrants that the read-only memory or other media on which the Software is recorded calif be
free from defects in materials and workmanship for the period and on terms sat forth in section 6. (g)
Customer understands that the Software is a complex and sophisticated software product and no
assurance can be given that operation of the Software will be uninterrupted or error -free, or that the
Software wilt meet Customer's requirements. Except as set forth in section 7(f), ZOLL MEDICAL
CORPORATION MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE
SOFTWARE AND IN PARTICULAR DISCLAIMS ANY IMPLIED WARRANTIES OR
MERCHANTABILITY OR FITNESS OF A PARTICULAR PURPOSE WITH RESPECT THERETO.
Customers exclusive remedy for any breach of warranty or defect relating to the Software shall be the
repair or replacement of any defective read only memory or other media so that it correctly reproduces
the Software. This License applies only to ZOLL Medical Corporation Software.
8. DELAYS IN DELIVERY. ZOLL Medical Corporation shall not be liable for any delay in the delivery of
any part of the Equipment if such delay is due to any cause beyond the control of the ZOLL Medical
Corporation including, but not limited to acts of God, fires, epidemics, floods, riots, wars, sabotage, labor
disputes, governmental actions, inability to obtain materials, components, manufacturing facilities or
transportation or any other cause beyond the control of ZOLL Medical Corporation. In addition ZOLL
,Medical Corporation shalt not be liable for any delay in delivery caused by failure of the Customer to
rovide any necessary information in a timely manner. In the event of any such delay, the data of
sbipment or performance hereunder shall be extended to the period equal to the time lost by reason of
such delay. In the event of such delay ZOLL Medical Corporation may allocate available Equipment
among its Customers on any reasonable and equitabte basis. The delivery dates set forth in this
Quotation are approximate only and ZOLL Medical Corporation shall not be liable for or shall the
Contract be breached by, any delivery by ZOLL Medical Corporation within a reasonable time after such
dates.
9, LIMITATIONS OF LIABILITY. IN NO EVENT SHALL ZOLL MEDICAL CORPORATION BE LIABLE
FOR INDIRECT SPECIAL OR CONSEQUENTIAL DAMAGES RESULTING FROM ZOLL MEDICAL
CORPORATIONS PERFORMANCE OR FAILURE TO PERFORM PURSUANT TO THIS QUOTATION
OR THE CONTRACT OR THE FURNISHING, PERFORMANCE, OR USE OF ANY EQUIPMENT OR
SOFTWARE SOLD HERETO, WHETHER DUE TO A BREACH OF CONTRACT, BREACH OF
WARRANTY, THE NEGLIGENCE OF ZOLL MEDICAL CORPORATION OR OTHERWISE.
10. PATENT INDEMNITY. ZOLL Medical Corporation shall at its awn expense defend any suit that may
be instituted against the Customer for alleged infringement of any United States patents or copyrights
related to the parts of the Equipment or the Software manufactured by ZOLL Medical Corporation,
provided that (I) such alleged infringement consists only in the use of such Equipment or the Software by
itself and not as a part of or in combination with any other devices or parts, (ii) the Customer gives ZOLL
Medical Corporation immediate notice in writing of any such suit and permits ZOLL Medical Corporation
through counsel of its choice, to answer the charge of infringement and defend such suit, and (!it) the
Customer gives ZOLL Medical Corporation all requested information, assistance and authority at ZOLL
Medical Corporation's expense, to enable ZOLL Medical Corporation to defend such suit.
In the case of a final award of damages for infringement in any such suit, ZOLL Medical Corporation will
pay such award, but it shall not be responsible for any settlement made without its written consent.
Section 10 states ZOLL Medical Corporation's total responsibility and liabifitys, and the Customer's sole
remedy for any actual or alleged infringement of any patent by the Equipment or the Software or any part
thereof provided hereunder. In no event shall ZOLL Medical Corporation be liable for arty indirect,
special, or consequential damages resulting from any such Infringement.
11. CLAIMS FOR SHORTAGE. Each shipment of Equipment shall be promptly examined by the
Customer upon receipt thereof. The Customer shall inform ZOLL Medical Corporation of any shortage in
any shipment within ten (10) days of receipt of Equipment. If no such shortage is reported within ten (10)
day period, the shipment shall be conclusively deemed to have been complete.
12. RETURNS AND CANCELLATION. (a) The Customer shall obtain authorization from ZOLL Medical
Corporation prior to returning any of the Equipment. (b) The Customer receives authorization from ZOLL
Medical Corporation to return a product for credit, the Customer shall be subject to a restocking charge
of twenty percent (20%) of the original list purchase price, but not less than $50.00 per product. (c) Any
such change in delivery caused by the Customer that causes a delivery date greater than six (6) months
from the Customer's original order date shall constitute a new order for the affected Equipment in
determining the appropriate list price.
13. APPLICABLE LAW. This Quotation and the Contract shall be governed by the substantive laws of
the Commonwealth of Massachusetts without regard to any choice of law provisions thereof.
14. COMPLIANCE WITH LAWS. (a) ZOLL Medical Corporation represents that all goods and services
delivered pursuant to the Contract will be produced and supplied in compliance with all applicable state
and federal laws and regulations, including the requirements of the Fair Labor Standards Act or 1938, as
amended. (b) The Customer shall be responsible for compliance with any federal, state and local laws
and regulations applicable to the installation or use of the Equipment furnished hereunder, and will obtain
any permits required for such installation and use.
15. NON -WAIVER OF DEFAULT. In the event of any default by the Customer, ZOLL Medical
Corporation may decline to make further shipments or render any further warranty or other services
without In any way affecting its dght under such order. If despite any default by Customer, ZOLL Medical
Corporation elects to continue to make shipments its action shall not constitute a waiver of any default by
the Customer or in any way affect ZOLL Medical Corporation's legal remedies regarding any such
default. No claim or right arising out of a breach of the Agreement by the Customer can be discharged in
whole or in part by waiver or renunciation of the claim or right unless the waiver or renunciation is
supported by consideration and is in writing signed by ZOLL Medical Corporation.
16. ASSIGNMENT, This Quotation, and the Contract, may not be assigned by the Customer without the
prior wdtten consent of ZOLL Medical Corporation, and any assignment without such consent shall be
null and void.
17. TITLE TO PRODUCTS. Title to right of possession of the products sold hereunder shall remain with
ZOLL Medical Corporation until ZOLL Medical Corporation delivers the Equipment to the carder and
agrees to do all acts necessary to perfect and maintain such right and title in ZOLL Medical Corporation.
Failure of the Customer to pay the purchase price for any product when due shall give ZOLL Medical
Corporation the right, without liability to repossess the Equipment, with or without notice, and to avail
itself of any remedy provided by law.
18. EQUAL EMPLOYMENT OPPORTUNITY f AFFIRMATIVE ACTION.
VETERAN'S EMPLOYMENT - €f this order is subject to Executive Order 11710 and the
rules, regulations, or orders of the Secretary of Labor -issued thereunder the contract clause as set forth
at 41 CPR 60-250.4 is hereby included as part of this order.
EMPLOYMENT OF HANDICAPPED - if this order is subject to Section 503 of the
Rehabilitation Act of 1973, as amended and the rules, regulations or orders of the Secretary of Labor as
issued thereunder, the contract clause at 41 CFR 60-741.7 is hereby included as part of this order.
EQUAL OPPORTUNITY EMPLOYMENT - if this order is subject to the provisions of
Executive Order 11246, as amended, and the rules, regulations or orders of the Secretary of Labor
issued thereunder, the contract clause set forth at 41 CFR 60.1.4 (a) and 60.1.4 (b) are hereby included
as a part of this order and Seller agrees to comply with the reporting requirements set forth at 41 CFR
60-1.1 and the affirmative action compliance program requirements set forth as 41 CFR 60.1.40.
19. VALIDITY OF QUOTATION. This Quotation shall be valid and subject to acceptance by the
Customer, in accordance whit the terms of Section 1 hereof for the period set forth on the face hereof,
After such period, the acceptance of this Quotation shall not be binding upon ZOLL Medical Corporation
and shall not create a contract, unless such acceptance is acknowledged and accepted by ZOLL Medical
Corporation by a writing signed by an authorized representative of ZOLL Medical Corporation.
20. GENERAL. Any Contract resulting from this Quotation shall be governed by and Interpreted in
accordance with the laws of the Commonwealth of Massachusetts. This constitutes the entire
agreement between Buyer and Supplier with respect to the purchase and sale of the Products described
in the face hereof, and only representations or statements contained herein shall be binding upon
Supplier as a warranty or otherwise. Acceptance or acquiescence in the course or performance
tendered pursuant hereto shall not be relevant to determine the meaning of this writing even though the
accepting or acquiescing party has knowledge of the nature of the performance and opportunity for
objection. No addition to or modification of any of the terms and conditions specified herein shall be
binding upon Supplier unless made In writing and signed by a duly authorized representative of Supplier.
The terms and conditions specified shalt prevail notwithstanding any variance from the terms and
conditions of any order or other form submitted by Buyer for the Products set forth on the fare of this
Agreement. To the extent that this writing may be treated as an acceptance of Buyers prior offer, such
acceptance is expressly made conditional on assent by Buyer to the terms hereof, and, without limitation,
acceptance of the goods by Buyer to the terms hereof, and, vrithoul limitation, acceptance of the goods
by Buyer shall constitule such assent. Al cancellations and reschedules require a minimum of thirty (30)

ZOLL QUOTATION GENERAL TERMS & CONDITIONS
'7,CEPTANCE. This Quotation constitutes an offer by ZOLL Medical Corporation to sell to the
ner the equipment (Including a license to use certain software) listed in this Quotation and
�. „ibed in the specifications either attached to or referred to In this Quotation (hereinafter referred to
as Equipment). Any acceptance of such offer is expressly limited to the terms of this Quotation, Including
these General Terns and Conditions. Acceptance shall be so limited to this Quotation notwithstanding (1)
any conflicting written or oral representations made by ZOLL Medical Corporation or any agent or
employee of ZOLL Medical Corporation or (ii) receipt or acknowledgement by ZOLL Medical Corporation
of any purchase order, specification, or other document issued by the Customer. Any such document
shall be Wholly Inapplicable to any sale made pursuant to this Quotation, and shall not be binding in any
way an ZOLL Medical Corporation.
Acceptance of this Quotation by the Customer shall create an agreement between ZOLL Medical
Corporation and the Customer (hereinafter referred to as the 'conifacr the terms and conditions of
which are expressly limited to the provisions of this Quotation including these Terms and Conditions. No
waiver change or modification of any of the provisions of this Quotation or the Contract shalt be binding
an ZOLL Medical Corporation unless such waiver, change or modification (1) is made in writing (ii)
expressly stales that it is a waiver, change or modification of this Quotation or the Contract and (ill) is
signed by an authorized representative of ZOLL Medical Corporation.
2. DELIVERY AND RISK OF LOSS. Unless otherwise stated, all deliveries shall be F,O.B. ZOLL
Medical Corporation's facility, Risk of loss or damage to the Equipment shall pass to the Customer upon
delivery of the Equipment to the carrier.
3. TERMS OF PAYMENT. Unless otherwise stated in its Quotation payment by Customer is due thirty
(30) days after the ship date appearing on ZOLL Medical Corporation invoice. Any amounts payable
hereunder which remain unpaid after the date shall be subject to a late charge equal to 1.5% per month
from the due date until such amount is paid.
4, CREDIT APPROVAL. All shipments and deliveries shall at all times be subject to the approval of
credit by ZOLL Medical Corporation. ZOLL Medical Corporation may at any time decline to make any
shipment or delivery except upon receipt of payment or security or upon terms regarding credit or
security satisfactory to ZOLL Medical Corporation.
6. TAXES & FEES. The pricing quoted in its Quotation do not include sales use, excise, or other similar
taxes or any duties or customs charges, or any order processing fees. The Customer shall pay in
addition for the prices quoted the amount of any present or future sales, excise or other similar tax or
customs duty or charge applicable to the sale or use of the Equipment sold hereunder (except any tax
based on the net income of ZOLL Medical Corporation), and any order processing fees that ZOLL may
apply from time to time. In lieu thereof the Customer may provide ZOLL Medical Corporation with a lax
exemption certificate acceptable to the taxing authorilles.
6. WARRANTY. (a) ZOLL Medical Corporation warrants to the Customer that from the eadier of the dale
of installation or thirty (30) days after the date of shipment from ZOLL Medical Corporation's facility, the
Equipment (other than accessories and electrodes) will be free from defects in material and workmanship
under normal use and service for the period noted on the reverse side. Accessories and electrodes shall
be warranted for ninety (90) days from the date of shipment. During such period ZOLL Medical
ration will at no charge to the Customer either repair or replace (at ZOLL Medical Corporation's
)tion) any part of the Equipment found by ZOLL Medical Corporation to be defective in material or
iianship. If ZOLL Medical Corporation's inspection detects no defects in material or workmanship,
ZOLL Medical Corporation's regular service charges shall apply. (b) ZOLL Medical Corporation shall not
be responsible for any Equipment defect failure of the Equipment to perform any specified function, or
any other nonconformance of the Equipment caused by or attributable to (i) any modification of the
Equipment by (he Customer, unless such modification is made with the prior written approval of ZOLL
Medical Corporation: (it) the use of the Equipment with any associated or comp)ementary equipment
accessory or software riot specked by ZOLL Medical Corporation, or (ill) any misuse or abuse of the
Equipment: (iv) exposure of the Equipment to conditions beyond the environmental, power or operating
constraints specified by ZOLL Medical Corporation, or (v) installation of wiring of the Equipment other
than in accordance with ZOLL Medical Corporation's instructions. (c) Warranty does not cover items
subject to normal wear and burnout during use, including but not limited to lamps, fuses, batteries, cables
and accessories. (d) The foregoing warranty does not apply to software included as part of the
Equipment (Including software embodied in read-only memory known as 'firmware). (a) The foregoing
warranty constitutes the exclusive remedy of the Customer and the exclusive liability of ZOLL Medical
Corporation for any breach of any warranty related to the Equipment supplied hereunder. THE
WARRANTY SET FORTH HEREIN IS EXCLUSIVE AND ZOLL MEDICAL CORPORATION
EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES WHETHER WRITTEN, ORAL, IMPLIED, OR
STATUTORY, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY OR
FITNESS FOR A PARTICULAR PURPOSE.
7. SOFTWARE LICENSE. (a) All software (the 'Software which term shall include firmware) included as
part of the Equipment is licensed to Customer pursuant to a nonexclusive limited license on the terms
hereinafter set forth, (b) Customer may not copy, dishibute, modify, translate or adapt the Software, and
may not disassemble or reverse compile the Software, or seek In any manner to discover, disclose or
use any proprietary algorithms, techniques or other confidential information contained therein, (c) All
rights In the Software remain the product of ZOLL Medical Corporation, and Customer shall have no right
or interest therein except as expressly provided herein. (d) Customer's light to use the Software may be
terminated by ZOLL Medical Corporation in the event of any failure 10 comply with terms of this
quotation, (a) Customer may transfer the license conferred hereby only in connection with a transfer of
the Equipment and may not retain any copies of the Software following such transfer. (f) ZOLL Medical
Corporation warrants that the read-only memory or other media on which the Software is recorded will be
free from defects in materials and workmanship for the period and on terms set forth in section 6. (g)
Customer understands that the Software is a complex and sophisticated software product and no
assurance can be given that operation of the Software wiil be uninterrupted or error -free, or that the
Software wilt meet Customer's requirements. Except as set forth in section 7(f), ZOLL MEDICAL
CORPORATION MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE
SOFTWARE AND IN PARTICULAR DISCLAIMS ANY IMPLIED WARRANTIES OR
MERCHANTABILITY OR FITNESS OF A PARTICULAR PURPOSE WITH RESPECT THERETO.
Customers exclusive remedy for any breach of warranty or defect relating to the Software shall be the
repair or replacement of any defective read-only memory or other media so that it correctly reproduces
the Software. This License applies only to ZOLL Medical Corporation Software.
8. DELAYS IN DELIVERY. ZOLL Medical Corporation shall not be liable for any delay in the delivery of
art of the Equipment if such delay is due to any cause beyond the control of the ZOLL Medical
.!'ation including, but not limited to acts of God, fires, epidemics, floods, dots, were, sabotage, labor
.:es, governmental actions, Inability to obtain materials, components, manufacturing facilities or
transportation or any other cause beyond the control of ZOLL Medical Corporation. In addition ZOLL
Medical Corporation shall not be liable for any delay in delivery caused by failure of the Customer to
provide any necessary Information in a timely manner. In the event of any such delay, the date of
shipment or performance hereunder shall be extended to the period equal to the time lost by reason of
such delay. In the event of such delay ZOLL Medical Corporation may allocate available Equipment
among its Customers on any reasonable and equitable basis. The delivery dates set forth in this
Quotation are approximate only and ZOLL Medical Corporation shall not be liable for or shall the
Contract be breached by, any delivery by ZOLL Medical Corporation within a reasonable time after such
dates.
9. LIMITATIONS OF LIABILITY, IN NO EVENT SHALL ZOLL MEDICAL CORPORATION BE LIABLE
FOR INDIRECT SPECIAL OR CONSEQUENTIAL DAMAGES RESULTING FROM ZOLL MEDICAL
CORPORATIONS PERFORMANCE OR FAILURE TO PERFORM PURSUANT TO THIS QUOTATION
OR THE CONTRACT OR THE FURNISHING, PERFORMANCE, OR USE OF ANY EQUIPMENT OR
SOFTWARE SOLD HERETO, WHETHER DUE TO A BREACH OF CONTRACT, BREACH OF
WARRANTY, THE NEGLIGENCE OF ZOLL MEDICAL CORPORATION OR OTHERWISE.
10. PATENT INDEMNITY. ZOLL Medical Corporation shall at its own expense defend any suit that may
be instituted against the Customer for alleged infringement of any United Slates patents or copyrights
related to the parts of the Equipment or the Software manufactured by ZOLL Medical Corporation,
provided that (1) such alleged infringement consists only in the use of such Equipment or the Software by
itself and not as a part of or in combination with any other devices or parts, (11) the Customer gives ZOLL
Medical Corporation immediate notice in waiting of any such suit and permits ZOLL Medical Corporation
through counsel of its choice, to answer the charge of infringement and defend such suit, and (Ili) the
Customer gives ZOLL Medical Corporation all requested Information, assistance and authority at ZOLL
Medical Corporation's expense, to enable ZOLL Medical Corporation to defend such suit.
In the case of a final award of damages for infringement in any such suit, ZOLL Medical Corporation will
pay such award, but it shall not be responsible for any settlement made without its written consent.
Section 10 states ZOLL Medical Corporation's total responsibility and Ilabi#ity's, and the Customer's sole
remedy for any actual or alleged infringement of any patent by the Equipment or the Software or any part
thereof provided hereunder. In no event shall ZOLL Medical Corporation be liable for any indirect,
special, or consequential damages resulting from any such Infringement.
11. CLAIMS FOR SHORTAGE. Each shipment of Equipment shall be promptly examined by the
Customer upon receipt Ihareof. The Customer shall Inform ZOLL Medical Corporation of any shortage In
any shipment within ten (10) days of receipt of Equipment. If no such shortage is reported within ten (10)
day period, the shipment shall be conclusively deemed to have been complete.
12. RETURNS AND CANCELLATION. (a) The Customer shall obtain authorization from ZOLL Medical
Corporation prior to returning any of the Equipment. (b) The Customer receives authorization from ZOLL
Medical Corporation 10 return a product for credit, the Customer shall be subject to a restocking charge
of twenty percent (201%) of the original list purchase price, but not less than $50.00 per product. (c) Any
such change in delivery caused by the Customer that causes a delivery dale greater than six (6) months
from the Customer's original order date shelf constitute a new order for the affected Equipment in
determining the appropriate fist price.
13. APPLICABLE LAW. This Quotation and the Contract shall be governed by the substantive laws of
the Commonwealth of Massachusetts without regard to any choice of law provisions thereof.
14. COMPLIANCE WITH LAWS. (a) ZOLL Medical Corporation represents that all goods and services
delivered pursuant to the Contract will be produced and supplied In compliance with all applicable state
and federal laws and regulations, including the requirements of the Fair Labor Standards Act of 1938, as
amended. (b) The Customer shall be responsible for compliance with any federal, stale and local laws
and regulations applicable to the installation or use of the Equipment furnished hereunder, and will obtain
any permits required for such installation and use.
16, NON -WAIVER OF DEFAULT. In the event of any default by the Customer, ZOLL Medical
Corporation may decline to make further shipments or render any further warranty or other services
without in any way affecting its right under such order. if despite any default by Customer, ZOLL Medical
Corporation elects 10 continue to make shipments its action shall not constitute a waiver of any default by
the Customer or in any way affect ZOLL Medical Corporation's legal remedies regarding any such
defaulL No claim or right arising out of a breach of the Agreement by the Customer can be discharged In
whole or in part by waiver or renunciation of the Balm or right unless the waiver or renunciation is
supported by consideration and is in writing signed by ZOLL Medical Corporation.
1S. ASSIGNMENT. This Quotation, and the Contract, may not be, assigned by the Customer without the
prior written consent of ZOLL Medical Corporation, and any assignment without such consent shall be
null and void.
17. TITLE TO PRODUCTS. Title to right of possession of the products sold hereunder shall remain with
ZOLL Medical Corporation until ZOLL Medical Corporation delivers the Equipment to the carrier and
agrees to do all ads necessary to perfect and maintain such right and title in ZOLL Medical Corporation.
Failure of the Customer to pay the purchase price for any product when due shall give ZOLL Medical
Corporation the right, without liability to repossess the Equipment, with or without notice, and to avail
itself of any remedy provided by law.
18. EQUAL EMPLOYMENT OPPORTUNITY! AFFIRMATIVE ACTION.
VETERAN'S EMPLOYMENT - If this order is subject to Executive Order 11710 and the
rules, regulations, or orders of the Secretary of Labor issued thereunder the contract clause as set forth
at 41 CFR 60-250.4 is hereby included as part of this order.
EMPLOYMENT OF HANDICAPPED - If this order is subject to Section 503 of the
Rehabilitation Act of 1973. as amended and the rules, regulations or orders of the Secretary of Labor as
issued thereunder, the contract clause at 41 CFR 60-741.7 is hereby included as part of this order.
EQUAL OPPORTUNITY EMPLOYMENT - if this order is subject to the provisions of
Executive Order 11246, as amended, and the rules, regulations or orders of the Secretary of Labor
issued thereunder, the contract clause set forth at 41 CFR 60-1.4 (a) and 60-1.4 (b) are hereby included
as a part of this order and Seller agrees 10 comply with the reporting requirements set forth at 41 CFR
60-1.7 and the affirmative action compliance program requirements set forth as 41 CFR 60-1.40.
19. VALIDITY OF QUOTATION. This Quotation shall be valid and subject to acceptance by the
Customer, in accordance with the terms of Section 1 hereof for the period set forth on the face hereof.
After such period, the acceptance of this Quotation shall not be binding upon ZOLL Medical Corporation
and shall net create a contract, unless such acceptance Is acknowledged and accepted by ZOLL Medical
Corporation by a writing signed by an authorized representative of ZOLL Medical Corporation.
20. GENERAL. Any Contract resulting from this Quotation shall be governed by and interpreted in
accordance with the taws of the Commonwealth of Massachusetts. This constitutes the entire
agreement between Boyer and Supplier with respect to the purchase and sale of the Products described
in the face hereof, and only representations or statements contained herein shall be binding upon
Supplier as a warranty or otherwise. Acceptance or acquiescence in the course of performance
rendered pursuant hereto shall not be relevant to determine the meaning of this writing even though the
accepting or acquiescing party has knowledge of the nature of the performance and opportunity for
objection. No addition to or modification of any of the terms and condtions specified herein shall be
binding upon Supplier unless made in writing and signed by a duly authorized representative of Supplier.
The terms and conditions specified shall prevail notwithstanding any variance from the terms and
conditions of any order or other form submitted by Buyer for the Products set forth on the face of this
Agreement. To the extent that this writing may be treated as an acceptance of Buyer's prior offer, such
acceptance is expressly made conditional on assent by Buyer to the terms hereof, and, without limitation,
acceptance of the goods by Buyer to the terms hereof, and, without limitation, acceptance of the goods
by Buyer shall constitute such assent. All cancellations and reschedules require a minimum of thirty (30)
days notice.

The Technical Support Representative will require the following pertinent information to open a Service

• Description of the complaint
• Department where the equipment is being used
• Patient information if applicable

• Purchase Order number if the device is out of warranty
This information will, assist us in performing a full evaluation when the product is, received at our Depot.
You will be given an RMA number to track the return of your product.
Ernergengy Service
Outside the coverage identified above, Technical Support is available to all ZOLL Customers on an
emergency basis 7 days a week. Emergency Support is available by calling 1-800-348-9011, option
8 to reach our off hours dispatch system. During weekends and evenings, our on call Technical
Support Representative will return the call within 4 hours.
Re once Time
The Te,chnicail Support Help Desk answers support inquiries in real time. If the caller prefers to leave a
voicemail, the tech support team will: return the call within I hour (during business hours). The caller
will work with the Technical Support Representative to troubleshoot the issue.
Technical Support Help Desk may dispatch a service loaner to your facility, A Service Loaner is available
at no charge during the repair analysis process and is shipped to arrive before 10 AM the next business
day.
On -Site Service
If the inquiry is not resolved during the phone call, a local fiend support technician may be dispatched.
ZOLL On -Site is specifically designed for customers that require an on -site service plain. In addition to
our standard free service, ZOLL On -Site provides the expertise of our factory trained ZOLL Field
Support Technicians.

Terms
Within 48 hours of contact to Technical Support, a Field Support Representative will be on -site during
normal business hours to respond to the customer's needs.
If the On -Site contract covers multiple devices, located in multiple stations, you must provide one or
two primary centrally located stations. In the event of a device problem, the device should be made
available to the ZOLL Field Support Technician during the scheduled on -site visit at one of the two
centrally located stations.
A primary and back-up contact must be provided to the ZOLL Field Support Technician for all
communication.
Only closed box repairs can be completed on -site (i.e. software updates, software reloading, handle
replacement, external cable replacement).
Service Provided by On -Site Service
The following services will be provided by a ZOLL field technician during the scheduled on -site visit:
• Troubleshoot device(s) and/or accessories under contract.
• Place calls with the Technical Support Help Desk to open Service Requests and obtain a Return
Authorization Number for devices requiring ZOLL Depot repair/evaluation.
• Coordinate service loaner deployments with ZOLL's Technical Support Help Desk.
• Functionally test and assist in the deployment of service loaners or customer devices, including:
o loading custom device configurations;
o attaching carrying cases/ bags;
o attaching mounting brackets;
o connecting accessories; and
o establishing communications (pairing BT, Wi-Fi, etc...).
• Perform authorized on -site device repairs as appropriate per ZOLL Repair Policies.
• Package (or un-package) service loaners and customer units under contract for shipment to (or
returned from) ZOLL.
• Provide answers or guidance to assure that any issues or questions you or your staff may have
are addressed.
• Provide product training as required.
• Perform device software updates with the permission of the customer.
• Review battery chargers and battery management. Cycle batteries as required.

Depot Repairs
Repairs are performed in the Service Depot located at ZOLL Corporate in Chelmsford, MA.
ZOLL Service Technicians are highly skilled individuals that are trained in accordance with the Technical
Service Standard Operating Procedures. Training is required to be completed prior to evaluating and
repairing any device. Technicians are also required to be trained on any updates to these procedures
as they occur.
Training requirements, procedures and records are retained electronically in the WILL Training System
(ZTS) database. ZOLL is committed to providing the highest level of quality in the servicing of all ZOLL
products.
All repaired products go through an integral recertification process prior to being returned to you. This
includes devices that undergo a repair or an evaluation which determines that a repair is not required,
as the evaluation may include disassembly of the product. This process recertifies your device for
clinical use.
On -Site Service for Preventive Maintenance (Purchased separately)
The Preventive Maintenance inspection of ZOLL manufactured devices must be purchased separately
from the On -Site Service program. ZOLL recommends that Preventive Maintenance be performed on
most devices (refer to the devices Operator's Manual). A Preventive Maintenance program through
ZOLL verifies that your ZOLL defibrillators are operating to specification.
Should the Preventive Maintenance service be purchased, a ZOLL factory trained PM and Deployment
Technician will be scheduled to provide annual on -site preventive maintenance at one or two centrally
located stations. A primary and back-up PM contact must be provided to the ZOLL Field Support
Technician for all communication and scheduling. ZOLL will work with a PM Contact provided to
coordinate the Preventive Maintenance.

Today ZOLL's product portfolio and customer base have greatly expanded. Hospitals, emergency
medical services (EMS), and lay rescuers across the globe use ZOLL professional and automated external
defibrillators every day to treat sudden cardiac arrest and improve outcomes. Our comprehensive product
portfolio also includes the world's only wearable defibrillator; a revolutionary automated CPR system;
rapid, highly efficient intravascular and surface temperature management systems for patients who require
therapeutic cool ing or warming; and intrathoracic pressure regulation (IPR) therapy, which creates a vacuum
inside the chest cavity that enhances circulation, increases blood pressure, and lowers intracranial pressure.
In 2t115 our ResQCPRTm System became the first and only CPR device with an FDA -approved indication
to "increase the: likelihood of survival in adults who have experienced non -traumatic cardiac arrest," Cardiac
arrest victims treated with the ResQCPR System were 49% more likely to be alive one year after the
event than patients treated with conventional manual CPR.2 We also offer a family of portable
ventilators for environments ranging from the emergency department to military operations, and every
care environment in between.

unmatched. When the call first comes in, EMS systems use RescueNetO Navigator to get the crew to,
the scene as quickly as possible. After the crisis has passed, RescueNet Code Review enables rescuers to
see events as they occurred, providing the ECG, the vital signs, and the depth and rate of compressions for
a post -event analysis.
