THIS AGREEMENT, made aNd eXtered iNto this 9th. day of October, 19250 betweeN the City of South BeNd, a muNicipal corporatioN of the State of INdiaNa., by aNd through its Board of Public Works, party of the first part hereiNafter referred to as the City, aNd INdIaNa & MichigaN Electric CompaNy, party of the secoNd part hereiNafter referred to as the CoNtraotor, pursuaNt to a resoiutioN Of the Board of Public Works, passed at a meetiNg, held oN the 9th. day of October, 1925, WITN ESS ETH: That the parties hereto, each IN coNsideratioN of the agreemeNts oN t the party of the other, hereiN eoNtaiNed, have mutually agreed aNd hereby mutually agree as follows:- • 1. The coNtraator shall provide aNd maiNtaiN a street lightiNg system IN the City of South BeNd, INdiaNa, eoNsisitiNg_of NiNety(90) street lamps.supplied from the uuNdergrouNd distributioN system of the CoNtractor, Such uNdergrouNd lamps shall be as follows:- 90 SheridaN 10foot Hollow SpuN CoNcrete lightiNg StaNdards complete with OctagoNal JuNior LightiNg UNit.aNd StaNdard Series film socket equipped with oNe, 10GO lumeN 6.6 ampere series street lightiNg lamps. UNits Numbered 1 to 66 iNclusive, as showN aN attached blue priNt, shall be iNstalled ready for operatioN by JaNuary 19 19269 aNd uNits Nusmbe ed 67 to 90 iNclusive, shall be iNstalled ready for operatioN by November 1101926. All property used IN the performaNce of this coNtract shall be aNd . rema iN the properly of the CoNtrac tor. The coNtmetor shall at its cost furNish all lamp reNewals aNd light all lamps hereiN provided for by electricity for a period of NiNe years from aNd after the last. day of JaNuary, 1926 , at NooN All of the lamps 799 Zrt c & Weer 9th.. 1925. CoNtift6d. which shall be provided aNd maiNtaiNed by this ooNtractor shall be operated so that they will give the maximum amauNi of I1lumiNatioN obtaiNable uNder commercial ooNditioNs. 2. All 'lamps hereiN provided for shall be burNed fromeNe-.half hour after suNset uNtil oNerhalf hour.before suNrise, every Night aNd all Night burNiNg , approximately four thousaNd (4,000) hours per aNNum. The Number of lamps furNished aNd lighted uNder this coNtract shall be the Number provided for IN paragraph 1. hereof, aNd shall be.loca-ted as showN ON the blue priNt attached hereto aNd ideNtified by the sigNature of the CNNteactor aNd members of the Board of Public Storks. 4. All outages shall be reported daily IN writiNg•by the property officers of the City to the CoNtractor %Nd the proper officers of the City may deduct from the total moNthly amouNt which would have beeN paid for aNy lamp so reported had No outage oocured, the sum heariNg the ratio to such total as the period of outage bears to the total time the lamp would have beeN lighted IN aNy moNth. 5. Street lightiNg uNits hereiN coNtraoted for shall be moved by the CoNtractor to such New looatioN as the City will by writiNg direct,, subject to the followiNg coNditioNs:- Such moviNg of lamps shall be completed withiN thirty (30) days after receipt by ooNtractor of wtitt*N Notice from the City SuNday's legal holidays aNd stormy days Not to be oouNted, provided that the Number of such removals shall Not dxceed oNe per day, aNd provided further that such removals may Not be required by SuNdgry'slegal holidays aNd stormy days. Noticethat the work of such removal of maps, has beeN completed shall be giveN by the CoNtractor to the City withiN teN (10) days aft* the completioN of thw work. The actual cost to the coNtractor of makiNg such axmexalrelooat,ioNs shall be paid by the City to the coNtractor withiN thirty(30) days after said Notioe has beeN giveN. — - - -- -- - 6. The City shall accept such lamps aNd the services hereiN specified dur dur iNg the life of this coNtract %Nd pay as full compeNsatioN ttherefor at the date aNd price set out IN the accepted bid, to -wit: - For uNdergrouNd street lightiNgxNlftsuNits. 90--. The coNtractor shall have the right with the coNseNt of the Board of Public Works of the City, at aNy time duriNg the life of this ooNtract, to iNsta ll. , operate aNd maiNta iN IN the place of the lamps hereiN provided for, aNd uNder the same terms aNd coNditioNs, other aNd more improved lamps IN keepiNg with such advalloemeNt as may be made iNthe art of lightiNg, which lamps shall be of equivaleNt or greater illumiNatiNg power. S. IN authorisiNg car graNtiNg a permit to aNy persoN, firm or corporatioN to repair or out iNto aNy street, alley, or sidewalk IN which said street lightiNg uNits aNd liNes aNd cables supplyiNg curreNt thereto are located, the City shall require, as a ooNditioN to the graNtiNg of such permit, aN agreemeNtdN the part of the applicaNt that such liNes %Nd cables aNd street lightiNg uNits shell Not be iNter#ered with IN aNy maNNer without Notice to the coNtractor. 9, All the coveNaNts, expressioNs, terms, ooNditioNs provislioNs, aNd agreemeNts hereiN shall exteNd to aNd be biNdiNg ipoN, or iNsure to the beNefit of, as the case may be, each aNd every oNe of the successors or assigNs of each of the parties hereto as if IN every case so expressed. 10. This CoNtract shall be iN.force aNd effect from aNd after its approval by OrdiNaNce for a period of N.iNe (9) years from aNd after the 1st. day of JaNuary, 1926, at NOON.
