Attached to this memorandum is the INTERLOCAL AGREEMENT BY AND AMONG THE
SOUTH BEND PARKS BOARD, THE SOUTH BEND BOARD OF PUBLIC WORKS AND
THE SOUTH BEND REDEVELOPMENT COMMISSION. This document, once signed by
all three agencies, will allow for the orderly project management and funding for the
Coveleski Stadium Improvements — Phase 2.
Staff requests the Commission's approval of this document.

INTERLOCAL AGREEMENT BY AND AMONG
THE SOUTH BEND PARKS BOARD,
THE SOUTH BEND BOARD OF PUBLIC WORKS
AND THE SOUTH BEND REDEVELOPMENT COMMISSION
(Coveleski Stadium Rehabilitation)
THIS AGREEMENT, is entered into and made effective the day of ,
2010, by and among the South Bend Department of Parks and Recreation, by and through the
South Bend Parks Board, the South Bend Department of Public Works, by and through the South
Bend Board of Public Works, and the South Bend Department of Redevelopment, by and
through the South Bend Redevelopment Commission.
RECITALS
WHEREAS, the South Bend Department of Parks and Recreation ( "Parks ") and the
South Bend Department of Public Works ( "Public Works ") are each departments within a
municipal corporation existing and operating as a political subdivision of the State of Indiana as
defined by Ind. Code § 36- 1 -2 -13 and are authorized enter into an interlocal agreement pursuant
to Ind. Code § 36- 1 -7 -4; and
WHEREAS, the South Bend Department of Redevelopment ( "Redevelopment ") is a
public corporate body created by Indiana law; and
WHEREAS, the South Bend Parks Board ( "Parks Board ") is the governing body of
Parks; and
WHEREAS, the South Bend Board of Public Works (`BPW ") is the governing body of
Public Works; and
WHEREAS, the South Bend Redevelopment Commission ( "Commission ") is the
governing body of Parks; and
WHEREAS, Parks is the owner of the real estate and facility generally known as the
Stanley Coveleski Stadium ( "Coveleski ") located in South Bend; and
WHEREAS, Parks desires to rehabilitate Coveleski; and
WHEREAS, Redevelopment has the resources to fund a rehabilitation of Coveleski; and
WHEREAS, Public Works has the expertise and procedures in place to contract for and
administer the rehabilitation of Coveleski; and
WHEREAS, Parks Board, BPW and Commission desire to enter into an agreement
providing for the funding and contract administration of the Project.
NOW, THEREFORE, in consideration of the mutual promises and obligations in this
Agreement, the adequacy of which is hereby acknowledged, the Parties agree as follows:
I. PURPOSE
Coveleski is a public facility located in South Bend, Indiana and benefiting the citizens of
South Bend and Parks Board determines that it is necessary and in the public's best interests to
rehabilitate Coveleski to provide for the safety and convenience of persons attending Coveleski.
The Project is generally depicted at Exhibit "A" attached hereto and incorporated herein.
BPW has considerable experience in contracting for and administering similar public
works construction projects. The parties wish to utilize the expertise and experience of BPW in
letting and overseeing any such contracts reasonably necessary to carry out and accomplish the
Project.
Commission has resources which can be used for funding the Project. The parties wish to
use the Commission resources to fund the Project.
II. PROJECT FUNDS AND DUTIES
a. Budget.
This agreement relates only to the final phase of this project. "Coveleski Stadium
Improvements - Phase 2 ", also described as Engineering Project No. 110 -087, will provide for a
completed stadium campus. The Phase 2 project budget is $9,575,445.00 of which
$1,989,445.00 is SBCDA TIF and SBCDA 2003 Bond ( "Project Funds "). Additional funding
will be provided from other sources as disclosed in Exhibit "A ".
b. Duties of Parks.
Parks hereby agrees as follows:
i. Parks shall make available and provide free access to Coveleski to Public
Works and Redevelopment and to each of their agents and designated
contractors.
ii. Parks shall review for approval all proposed improvements to Coveleski
before Public Works begins the contract bidding process.
C. Duties of Public Works.
Public Works hereby agrees as follows:
i. Subject to the Project Funds identified for the Project, Public Works shall
enter into each contract for the project and make decisions necessary to
complete the Project.
ii. Public Works shall supervise and administer all necessary contracts with the
design consultant and the construction contractor.
d. Duties of Redevelopment.
Redevelopment hereby agrees as follows:
Redevelopment shall have the duty of receiving, discharging, and accounting
for all the monies of this joint undertaking and shall make payments upon
authorization from Public Works.
e. Ownership of Project
i. Upon completion of each respective aspect of the Project, the ownership of
Coveleski shall remain with Parks.
III. ADMINISTRATION
This Agreement shall be administered by a joint board consisting of the Parks
Superintendent, the City Engineer and the Director of Redevelopment. Modifications of Phase 1
costs and the addition of all future Phases shall be subject to the approval of the parties to this
Agreement. Upon completion of the Project, a final audit shall be performed by Redevelopment.
IV. DURATION
This Agreement shall go into effect when it has been approved by each of the parties,
approved by proper resolution of the governing body of the City of South Bend and has been
recorded with the St. Joseph County Recorder. The Agreement shall terminate on December 31,
2013 unless extended or sooner terminated by the parties.
