Subject: Resolution 2689 -Accepting the Transfer of Real Property from St. Joseph County
Date: .May 18, 2010
This Resolution accepts the transfer of two properties from St. Joseph County to the
Commission. The properties are the former EMI property at 2020 S. Main Street and the former
Millennium Environmental property at 604 S. Scott Street. The County obtained title to the property
through the tax sale process and is conveying them to the Commission for $1 per parcel.
We have worked with environmental legal counsel to obtain. a "Comfort Letter" for each
property from the Indiana Brownfields Program. We've received the letter for the EMI property and
expect the letter for the Millennium property sometime this week. If the letter for the Millennium
property does not come by the time of your meeting I request that you approve the resolution subject
to receipt of that letter. The purpose of the Comfort Letter is to protect the Commission from
environmental liability for the property.
Our plans are to demolish both properties and make the land available for new development.
The Indiana Department of Environmental Management has agreed to complete a remediation of the
soils at the Millennium property and we will coordinate our demolition with them so that they can
complete their cleanup.

A RESOLUTION OF THE
SOUTH BEND REDEVELOPMENT COMMISSION
ACCEPTING THE TRANSFER OF REAL PROPERTY
FROM ST. JOSEPH COUNTY, INDIANA
WHEREAS, St. Joseph County, Indiana (the "County") is the .owner of certain
real property situated in St. Joseph County, Indiana and being more particularly described
in Exhibit "A" (the "Real Property"); and
WHEREAS, the South Bend Department of Redevelopment, acting by and
through the South Bend Redevelopment Commission (the "City"), desires to acquire the
Real Property from the County for the purpose of rehabilitating the Real Property and
returning the Real. Property to the tax rolls; and
WHEREAS, the County desires to transfer the Real Property to the City for the
purpose stated herein; and
WHEREAS, pursuant to I.C. 36-2-2-20, the Board of Commissioners of St.
Joseph County, Indiana (the "Board") has custody of and may maintain all real property
of St. Joseph County; and
WHEREAS, pursuant to I.C. 36-7-14-12.2, the South Bend Redevelopment
Commission (the "Commission") may acquire by purchase, exchange, gift, grant,
condemnation or lease, or any combination of methods, any interest in real property
needed for the redevelopment of areas needing redevelopment that are located within the
corporate boundaries of the City of South Bend; and
WHEREAS, pursuant to I.C. 36-1-11-8, the County, acting by and through the
Board, may exchange or transfer property with another governmental entity upon terms
and conditions agreed upon by the two (2) entities as evidenced by the adoption of
substantially identical resolutions of each entity; and
WHEREAS, the County is willing to transfer the Real Property to the City upon
payment of One Dollar ($1.00) per parcel and the City's agreement to assume
responsibility for transfer fees and recording costs associated with the transfer of the Real
Property.
NOW, THEREFORE BE IT RESOLVED BY THE SOUTH BEND
REDEVELOPMENT COMMISSION AS FOLLOWS:
1. That the transfer of the Real Property situated in St. Joseph County, Indiana,
and more particularly described in Exhibit "A", hereto, by St. Joseph County, Indiana, to
the South Bend Department of Redevelopment, shall be, and hereby is, accepted, subject
to the adoption of a resolution by the Board of Commissioners. of St. Joseph County,
Indiana, substantially identical in its terms and conditions as this resolution.
2. That upon receipt of fully executed quitclaim deed(s) to the Real Property
from the County, the Clerk of the South Bend Redevelopment Commission is hereby
authorized and directed to cause the recording of said quitclaim deed(s) in the Office of
the St. Joseph County Recorder.
3. For and in consideration of such transfers, the City shall pay to the County, St.
Joseph County Auditor, the sum of One Dollar ($1.00) per parcel. The. City shall assume
all recording costs and any transfer fees.
4. That this Resolution shall be in full force and effect upon its adoption.
ADOPTED at a meeting of the South Bend Redevelopment Commission held on
July 9, 2010, at 1308 County-City Building, 227 West Jefferson Boulevard, South Bend,
Indiana 46601.
