This Master Agency Agreement will allow for the preparation of bid specs and project oversight for the demolition of the last two Studebaker buildings located within the Ignition Park boundaries -the Studebaker Engineering and Foundry buildings. Exhibit A of the Master Agency Agreement gives the overview of the project scope and anticipated budget for this project. The winning bid for this project should be awarded in August, with demolition beginning in September of this year. I'm sure Ann will have further updates for the Commission as more unfolds in what will be a large demolition and remediation project. Staff requests Commission and Board of Works approval for this proposal. What We Do Today Makes A Difference! RESOLUTION N0.2723 RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION APPROVING AND AUTHORIZING THE EXECUTION OF AN ADDENDUM TO THE MASTER AGENCY AGREEMENT (Studebaker Demolition -Phase IV) WHEREAS, effective January 1, 2010, the South Bend Department of Redevelopment, acting by and through its Redevelopment Commission (the '`Commission'') and the South Bend Board of Public Works (the ``BPW") entered into a Master Agency Agreement which authorized the BPW to act as agent for and on behalf of the Commission for certain projects during 2010; and WHEREAS, pursuant to the Master Agency Agreement, the Commission desires to add the Studebaker Demolition -Phase IV Project to the Master Agency Agreement by way of this Addendum. NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment Commission as follows: Section 1. The Commission hereby approves the Addendum to Master Agency Agreement (Studebaker Demolition -Phase IV) and hereby authorizes its execution in substantially the form attached hereto with such changes as the Commission may deem necessary or appropriate upon the advice of counsel, said execution thereof to be conclusive evidence of the Commission's approval of such changes. The Clerk is hereby directed to file a copy of the Addendum ~~~ith the BPW. Section 2. This Resolution shall be in full force and effect after its adoption by the Commission. Section 3. Don Inks or Jeff Gibney is authorized to execute on behalf of the Connnission any documents necessary to carry out the intent of this resolution. CITY OF SOUTH BEND, DEPARTMENT OF REDEVELOPMENT South Bend Redevelopment Commission ATTEST: South Bend Redevelopment Commission ADDENDUM TO MASTER AGENCY AGREEMENT (Studebaker Demolition -Phase IV) This Addendum to Master Agency Agreement (this "Addendum"'), made and entered into as of the 28th day of June, 2010, by and between the South Bend Department of Redevelopment, acting by and tln•ough its Redevelopment Commission (the '`Commission') and the City of South Bend, Indiana, a municipal corporation duly organized and existing pursuant to the laws of the State of Indiana, acting by and through its Board of Public Works (the "BPW"') for purposes of the Commission designating the BPW to act as the Commission's agent to undertake the Studebaker Demolition -Phase IV (the "Project") WHEREAS, effective January 1, 2010, the Commission and the BPW entered into a Master Agency Agreement which authorized the BPW to act as agent for and on behalf of the Commission for certain projects during 2010; and WHEREAS, pursuant to the Master Agency Agreement, the Commission desires to add the Project to the Master Agency Agreement by way of this Addendum. NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the receipt of which is hereby acknowledged, the BPW and the Connnission agree as follows: 1. The Commission hereby empowers and appoints the BPW, pursuant to the Master Agency A~~reement. to act as the Commission's a~~ent for the limited purpose of contracting for and managing the completion of the Project, the scope of said Project bein~~ more specifically described in "Exhibit A'•, attached hereto and made a part hereof. 2. All of the terms and conditions of the Master Agency Agreement shall conri•o1 this appointment and this Addendum shall be attached to the Master Agency Agreement. 3. Don Inks or Jeff Gibney is authorized to execute on behalf of the Commission any documents necessary to carry out the intent of this resolution. IN WITNESS WHEREOF, the undersigned execute this Addendum to Master Agency Agreement to be effective as of the date first written above. The Board of Public Works will consult with representatives of the South Bend Redevelopment Commission for approval of bidding specifications. This Project includes asbestos abatement, demolition and disposal of on-site structures and utilities, environmental remediation, excavation and disposal of below-grade improvements, backfill, compaction, and site restoration within the demolition excavation limits established within the Contract for the properties commonly known as Underground Pipe & Valve (former Studebaker Foundry) and SASCO (former Studebaker Engineering Building). The former Studebaker Foundry and Engineering Building are located in an industrial area southwest of downtown South Bend, Indiana in what is commonly known as the "Studebaker Coi7-idor". The former Studebaker Foundry consists of approximately 580,000 square feet of former industrial space that is situated on a 19 acre parcel. The former Studebaker Engineering Building consists of approximately 210,000 square feet of former industrial space that is situated on a 4 acre parcel. The Project is located at: a. Former Studebaker Engineering Building, 410 W. Sample Street, South Bend. Indiana h. Former Studebaker Foundry, 1100 Prairie Avenue, South Bend, Indl(llltl Budget: The anticipated budget for the Studebaker Demolition -Phase IV is $5,000,000. This amount has been budgeted and allocated for this project.
