Inks City of South Bend Community and Economic Development 1316 County -City Building South Bend, IN 46601 -1830 RE: CENTURY CENTER ISLAND PARK SPECIAL PURCHASE REQUEST Dear Don: C 2-) At its meeting on April 23, 2010, the Redevelopment Commission's approved the Century Center's funding request for additional improvements to Island Park. Included in the initial request were specifications for specific outdoor furnishings (ie. chairs, caf6 tables, benches, etc.) by FORMS +SURFACES® that had previously been presented to and approved by the Century Center Board of Managers. The City of South Bend Purchasing Policy Quotation/Bid Matrix requires that a purchase order dollar value of $25,000 to $74,999 have three (3) written quotes. Due to the unique and proprietary design form and function of the furniture products selected by the Century Center, we have not been able to find comparable products and competitive sources to quote. Therefore, we request that we be allowed to make special purchase over $49,999 to a sole source vendor with a written quote. Additional justification for our request is based on Indiana Code IC 5- 22 -10 -1 Purchase without soliciting bids or proposals as follows: IC 5- 22 -10 -13 Single source for supply, of contract Due to the unique and proprietary design form and function of the FORMS +SURFACES® cafe chairs and benches selected by the Century Center, no other matching chair and bench products have been found from another manufacturer. In addition to the unique design form, the eighty -eight (88) cafe chairs must be stackable, which the closest competing manufacturer's chair is not. The Century Center has made this an important requirement due to limited enclosed storage space and ease of moving the chairs to and from the Island. It is our desire to purchase all of the complementing furniture products from the same single - source manufacturer (benches, cafe tables, waste receptacles). In every way possible, we intend to have the design speak to our community about art and architecture, and further enhance this unique urban amenity's outdoor experience. Should any failure to conform to this warranty appear within one (1) year after the date of invoice, Forms +Surfaces shall, upon notification thereof and substantiation that the products have been stored and applied in accordance with Forms +Surfaces standards, correct such defects by suitable repair or replacement without charge, at a Forms +Surfaces facility or at location of the products (at election of Forms +Surfaces). However, if Forms +Surfaces determines repair or replacement is not commercially practical Forms +Surfaces shall issue a credit in favor of buyer in an amount not to exceed the purchase price of the products. This warranty is exclusive and is in lieu of any implied warranty of merchantability, fitness for a particular purpose or other warranty of quality, whether express of implied, except the warranty of title and against patent infringement. No waiver, alteration, additions or modifications of the foregoing conditions shall be valid unless made in writing and manually signed by an officer of Forms + Surfaces. ADDITIONAL QUOTE TERMS: Payment terms are per this Quotation, notwithstanding and not contingent upon any Condition Precedent stipulations by the buyer. By accepting the material on this order buyer agrees that payment to Forms +Surfaces (F +S) is not contingent upon payment to buyer from buyer's customer or any third party. F +S will not be bound by any retainage agreements customer may have with third parties. SALES TAX: Any applicable sales tax is additional and actual amount charged is subject to sales tax rates in effect at time of invoicing. LEADTIME: Shipment from our facility will be apx 6 -8 weeks from receipt of 50% deposit, signed F +S Order Acknowledgment and signed F +S Approval Drawings, if applicable. Crating and packaging must be carefully inspected (including underside of crates or boxes) at time of delivery. ANY VISIBLE DAMAGE TO PACKAGING MUST BE NOTED ON DELIVERY RECEIPT PRIOR TO SIGNING and contents should be inspected immediately for damage. Any damage to product should be documented / photographed and immediately reported directly to the freight carrier.
