The Board exe-outed the following contract for street 11 - ghting: CONTRACT, PLANS AND SPECIFICATIONS FOR LIGHTING THE STREETS, ALLEYS AND PUBLIC PLACES IN THE CITY OF SOUTH BEND, INDIANA. THIS AGREEMENT, made and entered into this lath day of April 1924 between the City of South Bend, a municipal corporation of the State of Indiana, by and through its Board of Public Works, party of the first part, herein-1 after referred to as the .City, and Indiana and Michigan Electric Company, South Bend, Indiana, party of the second part, herein- after referred to as the Contractor, pursuant to a resolution of the Board of Public Works, passed at a meeting held on the 26th day of March 1924 WITNESSETH: That the parties.hereto, each in consideration of the agreements on the part of the other herein contained, have mutually agreed and hereby mutually agree as follows.- 1. The Contractor shall provide and maintain (A) A street lighting system in the city of South Bend, Indiana consisting of not less than eight hundred sixteen (816) street lamps supplied from the OVERHEAD DISTRIBUTION SYSTEM of the Contractor. Brackei, construction. 3 24a (B) A street lighting system in the city of South Bend Indiana, consisting of not less than one thousand ninety-four (1094) street lamps supplied from the UNIERGROUND DISTRIBUTION SYSTEM of the Contractor. Such underground lamps shall be as follows:- I. Pendent Lighting Units. 1 - 10000 Lumen incandescent lamp, Iron Post, pendent fixture, dust proof bowl refractor. 170 - 6000 Lumen incandescent lamps, Iron Post, pendent fixture, dust proof bowl refractor. 5 - 4000 Lumen incandescent lamps, Iron Post, pendent fixture, dust proof bowl refractor. 42 - 2500 Lumen incandescent lamps, Iron Post, pendent fixture, dust proof bowl refractor. Business District Ornamental Lighting Units. 325 - 6000 Lumen incandescent lamps, Iron Post, Egyptian Senior Opalescent Unit, or equivalent unit. V. Traffic Lighting Units. 10 - 1000 Lumen incandescent lamps, Iron Post, Red Ball. 5 - 1000 Lumen incandescent lamps, Mushroon. 4 - 10000=Lumen incandescent lamps, Suspension, from Underground -I., -2- 244 The Contractor shall have the option under conditions hereinafter provided, to operate and maintain the 340 watt magnetite are lighting units now installed , in lieu of the "6000 lumen incandescent lamps, pendent fixture, dust proof bowl re- fractor" herein provided for in Paragraph 17(A) hereof, and in .lieu of"the the "6000 lumen incandescent lamps, Iron Post, pendent . fixture, dust proof bowl refractor" herein provided for in Para- 1 graph 1- (B)-I h-ereof. . Any such magnetite are lighting units so operated by the Contractor shall be removed from service on or before two years from the date of taking effect of this contract, and 6000 lumen incandescent lamps as provided for herein shall be installed in place of such magnetite arc lighting units, and from date of installation maintained and operated during the term of this contract. All property used in the performance of this contract shall be and remain the property of the Contractor. The Contractor shall at its cost furnish all lamp re- newals and light all lamps herein provided for by electricity for a period of ten years from and after the first day of January 1925, at noon. All lamps herein provided for are described according to the rating of the manufacturers thereof. Such lamps shall be so maintained and operated by the Contractor that they will give the maximum aaount of illumination obtainable under commercial con- ditions. Such lamps may be kept in service for the number of hours of normal life specified by the manufacturer in published data current at the time of installation or replacement but no longer. All glassware shall be kept clean by the Contractor and the proper curren t and voltage shall be maintained on all lighting I , circuits, so that the proper conditions for the operation of each lamp at its normal rating shall be maintained. All Iron Posts for the support of street lighting units served from the underground system shall be properly painted by the Contractor, the color to be -determined by the Board of Public Works. -3 LA 245 2. The Extensions of the street lighting system pro- vided for in Paragraphs 1-(B)-I and 1-(B)-IV hereof shall be made upon the order and request of the Board of Public Works, but in no event shall the Contractor be required to install more than twenty (20) lights in any one year; and if the Board fails to require the above number in any one year, the Contractor shall not be required to install more than twenty (20) lights in the next year, and in the same manner each succeeding year. This Paragraph shall be con- strued with Paragraph No. 7 of this contract. As to the number of three hundred twenty-five (325) lights in the Business District Ornamental Lighting, referred to in Paragraph 1- (B) - IV hereof, it is understood and agreed that fifty (50) of this number shall be installed in the year 1925. That during said last named year the extension shall not exceed said number of f if ty (50) . 3. All lamps herein provided for shall be burned from one-half hour after sunset until one half hour before sunrise every night and all night, burning approximately four thousand (4000) hours per annum, excepting that in the Business District Drnamental Lighting, provided for in paragraph 1 hereof, every alternate lamp shall burn until midnight only, and that in the Traffic Lighting provided for, lamps under the name of "Suspension from Underground", shall also burn until midnight only. 4. The minimum number of each type of lamps furnished der this contract shall be the number provided for in paragraph hereof, and such lamps shall be maintained at the locations :fisting at the time of execution of this contract with the excep ion of such changes as may be mutually agreed upon by the City nd the Contractor prior to the first day of January, 1925, and ith the eacception of such changes of location provided in para- 8. 5.. Additional street lighting units referred to in para 1- (A) shall be added from time to time. on written notice 4- 24t from the City, and payment therefor shall be at the rate provided for in this contract, commenc ing on the day on which the lamps are put in service, provided that one additional four thousand (4000), six thousand (6000), or ten thousand (10000) Lumen incandescent lamp shall be installed for each extension of seven hundred (700) feet, and that one additional twenty-five hundred (2500) Lumen incandescent lamp shall be installed for each extension of four hundred (400) feet, and that one additional one thousand (1000) Zen incandescent lamp shall be installed for each extension of hundred fifty (250) feet, all such extensions being from the ;n existing suitable overhead system or overhead circuit of the ontractor. . Additional street lighting units referred to in para- raph 1-(B)-I shall be added from time to time on written notice rom the city, and payment therefor shall be at the rate provided or -in this contract commencing on the day on which the lamps are ut in service, provided, that one additional six thousand (6000) r ten thousand (10000) Lumen incandescent lamp shall be installed or each extension of three hundred (300) feet and that one dditional four thousand (4000) Lumen incandescent lamp shall be netalled for each extension of two hundred fifty (250) feet, and hat one additional two thousand five hundred (2500) Lumen incan- scent lamp shall be installed for each extension of one hundred fty (150) feet, all such extensions being from the then existing itable underground system or overhead circuit of the Contractor. Whenever such additional lamps are so ordered, the ininum number of such lamps to be furnished throughout the remain- er of the contract shall be increased accordingly. Temporary amps, if ordered, are to be furnished under special arrangement. 6. If any lamp is "out" during; the hours in which it hould be lighted, the City may deduct from the total monthly mount which would have been paid had no "outage" occurred, a sum earing the ratio to the total as the outage bears to the total ime the lamps should have been lighted in any month. - 5- 247 1. If the Contractor shall be required to furnish additional street lighting units during the last two years of the term of this contract, then the City, at the expiration of this contract shall reimburse the Contractor for all actual expense in- curred in running the additional lines for such lamps, the cost of such lamps and the cost of the installation thereof, less the salvage value of such lines and. lamps , provided, however, that if, at the expiration of said contract, a new contract is awarded to the same Contractor, or the successor thereof, and said additional lines and lamps are used and operated under said new contract, the City sba.11 not be required to sake any payment on account of the cost of such additional lines and lamps. 8. Street lighting units shall be moved by the Contract- or to such new locations as the City may by writing direct, subject the following conditions: - Such moving of lamps shall be completed within thirty (30) days after receipt by the Contractor of written notice from the City, Sundays, legal holidays, and stormy days not to -be count- ed, provided that the number of such removals shall not exceed one per day, and provided further that such removals may not be requir- ed on Sun days , 1 egal holidays and stormy days. Notice that the °ork of such removal of lamps has been completed shall be given by the Contractor to the City within t.en days after completion of the rk. The actual cost to the Contractor of making such re- ocations shall be paid by the City to the Contractor within hirty (30) days after said notice has been given, provided, how- mer, that the Contractor will at its expense upon order of the toard of Public Works change the location in any one year of not to !xceed twenty-five (25) lamps, of which twenty-five (25) changes of ,ocation not to exceed five (5) shall be units served from the derground system. 9. The Contractor shall have the right with the con- sent of the Board of Public Works of the City at any time during the life of this contract to install, operate and naintain in the place of the lamps herein provided for, and under the same terms and conditions, other and more improved lamps: in keeping with such advancement as may be made in the art of lighting which lamps shall be of equivalent or greater illuminating power. 11. In authorizing or granting a permit to 'any person, firm or corporation to repair or cut into any street, alley or sidewalk in which street lighting units and lines and cables Supplying current thereto are located, the City shall require, as a condition to the granting of such permit, -an agreement on the art of the applicant that such lines and cables and street light - ins un its will not be interfered with in any manner without notice , o the Contractor. 12. The Contractor shall on or before four (4) months "ter the execution and ratification of this contract substitute ae kind of lights described in Paragraph 1- (B)-IV of this con - Tact (Business District Ornamental Lighting Units) for the resent cluster lights now in use, in the business district; and he City shall pay the Contractor for the new lights at the price ixed in this contract from the time of the completed installation f each light. zoo 13. I.t is further understood and agreed that the terms of the within contract contains the entire agreement between the. parties, and that none of the terms of this contract shall be affected, c ontroll ed o r modif ied in any .particul ar by any specifications heretofore in 1923 filed in the office of the Board of Public 'Forks. Provided that nothing herein contained shall prevent a modification of this contract hereafter by mutual agreement of the parties. 14. All the covenants, expressions, terms, conditions, provisions and agreements herein shall extend to and be binding Capon, or inure to the benefit of, as the case may be, each and every one of the successors or assigns of each of the parties hereto as if in every ease so expressed. 15. This contract shall be in force and effect from and after its approval by ordinance for a period of ten years from and after the ist day of January, 1925, at noon.
