This proposal from Tyler Technologies, Inc. ("Tyler') contains proprietary and confidential
information, including trade secrets, belonging to Tyler or Tyler's partners. Tyler is
submitting this proposal on the express condition that the following portions, if included,
will not be duplicated, disclosed, or otherwise made available, except for internal
evaluation purposes:

Each of these sections, if included, has separately been labeled "Proprietary and

To the extent disclosure of those portions is requested or ordered, Tyler requires written
notice of the request or order. If disclosure is subject to Tyler's permission, Tyler will
grant that permission in writing, in Tyler's sole discretion. If disclosure is subject to a
court or other legal order, Tyler will take whatever action Tyler deems necessary to
protect its proprietary and confidential information, and will assume all responsibility and
liability associated with that action.
Tyler agrees that any portions not listed above and marked accordingly are to be made
available for public disclosure, as required under applicable public records laws and
procurement processes.
Because of the nature of this proposal, third -party hardware and software products may
be mentioned by name. These names may be trademarked by the companies that
manufacture the products. It is not Tyler's intent to claim these names or trademarks as
our own.

* There is no pending litigation involving Tyler's ERP and School Division; however, a product sold out
of Tyler's Courts & Justice Division known as Odyssey and an employment -related dispute in Tyler's
Tax & Appraisal Division are currently the subjects of the following pending litigation, respectively:

filed against Tyler, Shelby County, Tennessee, and various Shelby County officials inafederal
district court in Tennessee, That lawsuit was consolidated with a November 2016 lawsuit that
had been filed against the Shelby County Sheriff alone. The consolidated complaint, filed
March 24, 2017, alleges that Shelby County and officials in the County unlawfully detained
certain inmates imthe County jail. Tyler implemented its Odyssey case management system in
Shelby County courts, but the lawsuit tries to claim that Tyler's software, was somehow
connected to the aflegedly unlawful detentions in the County jail. On October 31, 2017,
another class action lawsuit, alleging almost identical facts and claims against the same group
ofdefendants, was filed bya second set ofplaintiffs lawyers onbehalf ofasecond set of
alieged class action plaintiffs, Tyler has moved to dismiss the claim against it in the first -filed

suit, and is|mthe early stages nfassessing the procedural implications pfthe second -filed
suit. Tyler is confident that all of the allegations against it are without merit.

2017, Vision sued Tyler in a Massachusetts Superior Court. Vision claims Tyler violated a no'n-
disclosure agreement relating to Tyler's appraisal services business by hiring employees who
had been employed by Vision. Tyler disputes Vision's claims, and looks forward to a vigorous
defense.

Bandwidth usage can vary depending on application user type and their daHy functions. Based on

Application Authentication
Microsoft Active Directory (AD) is required for a uthienitiication with most Tyler applications, Once a
user is authenticated, integrated application role -based security determines what applications,
processes, records, and fields the user has access to.
on -premises deployments use the clients ex�sdngAD environment and end users use their own AD
credentials for application authentication. Tyler servers and back -office IRP workstations must be a
member of, or trusted with the domain used for authentication. Active Directory setup and
maintenance isthe responsibility ufthe client.
Tyler SaaS deployments use a dedicated Microsoft AD environment hosted by Tyler and end
users are assigned Tyler specific credentials for application authentication. End users can set their
own password; site administrators can create, disable, and un:ockuser accounts, and reset
passwords. Tyler also employs a password policy for all SaaS credentials.
Dedicated s6f-service applications provide external access to employees, vendors, and citizens. All
self-service applications use application -based authentication. Administrators can create and
maintain user accounts and for many applications, end users can register to create their own, Many
of these applications include password contro/s to set password complexity, password expiration,
invalid login attempt lockout, and allow users to reset their own password. On -premises deployments
can also use Active Directory authentication for Munis Employee Self Service.
