T' .. ��� �p .: � l'i �[ ADDENDUM TO AGREEMENT FOR PROFESSIONAL SERVICES BY AND BETWEEN THE CITY OF SOUTH BEND, INDIANA AND SYMBIONT SCIENCE, ENGINEERING, AND CONSTRUCTION, INC. (SOUTH BEND BROWNFIELDS INVENTORY AND ASSESSMENT PROJECT) THIS ADDENDUM (this "Addendum") is made and entered into this day of 2017, by and between the CITY OF SOUTH BEND, INDIANA, —amunicipal corporation organized and operating under the laws of the State of Indiana, acting by and through its Board of Public Works (the "City") and the SYMBIONT SCIENCE, ENGINEERING, AND CONSTRUCTION, INC. (the "Contractor"). RECITALS WHEREAS, the City and the Contractor have entered into an agreement entitled "Agreement for Professional Services by and between the City of South Bend, Indiana and Symbiont Science, Engineering, and Construction, Inc. (South Bend Brownfields Inventory and Assessment Project)" dated the 91h day of December, 2014; and WHEREAS, the City desires to allocate for the Contractor under the terms of this Addendum an additional Thirty Seven Thousand Four Hundred Ninety Nine and 72/100 Dollars ($37,499.72), which combined with the Five Hundred Sixty Seven Thousand Four Hundred Twenty and 00/100 Dollars ($567,420.00) previously allocated under the terms of the Agreement, would create a total allocation of Six Hundred Thirty Thousand and 00/100 Dollars ($630,000.00) (the "Contract Amount"), and as required by Indiana Code § 5--22--17-3, the Contract Amount does not exceed the amount appropriated for such purpose; and WHEREAS, this Agreement shall be effective for a period of three years and nine months commencing on December 9, 2014 ("Effective Date") and shall end on September 30, 2018 ("Expiration Date"). WHEREAS, the patties desire to amend the Agreement by this Addendum.; and WHEREAS, the Contractor further represents that it has taken all corporate action necessary to enter into this Addendum; and WHEREAS, the City believes that the actions contemplated by this Addendum are in the best interests of the health, safety and welfare of the City and its residents and that those actions comply with the public put -poses and applicable provisions of state and local law. NOW THEREFORE, the parties mutually agree as follows: 1. The parties agree that all other terms and conditions as set forth in the Agreement shall remain in full force and effect. r j. 9 a a
