FOLLOWING ARE DESCRIPTIONS OF AVAILABLE FINANCIAL STRUCTURES FOR YOUR CONSIDERATION: • TAX-EXEMPT MUNICIPAL CAPITAL LEASES - HAVE TRADITIONALLY BEEN THE PREFERRED METHOD OF FUNDING PERFORMANCE CONTRACTS. THE PUBLIC ENTITY WOULD RETAIN TITLE TO THE EQUIPMENT FOR ACCOUNTING PURPOSES, TAX-EXEMPT LEASE PURCHASE CONTRACTS FREQUENTLY INCLUDE NON -APPROPRIATION PROVISIONS THAT ALLOW THE PUBLIC ENTITY TO CANCEL THE CONTRACT IF THE FUNDS ARE NOT MADE AVAILABLE FOR LEASE PAYMENTS. IF INVOKED, THE PUBLIC ENTITY IS REQUIRED TO RETURN ALL OF THE EQUIPMENT TO THE LESSOR. • TAX-EXEMPT GENERAL OBLIGATION BONDS - WHEN THE FINANCING NEEDS FOR A PROJECT EXCEED $10,000,000, A TAX-EXEMPT BOND SHOULD BE ANALYZEDTO DETERMINE IFTHIS STRUCTURE CAN REDUCETHE OVERALLCOST OF BORROWING FOR YOU. UNLIKE TAX-EXEMPT LEASES, THERE CAN BE SIGNIFICANT UNDERWRITING FEES REQUIRED TO ISSUE A BOND. THESE FEES CAN BE PROHIBITIVELY EXPENSIVE FOR SMALLER PROJECTS. BOND UNDERWRITING CAN TAKE UP TO 6 MONTHS AND THE CUSTOMER WILL ASSUME THE RISKS OF INTEREST RATE FLUCTUATIONS DURING THE UNDERWRITING PERIOD. • TAX-EXEMPT REVENUE BONDS - HAVE THE SAME CHARACTERISTICS AS GENERAL OBLIGATION BONDS EXCEPT THAT LOCAL LEGISLATION MUST CONSIDER THE "SAVINGS" GENERATED FROM AN ENERGY CONSERVATION PROJECT AS "REVENUES," THEREBY ALLOWING THE PROJECT TO BE FUNDED BY A REVENUE BOND. WITHOUT THAT DESIGNATION, REVENUE BONDS ARE AN UNLIKELY FUNDING OPTION, FOR EXAMPLE, REVENUE BONDS CAN BE USED WHEN THE UNDERLYING ASSETS BELONG TO AN ENTERPRISE FUND. • CERTIFICATE OF OBLIGATION (COS)OR CERTIFICATE OF PARTICIPATION (COPS) - THE UNDERLYING STRUCTURE OF A CO OR COP CAN BE EITHER A TAX-EXEMPT LEASE PURCHASE OR A TAX-EXEMPT BOND. FUNDING IS PROVIDED BY MULTIPLE SOURCES. TYPICALLY, COS ARE MANAGED BY AN INTERMEDIARY OR A TRUSTEE AND CAN BE ECONOMICALLY DESIRABLE FOR LARGER PROJECTS. THE BORROWER WILL MAKE PAYMENTS TO AN ADMINISTRATIVE TRUSTEE WHO PRORATES THE PAYMENTS TO EACH FUNDING SOURCE. • QUALIFIED ENERGY CONSERVATION BONDS (QECBS) - FEDERALLY SUBSIDIZED BONDS WHICH CAN BE ISSUED BY STATE AND LOCAL AUTHORITIES TO FINANCE ENERGY CONSERVATION PROGRAMS AND CAPITAL IMPROVEMENTS. THE BONDS ARE TAXABLE, BUT THE U.S. TREASURY PAYS THE ISSUER A CASH SUBSIDY CONCURRENT WITH THE INTEREST PAYMENTS DUE BONDHOLDERS. THE SUBSIDY IS FIXED AT 70% OF THE QUALIFIED TAX BOND RATE PUBLISHED ON THE DATE OF BOND ISSUANCE. IT 6 deferred maintenance had taken a toll on City Hall. The City made emergency structural repairs in 2009 and installed energy -efficient windows, a new roof, and building envelope improvements the following year. Still, significant infrastructure upgrades were required to make the building suitable for Westfield's needs; building a new City Hall was considered. Working with Siemens and engineering consultants, Westfield outlined a plan to make needed upgrades cost-effectively and preserve this historic building for future generations. Notes Mayor Knapik, "We knew if we didn't invest quickly in saving this building, we were going to lose a treasured asset." Infrastructure improvements made by Siemens enhanced the indoor environment and reduced future energy and utility bills. Siemens coordinated its construction to be done in conjunction with other, ongoing structural repairs. They included; -- Replacing an aging steam boiler with two, new, high - efficiency condensing boilers from local manufacturer, Mestek, and installing a new panel radiator system — Upgrading the domestic hot water system with a well -insulated, indirect storage tank and new piping — Removing 57 window air conditioning units and replacing them with a new variable refrigerant volume (VRF) system — Installation of a new, high velocity air conditioning system for the City Council Chambers — Adding an energy recovery ventilation (ERV) system to serve areas where no proper ventilation existed — Ensuring code -compliance of electrical system and installing a new primary transformer, switchgear, and panel boxes Installing energy -efficient lighting as well as occupancy sensors that prevent energy waste — Connecting all the existing HVAC systems to Westfield's City-wide energy management system "City Hall is magnificent," observes Tefft. "We were able to accomplish so much. We've increased the comfort level and have seen a huge decrease in the use of utilities. Its one of the best achievements we've had here in the City," In addition to the revitalization of City Hall, Siemens completed major mechanical upgrades to Westfield High School and Westfield Technical Academy's Lower Campus during the second phase of improvements. The companies will be chosen for a number of factors, which could include potential strategic alignment in the future and interest in developing capabilities for participation on projects.
