Where applicable, the measurements will be performed at a wall switch. If it Is not possible to isolate the fixtures on one switch then measurements will be performed at the individual fixture. 5. How will the measurements be used to determine actual savings: The pre and post field measurements (watts) will be inserted in the original calculation spreadsheet to determine the actual savings. 6. How often will measurements be performed: Pre -retrofit power measurements Will be taken once immediately before work begins. After installation, the post - retrofit power measurements will be taken once to determine actual savings for the first year. 7. Stipulated values used: Burn hours of the fixtures are stipulated as presented in the lighting calculation spreadsheets included in the savings calculation section of the contract. These values were determined through discussions with the Customer and are agreed to by all parties. Summary: Wattages, determined as previously described, operating hours, as set forth in In the energy calculation section and the savings calculations, as set forth in the energy calculation section, shall be used to determine savings for the entire guarantee period. Agreed Upon savings are recommended and shall be utilized for this ECM. The savings amount relative to the cost of M&V activities does not justify traditional measurement and verification techniques. Ameresco will perform verification that the ECM 2: controls are functioning properly and are capable of operating the equipment as Controls designed. This process includes a process of collecting data on the equipment and verifying that the savings are being achieved The stipulated assumptions and savings calculations are documented in the calculations portion of the contract, and upon ro ect completion will be used to document the achieved savings. ECM 3: Agreed Upon savings are recommended and shall be utilized for this ECM. The Mechanical savings amount relative to the cost of M&V activities does not justify other methods. Upgrades 1. Measurement and Verification Method: The method for verification of savings associated with this ECM is based on IPMVP Option A. 2. What will be measured: Flow rates, on a sample of single fixtures, shall be measured on fixtures with a population of 20 or more. 3. Sample size to be measured: Measurements shall be taken of a representative sample, the size of which shall not exceed 5% of the population, for unique retrofit types which have a total population of 10 or more. Measurements may not be taken at smaller facilities where the costs associated with such measurements will exceed the savings anticipated for the facility. Measurements taken at other facilities for the ECM 4: same type of fixture will be used for those calculations. For retrofits with less than Water this population the manufacturer's published flow rates for each fixture type as Conservatio referenced in the energy calculation section of the contract shall be used. n 4. How will measurements be made: Water flow (gallons per minute) measurements will be performed with a calibrated bag and stopwatch or a flow meter. 5. Gas or electric savings associated with the reduction in water consumption shah be stipulated. Agreed Upon savings are recommended and shall be utilized for this ECM. The ECM 5: Roof savings amount relative to the cost of M&V activities does not justify other methods. ECM 6. There are no savings directly associated with this ECM; therefore no M&V is required. Emergency Power Study ECM 7: There are no savings directly associated with this ECM; therefore no M&V is required. Water Infiltration Stud ECM S: Jail There are no savings directly associated with this ECM; therefore no M&V is required. Moisture Intrusion Stud Note: The savings calculations for all ECMs are included in the contract in Attachment G and are stipulated. Only the parameters specified in the M&V plan outlined above are measured. Owner Role and Responsibilities —All EOM's: • Operatlons: Customer shall operate the equipment installed hereunder in accordance with the manufacturers' recommendations and any supplemental procedures supplied to Customer by Ameresco. The recommended maintenance procedures and operating parameters will be supplied to the Customer as part of the close-out documentation. This includes heating hot water supply temperatures, hot water supply reset schedule (based on outside air temperature), domestic hot water supply temperatures, etc. • Maintenance: Customer shall, at its expense, repair, operate, and maintain the Property in good working order during the Term. Following the date of Substantial Completion of an ECM, Customer shall, at its expense, repair and maintain (€) the equipment and all other components which comprise the ECM and (il) all other equipment which is attached thereto and/or Is Integral to the proper functioning of the ECM. Maintenance also refers to performing required maintenance of ancillary systems such as (but not limited to) building heating loops, flushing I cleaning of building primary and secondary heating loops, cleaning of traps / strainers I filters, etc. The Customer is responsible for maintaining the proper chemical treatment (including pH level) of the systems. • Malfunctions: Customer shall notify Ameresco Immediately in the event of any malfunction in the operation of the ECMs or the equipment installed hereunder. • Protection of ECM: Except in the case of emergency, Customer shall not remove, move, alter, turn off, or otherwise significantly affect the operation of the equipment installed hereunder or the operation of the ECMs, or any individual part thereof, without the prior written approval of Ameresco, which approval shall not be unreasonably withheld. After receiving Ameresco's written approval, Customer shall proceed as instructed. Customer shall act reasonably to protect the ECMs from damage or Injury, if, due to an emergency, it is not reasonable to notify Ameresco before acting. Customer agrees to protect and preserve the facility envelope and the operating condition of all ECMs, mechanical systems, and other energy consuming systems located on the Property. • Measurement System: Customer shall not alter, move, modify, or otherwise change the measurement and verification system or any component thereof without the prior written Confidential & Proprietary Infonnation of Ameresco, Inc. Page 53 consent of Ameresco unless such action is in accordance with operating procedures provided by Ameresco. • Adjustment to Baseline: If, in the reasonable opinion of Ameresco, Customer does not reasonably operate, maintain, repair or otherwise protect the ECMs and/or maintain the Property in good repair and good working condition, then Ameresco may submit to the Customer for an adjustment to the baseline for any increased energy usages at the Property. Approval of said adjustments shall not be unreasonably withheld by the Customer. • Energy Usage Data: In the event that utility bills are utilized for Measurement and g � Verification, Customer shall provide to Ameresco on a month/ basis during the Term p � 9 y (and in any event, within thirty (30) days of its receipt of the same), copies of all utility (electricity, natural gas, and water) bills, utility usage data, and any and all other such documentation maintained by Customer, as requested by Ameresco, which may be necessary for Ameresco to determine and satisfy all of its obligations under this Agreement. • Telephone and Internet: Customer shall be responsible for installing and maintaining telephone lines and all associated costs as needed, including internet/Ethernet charges, for the building management system's telephone and communication lines. Ameresco may use Customer's LAN for the purposes of the energy management system. Customer shall grant Ameresco remote access such that Ameresco can interrogate the energy management systems at all locations from Ameresco's office. Ameresco shall have the right to download data as needed from the energy management systems to verify energy savings. • Protection: Customer shall, at all times, act reasonably to protect the ECMs from damage, theft or injury to the same extent and in the same manner in which It protects its other property. • Alteration: Customer shall not move, alter or change the ECMs in any way that causes a reduction in the level of efficiency or savings generated by any ECM or the equipment installed hereunder without obtaining Ameresco's prior written approval which shall not be unreasonably withheld. • Access: Customer shall provide Ameresco reasonable access to the facilities throughout the term of this Agreement as necessary to perform monthly reconciliations, verify operation of installed equipment, verify control set -points, verify comfort or other operating conditions, or other reasonably required activities under this Agreement. • In the event the Customer does not elect to continue payment on the Measurement and Verification fees as described in this document, Measurement and Verification activities will no longer be provided for the project and the Savings Guarantee will be deemed fulfilled for the term of the contract. Information Only - Baseline Adjustments: • If baseline adjustments are required in the future- the following shall be used as guidelines and are given as information only. The M&V activities associated with this project do not include an Option C (nor a utility bill analysis). • In the event that the type of fuel used at the sites, or any portion thereof, changes at any time during the contract period in any manner which Ameresco reasonably believes affects the baseline and/or Ameresco's guarantee, the baseline and/or the guarantee will be recalculated by Ameresco. • It is understood and agreed that the Customer may be subject to laws and regulations which may require the Customer to alter the minimum or maximum temperature at any given time and Customer shall comply with the same. In the event that Ameresco reasonably believes that such a change in temperature affects the baseline and/or Ameresco's guarantee, the baseline and/or the guarantee will be equitably recalculated by Ameresco and approved in writing by the Customer, such approval not to be unreasonably withheld. Page 54 If at any time during the Term of the Agreement additional space Is planned to be occupied or is occupied or planned to be vacated or is vacated, Ameresco will, if reasonably possible, meter consumption of all energy by the space In question and make appropriate upward or downward adjustments, with the written approval of the Customer, such approval not to be unreasonably withheld, to the Baseline according to these meter readings. Customer shall notify Ameresco at least ninety (90) days in advance of such changes and if possible six (6) months in advance for space which Is to be vacated. If metering is not possible or Customer desires not to bear the costs of such, then the adjustments to the Baseline will be appropriately adjusted as the Parties may mutually agree in writing. In the event that Customer or persons using the sites add or remove energy consuming devices (including, but not limited to, vending machines, dryers, kilns, computers, printers and other electronic or fossil fuel consuming devices), or change the use of existing devices, which materially increase or decrease energy usage, Customer will Inform Ameresco by written notice within thirty (30) days of becoming aware thereof, as to any such changes which could result, in aggregate or over time, In a change of total annual energy savings hereunder (collectively "Material Change"). Within a reasonable period of time following Ameresco's receipt of any such written notice from Customer regarding a Material Change, or within a reasonable period of time after Ameresco's learning of a Material Change by Ameresco's monitoring or other means, Ameresco shall equitably recalculate the baseline and provide to Customer such recalculation for its written approval (such approval not to be unreasonably withheld), showing Ameresco's modification of the baseline to reflect such a Material Change. Ameresco and the Customer agree to discuss such smaller changes on an annual basis and determine whether an adjustment to the baseline is required. Where Customer fails to inform Ameresco of any such change in the baseline, Ameresco may make retroactive adjustments to the baseline, subject to Customer's written approval (such approval not to be unreasonably withheld). Operations & Maintenance. In the event Customer does not properly maintain and operate equipment, savings attributable to the effected equipment shall be excluded from the guaranteed savings amount and the energy savings calculations until equipment is restored to proper condition and operations. Date adjustment of utility bills. Utility bills frequently span two months. In the event utility bills are utilized for any analysis for this project, Ameresco reserves the right to date - adjust the bills. Date adjustment will be performed by dividing the billed consumption by the number of days covered. The number of days in each month will be multiplied by the average daily consumption. The total monthly consumption will be the sum of this calculation of both bills spanning that month. Utility bills are in no way to be used as a basis for Measurement and Verification for this project. The Measurement and Verification will follow the plan outlined in this document. In the event utility bills are used for an external analysis for this project, the following describes processes to be used to account for variables beyond Ameresco's control. The primary variables impacting the utility consumption are described below as well as the method that Ameresco shall use to determine baseline adjustments upon discovery of deviation of any of these variables. o Shared Usage: In the event that energy usage in separate buildings utilizes a common meter, any analysis of the utility data will include an assessment of all factors affecting all buildings served by each meter. Sub metering of combined usage is not included in the project. o Weather: Metered electricity or natural gas consumption may or may not be affected by weather differences from year to year. In the event a correlation exists between usage and weather data, Ameresco will utilize the following process to make adjustments to the baseline. In the event that Ameresco determines the actual heating degree days to be greater than the baseline heating degree days, Ameresco shall adjust Confidential & Proprietary Information of Ameresco, Inc. Page 55 the natural gas baseline using third party weather normalization software utilizing NOAA weather data. ■ In the event that Ameresco determines the actual cooling degree days to be greater than the baseline cooling degree days, Ameresco shall adjust the electricity baseline using third party weather normalization software utilizing NOAA weather data. ■ If any other correlation is discovered, Ameresco may make adjustments to the baseline metered energy usage to account for such correlation. If the adjustment results in a decrease of energy savings measured, a comparable adjustment may be made to the savings calculations. Any adjustments will be outlined in the final report delivered to the customer. o Number of Occupants (if applicable): Customer shall provide monthly counts of occupants for every month of the year. in the event that the actual number of occupants is greater than the baseline average number of occupants specified in the energy savings calculations, Ameresco shall adjust the baselines. o Standards of Comfort: Standards of Comfort are included or noted in calculations within this document that describe space temperature requirements, occupied hours, etc. Periodic inspections, and, in Amerescds sole discretion, additional logging or monitoring systems will be used to verify compliance with the Standards of Comfort. In the event that Ameresco determines a variance in the actual conditions from the Standards of Comfort, Ameresco shall, in its discretion, make reasonable adjustments to the baseline to account for these changes. See Attachment H (Measurement and Verification Fees) for more information on fees associated with the M&V glan noted above. Annual GESC Report Ameresco has included the cost of completing the required annual GESC M&V report required by the State of Indiana legislation for each year of the contract term. . Stipulated Enerov Savings The Annual Energy Savings identified in the table below are Stipulated Savings documented by the calculations and methodologies described in Attachment G. CUSTOMER agrees that "Stipulated Savings" are savings that are deemed satisfied upon installation of the related ECMs and execution of the Delivery and Acceptance Certificate, and the Stipulated Savings shall not be measured or audited. These savings are based on the utility rates set forth previously in Table 1. If the utility rates are modified during the Guarantee Period, the unit energy savings identified in Attachment G shall be used to determine the new Stipulated Savings amount. If the Savings Deviation (Item D-5) is negative it shall be deemed the annual shortfall. The annual shortfall for the first year shall be considered the annual shortfall for the following years until the completion of the Scope of Services. Ameresco shall pay CUSTOMER the Savings Deviation (Item D-5 in Exhibit D) amount each year until the Guarantee Period is complete, or shall install additional ECM(s), or make other changes agreed to by CUSTOMER, at Ameresco's cost, in order to achieve the Annual Guaranteed Savings as set forth in the Agreement, but if the parties are unable to come to a mutual agreement on the installation of additional ECMs, then Ameresco shall pay the Savings Deviation. Date Completed Stipulated Operational Savings The annual Repair and Maintenance Savings identified in the table below are Stipulated Savings documented by the calculations and methodologies described in Appendix G. CUSTOMER agrees that the Stipulated Savings are deemed satisfied upon installation of the related ECMs and the Stipulated Savings shall not be measured or audited. Description Stipulated Savings..
