Event Security Services Agreement - ESG Security - Security for MPAC, Palais Royale, and Century Center
r I I' l= City of South Bend Morris Performing Arts Center Palais Royale Century Center Events EVENT SECURITY SERVICES AGREEMENT This Agreement is dated this aq± day of `�, t , \m2 , 2017 by and between Venues, Parks and Arts complex (Leighton Theater, Morris Bistro, Palais ballroom, Century Center events) hereinafter, "Morris/Palais/CC", acting through the City of South Bend, Indiana's Board of Public Works, "CITY", and ESG Security, Inc., an Indiana Corporation, hereinafter, "ESG". WHEREAS the Morris/Palais/CC desires to have ESG furnish security and protection services for the property at Morris Performing Arts Center and Palais Royale Ballroom along with event security services at Century Center both located in South Bend, Indiana. NOW THEREFORE for and in consideration of the mutual promises and obligations set out below the parties agrees as follows: Term of this Agreement The term of this Agreement shall be for Thirty -Six (36) months (3 years) with options for three (3) annual one (1) year renewals. The contract shall commence no later than July 1, 2017 and shall conclude on June 30, 2020 with annual renewals at the sole option of the Morris/Palais/CC for the fiscal years ending July 1, 2021, 2022 and 2023. Scope of Work The security services to be provided and the work to be performed shall include but are not limited to the following: ESG shall provide certified/licensed, unarmed security guards for all public events and most private functions at the Morris Complex and special events at Century Center. 2. ESG shall be the exclusive provider of event security services for public shows, concerts, dances and other events open to the general public at Morris/Palais/CC as determined by the Executive Director of the VPA or his designee. While the security service shall be considered exclusive, this does not include the use of City, County, or State Police as may be required by the event or the Executive Director of VPA or security personnel traveling/provided by the visiting artist. ESG is expected to work in a congenial manner with all facility lessees to assure an orderly and safe event. 4. ESG will make reasonable and proper efforts to provide protection for all persons or property at the event together with the Morris/Palais/CC' premises and personnel, as designated by the Morris/Palais/CC prior to the commencement of each event, against theft, pilferage, malicious injury, and other property damage and destruction. ESG will exert reasonable efforts to protect all persons who enter onto the Morris/Palais/CC from death and personal injury from any cause whatsoever, including the commission by any person of any felony or misdemeanor; provide aid and assistance to all law enforcement agencies as requested, in the enforcement of applicable laws and regulations, including those governing the Indiana Alcoholic Beverage Commission and any on premise licenses issued by it; enforce Morris/Palais' rules and regulations for events, provided such rules and regulations have been previously communicated to ESG in writing. 5. ESG will make reasonable and proper efforts to prevent unauthorized entry to events or restricted areas during events. If circumstances require ESG to detain any person, such action will be in accordance with all applicable local, state and federal law. Any detention will be only for the amount of time required until the detained person can be turned over to the appropriate law enforcement officials. Key Personnel Requirements The ESG must identify and designate no less than three (3) individuals as key personnel. Should any of the named individual be unavailable to perform on behalf of ESG under this Agreement, whether due to termination of employment or otherwise, then ESG shall provide a suitable replacement acceptable to the Morris/Palais/CC. Acceptability is to be determined by the Monis/Palais/CC at its option, sole and unfettered discretion. Failure to provide key personnel, or a replacement satisfactory to the Morris/Palais/CC, shall be deemed a ma*rial breach entitling the Morris/Palais/CC, at its option and sole discretion, to immediately termiriate this Agreement. Security Officer Qualifications ESG guarantees that all Security Officers provided to the Morris/Palais/CC meet all State of Indiana requirements for said type employment. In addition, all ESG supplied Security Officers to the Morris/Palais/CC must meet the following requirements: I . Must be 21 years of age or older. 2. Must have no felony convictions, 3. Must meet appropriate background checks e.g., drug testing. 4. Must have a minimum of one (1) full year experience as a security officer, police officer or on a military police force for placement at the Morris/Palais/CC as a security guard. 5. Must have a minimum of two (2) full years experience as a security officer, police officer or on a military police force plus job specific training for placement at the Morris/Palais/CC as a supervisor. G. Communication in a language other than English is a plus; however, the population in the greater region is such that to communicate effectively, the English language is primary for both oral and written communication. 7. Must be able to exercise judgment and make decisions as to appropriate action under pressure in accordance with rules, regulations, policies and the laws of the State of Indiana. W 8. Must be able and willing to remain in a standing or sitting position for extended periods of time. 9. Must be able and willing to work in a variety of weather conditions with possible exposure to the elements. General Staffing Needs The Leighton Theater requires one (1) Security Officer at all scheduled rehearsals and theater equipment load ins, setup, and load outs; and a minimum of two (2) Security Officers during and for all public events. The Palais Royale requires a minimum of one (1) Security Officer during and for all scheduled evening and weekend events. Century Center requires one (1) or more Security Officers for special events. When more than one (1) Security Officer is scheduled at the Morris/Palais/CC, ESG shall designate and empower one (1) of the scheduled Security Officers as Shift Supervisor. The Security Officer Shift Supervisor is a working position and is responsible for monitoring ESG's employees and taking corrective action as may be needed or requested by the Morris/Palais/CC administration. Upon request, ESG shall supply Doormen and Cloak Room Attendants, Said `special' event staffing shall fall under the direction of ESG's lead Security Officer on duty for a given event. ESG acknowledges that the Morris/Palais/CC has a no alcohol/drug tolerance rule and a no fraternization with Morris/Palais/CC administrative staff or visiting artist and staff rule for all ESG's employees while on duty at the Morris/Palais/CC Complex. Violation of these rules subjects ESG's employee to permanent rejection from being scheduled to work at the Morris/Palais/CC Complex. Salaries of Contractual Employees As ESG is an independent contractor, and not an employee or agent of the VPA or City of South Bend, ESG will assume responsibility for all expenses for wages including, but not limited to: supervisory differentials, payroll taxes, insurance, benefits, social security, and unemployment compensation. All staffing supplied by the ESG must be bonded. The rates to be charged Morris/Palais/CC by ESG for all services rendered shall be fixed for the length of this Agreement as described in the attached Exhibit A. Mana2ement/Supervision ESG shall have sole responsibility for the supervision and training of all Security Officers performing under this agreement. Supervision shall consist of that level of management and administration activity necessary to ensure that each Security Officer is performing his/her duties in a safe and efficient manner. The ESG shall provide phone number(s) and pager/cell numbers at which ESG or designated agent of the ESG with administrative authority may be reached on a 24-hour, 7 days per week, 52 weeks per year basis. Uniforms and Appearance ESG's on site Security Officers shall maintain, at all times, a clean and neat appearance. ESG's Security Officers shall be appropriately uniformed while on duty at Morris/Palais/CC. The tenn "appropriate" is interpreted to include all apparel, equipment, nametags, and badges. Uniforms 3 should be distinctive in respect to Morris/Palis/CC and identify Security Officers as ESG's employees. The Morris/Palais/CC reserves the right to approve the color and design of all uniforms to be worn by Security Officers while on duty at the Morris/Palais/CC Complex. Job Specific, On -Site Training ESG is responsible for developing a written training program for all Security Officers assigned to work at the Morris/Palais/CC Complex. ESG shall send copies of all training materials to the Morris/Palais/CC for their approval. ESG shall implement changes to the information provided in the training documents that the Morris/Palais/CC deems necessary in regards to its operation. ESG in consultation with the Morris/Palais/CC will develop the Morris/Palais event specific Security Officer Policies and procedures. All Security Officers and supervisors, at ESG's expense, must undergo job -specific training prior to the assumption of Security Officer Responsibilities at the Morris/Palias/CC Complex. The training program should include, but not be limited to, the following: 1. Emergency training for fire, bomb threat, terrorisms, riots, bio hazardous material handling, evacuation procedures and securing an incident scene. 2. First aid and medical emergency training. ESG shall notify the Morris/Palais/CC of the date and time of all scheduled training sessions. The Morris/Palais/CC may monitor training sessions. Security Officer training must be satisfactorily completed and so documented in writing to the Morris/Palais/CC for its files. ESG shall ensure that all Security Officers are thoroughly familiar with applicable rules, regulations and procedures before they are assigned to work at the Morris Complex. Equipment ESG shall, at its expense, supply or provide the following: 1. A distinctive Security Officer's uniform. 2. All basic Security Officer supplies including a photo ID with the ESG's name, first & last name of the Security Officer, and rank or job title typewritten or printed in black ink. 3. All standard Security Officer equipment e.g., tazers, mace, etc. as may be deemed appropriate and in accordance with the State of Indiana laws and City of South Bend ordinances. 4. Two-way dispatch communication or a beeper network with its employees. S. ESG's office personnel with voicemail or a message system. ESG shall be responsible for the repair or replacement of any Morris/Palais/CC equipment provided to ESG personnel and damaged through the negligence of its personnel. Reassignment or Removal of Security Officers ESG shall reassign or remove a particular Security Officer from assignment to the Mon-is/Palais/CC Complex within 30 minutes of receipt of written or oral request from the Morris/Palais/CC to do so. The written or oral request will specify the name of the Security rd Officer whose reassignment or removal is desired. Oral requests shall be followed up with a written request. At their option, sole and unfettered discretion, the Morris/Palais/CC may request removal of any Security Officer assigned under by ESG. Replacement of a Security Officer must be completed within 30 minutes at no additional cost to the Morris/Palais/CC. Public Relations The ESG agrees that neither it nor its employees shall issue or make any statements on behalf of the Morris/Palais/CC with respect to any incident that may have occurred at the Morris Complex. ESG shall not issue any publicity (oral or written) of any nature that references employment at the Morris Complex without prior written consent of the Morris/Palais/CC. Weekly Work Schedules The Morris/Palais/CC will provide ESG a monthly schedule of events for the Morris/Palais/CC Complex. Prior to the beginning of each week, ESG shall submit weekly work schedules. The Morris/Palais/CC may request that ESG adjust the weekly work schedules and said requests may be made either orally or in writing. Invoicing ESG shall provide a preliminary invoice for each event 24 hours prior to said event. The Morris/Palais/CC may use this invoice for settlement with event personnel on the day or evening of said event. A final invoice must be provided to the Morris/Palais no later than 24 hours after conclusion of event and said invoice must summarize staffing and work provided. Payment for the services so invoiced shall be due and payable within thirty (30) calendar days after the invoice date. ESG will preserve for not less than two (2) years after completion of a day's work, true and accurate books and records, including personnel records, payrolls for each pay period, canceled employee paychecks, sign/in and sign/out sheets, and expense vouchers and payment records (the "Data"). The Data shall be preserved in paper or electronic media depending upon which was used by ESG for creating it. Upon reasonable notice and during regular business hours, the Morris/Palais/CC or its authorized representatives may, at the Morris/Palais/CC sole cost and expense, inspect and audit so much of ESG's Data as pertains to the services rendered pursuant to this Agreement. Failure to Report to Work ESG, upon notification of a scheduled Security Officer's failure to report to work, will dispatch a relief officer or supervisor to immediately fill the vacancy until other arrangements are made. ESG will be subject to liquidated damages of not less than $50.00 per hour for each hour or any portion thereof during which the post remained unmanned. Daily/Event Activity Report ESG shall ensure that Supervisors or Security Officers submit an approved written shift report to the Morris/Palais /CC Administration for every shift or event worked. The report should include 5 a log of activity occurring during the tour of duty. ESG shall furnish the Morris/Palais/CC with a detailed report of any incident or accidents using the forms prescribed by the Morris/Palais/CC and shall have its personnel cooperate in any investigation of any incident or accident so reported. ESG shall maintain copies of all reports during the entire tern of this Agreement. Meetings ESG shall have a representative attend event security meeting(s) as may be requested by the Morris/Palais/CC Administration. Indemnification and Insurance ESG agrees to indemnify, defend, save and hold harmless the Morris/Palais/CC and the CITY, any jurisdiction or agency issuing permits for any work included in the project and their respective directors, officers, officials, agents, contractors, employees and volunteers, (hereinafter referred to as "Indemnitees") from and against any and all claims, demands, actions, liabilities, damages, losses or expenses (including court costs, attorney's fees, and costs of claim processing, investigation and litigation) hereinafter collectively referred to as "Claims") for personal injury (including death) or property damage caused, or alleged to be caused, in whole or in part, by the negligent or willful acts of omissions of ESG or any of ESG's directors, officers, agents, employees, volunteers or subcontractors. This indemnity includes, but is not limited to, any claim or amount arising or recovered under the Workers' Compensation Law or arising out of the failure of ESG to conform to any federal, state or local law, statute, ordinance, rule, regulation or court decree. It is the specific intention of the parties that the Indemnitees shall, in all instances, except for Claims arising solely from the negligent or willful acts or omissions of the Indemnitees, be indemnified by ESG from and against any and all Claims. It is agreed that ESG will be responsible for primary loss investigation, defense and judgment costs where this indemnification is applicable. ESG shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons or damages to property, which may arise from or in connection with the performance of the work hereunder by ESG, its agents, representatives, employees or subcontractors. The insurance requirements set forth herein are minimum amounts required for this Agreement and in no way limit ESGS liability hereunder of the indemnity covenants contained herein. The CITY in no way warrants that the minimum amounts set forth herein are sufficient to protect ESG from liabilities that might arise out of the performance of the work under this Agreement. ESG is free to purchase such additional insurance as it may determine to be necessary. ESG shall provide coverage at least as broad and with liability limits no less than those stated below: 1. Coininercial General Liability 6 One Million Dollars ($1,000,000) per occurrence, Two Million Dollars ($2,000,000) aggregate Commercial General Liability coverage, including independent Contractor insurance and blanket contractual liability coverage relating to the indemnification provisions of this Agreement; 2, Workers' Coirrpensation and Employers' Liability Statutory requirements for Worker's Compensation coverage, including Employer's Liability, and death and dismemberment with a limit of Five Hundred Thousand Dollars ($500,000); and 3. Excess Liability Ten Million Dollars ($10,000,000) Excess Liability coverage, including independent contractor insurance, blanket contractual liability coverage relating to the indemnification provisions of this Agreement, and a terrorism coverage endorsement. Any self -insured retentions must be declared to and approved by the CITY. If not approved, the CITY may require that: (1) the insurer shall reduce or eliminate such self -insured retentions with respect to the CITY, its officers, officials, agents, employees, and volunteers; or (2) ESG shall procure a bond guaranteeing payment of losses and related investigations, claims administration and defense costs. The policies are to contain, or be endorsed to contain, the following provisions: 1. Commercial General Coverages. a. The CITY and Morris/Palais/CC, its officers, officials, agents, employees, and volunteers are to be listed as additional insureds with respect to liability arising out of activities performed by or on behalf of, ESG including the CITY's general supervision of ESG; products and completed operations of ESG; and automobiles owned, leased, hired or borrowed by ESG. b. The Commercial General Liability Insurance shall include broad form Contractual liability coverage. c. The CITY and Morris/Palais/CC, its officers, officials, agent, employees, and volunteers shall be additional insureds to the full limits of liability purchased by ESG even if those limits of liability are in excess of those required by the Agreement. d. ESG's insurance coverage shall be primary insurance with respect to the CITY and Morris/Palais/CC, its officers, officials, agents, employees, and volunteers. Any insurance or self-insurance maintained by the CITY, its officers, officials, agents, employees and volunteers shall be excess to the ESG's insurance and shall not contribute to it. e. ESG's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. 7 f. Coverage provided by ESG shall not be limited to the liability assumed under the indemnification provisions of this Agreement. g. The policies shall contain a waiver of subrogation against the CITY and Morris/Palais, its officers, officials, agents, employees, and volunteers for losses arising from work performed by ESG for the Morris/Palais and CITY. 2. Workers' Compensation and Employer's Liability Coverage The insurer shall agree to waive all rights of subrogation against the CITY and Morris/Palais, its officers, officials, agents, employees, and volunteers for losses arising from work performed by ESG for the Morris/Palais/CC and CITY. Provisions applying to all coverages: ESG shall furnish the CITY with Certificates of Insurance (ACORD form or equivalent approved by the City) with original endorsements affecting coverage as required by this Agreement. The certificates and endorsements for each insurance policy are to be signed by a person authorized by that insurer to bind coverage on its behalf. Any policy endorsements that restrict or limit coverages shall be clearly noted on the certificate of insurance. All certificates and endorsements are to be received and approved by the CITY before work commences. Each insurance policy required by this Agreement must be in effect at or prior to commencement of work under this Agreement and remain in effect for the duration of the Agreement. Failure to maintain the insurance policies as required by this Agreement or to provide evidence of renewal is a material breach of contract. All certificates of insurance required by this Agreement shall be sent directly to the Morris Performing Arts Center, Administration Offices, 211 North Michigan Street, South Bend, Indiana 46601-1202. The CITY reserves the right to require complete, certified copies of all insurance policies required by this Agreement, at any time. Any modification or variation from the insurance requirements in this Agreement shall be approved by the City's Legal Department whose decisions shall be final. Such action will not require a formal Agreement amendment, but may be made by administrative action. Assignability, Successors and Assigns This Agreement, and any rights or obligation hereunder, shall not be transferred or assigned by ESG without the prior written consent of the CITY. Any attempt to assign without such prior written consent shall be void. This Agreement shall inure to the benefit of each of the parties and their permitted successors and assigns. Employment and Organization Disclaimer; Independent Contractor Status This Agreement is not intended to, and will not, constitute, create, give rise to, or otherwise recognize a joint venture, partnership, or formal business association or organization of any kind as existing between the parties, and the rights and the obligations of the parties shall be only those expressly set forth herein. The parties agree that no person supplied by ESG in the performance of ESG's obligations under this Agreement are the CITY or Morris/Palais/CC employees, and that no rights under the CITY's Civil Service, retirement, or personnel rules accrue to such persons. ESG shall have sole and total responsibility for all salaries, wages, bonuses, retirement, withholding, workers' compensation, occupational disease compensation, unemployment compensations, other employee benefits, and all taxes and premiums appurtenant thereto concerning such persons used by it in the performance of this Agreement; and ESG shall save and hold the CITY and Morris/Palais/CC harmless with respect thereto. Further, it is understood and agreed by the parties that ESG is, and shall remain, an independent contractor under this Agreement. Neither party is the agent of the other and neither party is authorized to act on behalf of the other party. ESG shall be liable to the CITY for any financial liability arising fiom any finding to the contrary by any forum of competent jurisdiction. Entire Agreement; Modification (No Oral Modification) This Agreement, and any Exhibits, Attachments, or Schedules attached hereto, constitute the full and complete understanding and Agreement of the parties. It supersedes and replaces any and all previous representations, understandings, and Agreements, written or oral, relating to its subject matter. There shall be no oral alteration or modification of this Agreement; this Agreement and its terms, may not be modified or changed except in writing signed by both parties. Alteration in Character of Work; Additional Work The CITY and Morris/Palais/CC shall not be responsible for any oral instructions made by any employees or officers of the CITY or Morris/Palais regarding performance under this Agreement. Any minor changes in plans, specifications or work scope shall be in the form of a written addendum, signed by the Morris/Palais/CC Contract Administrator and furnished to ESG. Whenever an alteration in the character or work results in a substantial change in the nature of services, thereby materially increasing or decreasing the cost of the performance, the work will be performed in accordance with the Agreement. Before beginning to perform any substantially changed or altered work, a Supplemental Agreement evidencing such changes shall be executed between the Morris/Palais/CC and ESG. When authorized by an executed Supplemental Agreement, additional work shall be compensated at a rate or for a fee mutually agreed upon by the parties. Subcontractors ESG shall not be permitted to subcontract services provided to the Morris/Palais,/CC. Contract Administration For the purpose of this Agreement, the Contract Administrator shall be the Morris/Palais/CC Complex's Executive Director or his designee. In any dispute concerning an interpretation of this Agreement or concerning the work to be performed hereunder, the final determination shall be made by the Contract Administrator and his decision shall be final and binding upon the parties. Continuation of Work During Disputes 7 Notwithstanding the existence of any dispute between the parties, ESG shall continue to perform its obligations under this Agreement during the continuation of such dispute unless such performance is refused by the Morris/Palais/CC or is enjoined or prohibited by an Indiana court of competent jurisdiction. Invalidity of Any Provisions This Agreement shall remain in full force and effect even if one or more of its terms or provisions have been held to be invalid or unenforceable. Such a holding shall result in the offending term or provisions being ineffective to the extent of its invalidity or unenforceability without invalidation the remaining terms and provisions hereof; this agreement shall thereafter be construed as though the invalid or unenforceable term of provisions were not contained herein. Compliance with Laws and Permits ESG shall comply with all applicable laws, ordinances, regulations and codes of federal, state and local governments. Further, ESG shall be solely responsible for obtaining all approvals and permits necessary to perform the work called for under this Agreement. Applicable Law and Litigation This Agreement shall be governed by and construed in accordance with, the laws of the State of Indiana. Any and all litigation between the parties arising from this Agreement shall be litigated solely in the appropriate state court located in St. Joseph County, Indiana. Affirmative Action, Non -Collusion, and Non -Discrimination ESG must comply with the City of South Bend's Non -Collusion and Non -Discrimination requirements. Termination This Agreement may be terminated by either party upon ninety (90) days written notice to the other. Provided however, the Morris/Palais/CC may terminate this Agreement upon thirty (30) days written notice for cause. Cause shall mean failure to perform the duties incumbent upon the ESG pursuant to this Agreement. Payment due at termination to ESG shall be processed in accordance with the provisions of this Agreement and except that ESG shall receive payment only for those sums expended for labor and material up to the date of termination as substantiated by documented receipts or such other evidence of expenditure as the Morris/Palais/CC may require. When notice of termination is received, ESG shall immediately consult with the Morris/Palais/Cc as to the services and material then on order or that are in place and as to its plan to further the work had the Agreement not been tenninated. After such consultation, ESG shall take whatever action the Morris/Palais may direct with regard to winding up work. Survival 10 The indemnification and limitations of liability provided in this Agreement shall have full force and effect notwithstanding any other provisions of this Agreement and shall survive any termination or expiration hereof. Notice Any notice, consent, or other communication ("NOTICE") required or permitted under this Agreement shall be in writing and either delivered in person, sent by facsimile transmission, deposited in the United States Mail, postage prepaid, registered or certified mail, return receipt requested, or deposited with any commercial air courier or express service addressed as follows: If intended for ESG: ESG Security, Inc. Any time period stated in a notice shall be computed from the time the notice is deemed received. Either party may change its mailing address, FAX number, or the person to receive notice by notifying the other party as provided in this section. Notice sent by facsimile transmission shall also be sent by regular mail to the recipient at the above address. This requirement for duplicate notice is not intended to change the effective date of the notice sent by facsimile transmission.
