Fiscal Year Clause The parties hereto recognize that the continuation of the Agreement after the close of any given fiscal year of CITY is subject to the approval of the budget of the City of Indiana providing an appropriation covering this item as an expenditure therein. CITY does not represent that the aforementioned budget item will actually be adopted, since such a budgetary determination is solely that of the City Council at the time of the adoption of the budget. CITY's fiscal years end on December 31 of each year. N. Key Personnel The following, individuals are designated by the parties as key personnel. Should any of the named individual be unavailable to perform on behalf of CONTRACTOR under this Agreement, whether due to termination of employment or otherwise, then CONTRACTOR shall provide a suitable replacement acceptable to VPA. (l)S,LA,14 Sg CEO SAR.Ru fUX - Assr. ro VP Failure to provide any or all of the above -named key personnel, or a replacement satisfactory to VPA, shall be deemed a material breach entitling MORRIS, at its option and sole discretion, to immediately terminate this Agreement. P. Termination CITY/VPA may, at its option, sole and unfettered discretion, terminate or abandon the service to be provided under this Agreement, or any part thereof, with or without clause upon not less than thirty (30) calendar days prior written notice to CONTRACTOR. Payment to CONTRACTOR shall be processed in accordance with the provisions of this Agreement and except that CONTRACTOR shall receive payment only for those sums expended for Iabor and material up to the date of termination as substantiated by documented receipts or such other evidence of expenditure as CITY/VPA may require. When notice of termination is received, CONTRACTOR shall immediately consult with VPA as to the services and material then on order or that are in place and as to its plan to further the work had the Agreement not been terminated. After such consultation, CONTRACTOR shall take whatever action CITY/VPA may direct with regard to goods and materials, e.g., cancel orders; retain, sell or otherwise dispose of the goods and materials; begin winding up work or continue to prosecute it. Survival The indemnification and limitations of liability provided in this Agreement shall have full force and effect notwithstanding any other provisions of this Agreement and shall survive any termination or expiration hereof. Gobel. Josh has been with VSS Security Services since November, 2007. He began as a Branch Manager in the South Bend, Indiana office. He oversaw a budget of 1.2M per year and managed approximately 70 employees. In 2011 VSS expanded into Michigan and Josh was promoted to Director of Operations, Mid -West Region. He then oversaw approximately 120 employees and a budget of 2.2M. In December 2015, Josh was promoted to Vice President of VSS Security Services. He currently oversees the operations for the entire corporation. This includes a budget of 12M and 800 + employees in Arizona, California, Nevada, Indiana, Michigan and Minnesota. In addition to being the Vice President of VSS Security Services, Josh has been a Police Officer in the state of Indiana since June, 2003. He served 5 years with the South Bend Police Department before leaving SBPD for VSS. Josh is currently employed by The University of Notre Dame as a Police Officer. Josh works in Protective Operations and has worked on Presidential and Vice Presidential protection details. He has served on several other celebrity and dignitary protective details during his career. His main responsibility at Notre Dame is the Protection of Head Men's Basketball Coach Mike Brey during basketball season. Josh is based out of the South Bend, Indiana Office and is available 24 hours per day 7 days per week. He has worked closely with Richelle Gingerich on several events throughout the last 5-7 years, both at Palais and other venues.
