Blue Waters Group Contract Extension
12/15/09
The current Phase II contract with The Blue Waters Group for marketing/communication
runs through the end of this year. The proposed extension will run to 6/1/10, and is being
sought because various portions of the contract have been delayed as a result of
unanticipated outside circumstances, neither related to the vendor nor to the City.
The following activities have been delayed:
-- 6.0 Entrepreneur Business Outreach -- Seminars to attract businesses/entrepreneurs
have been delayed because they were felt to be premature in 2009.
-- 9.1 Media Relations -- national journalist tour/seminar has been delayed
-- 1 1.1 SWOT Analysis -- has not been completed pending result of additional research
by Notre Dame.
-- 11.2 Competitor Analysis -- Has been delayed because of anticipated findings from
Notre Dame
While some activities have been delayed, there have been increased efforts in other areas,
particularly in the creation of video content for use online and in other sources.
Staff recommends the Redevelopment Commission approve the contract extension to
6/1/10 for the Blue Waters contract/
EXTENSION ADDENDUM TO
CONSULTING AGREEMENT
BY AND BETWEEN THE CITY OF SOUTH BEND,
DEPARTMENT OF REDEVELOPMENT
AND
BLUE WATERS GROUP, INC.
(Phase II)
THIS EXTENSION ADDENDUM (this "Addendum") is made and entered into
this 18th day of December, 2009, by and between the South Bend Department of
Redevelopment, acting by and through its Redevelopment Commission, having its offices at
1200 County-City Building, 227 W. Jefferson Blvd., South Bend, Indiana 46601 (the "City") and
the Blue Waters Group, Inc., ("BWG"), a Wisconsin corporation with offices in South Bend,
Indiana.
RECITALS
WHEREAS, the City and BWG have entered into an agreement entitled
"CONSULTING AGREEMENT" effective the 15C day of May, 2009, (the "Agreement'')
providing for Phase II consulting services for MIND and Project Future (the "Program''); and
WHEREAS, the Agreement recognizes that the actions contemplated by the Agreement
are in the best interests of the health, safety and welfare of the City and its residents and that such
actions comply with the public purposes and applicable provisions of state and local law; and
WHEREAS, BWG has provided and continues to provide consulting expertise for the
Program; and
WHEREAS, the final portion of Phase II is ongoing and will be completed during the
term of this extension; and
WHEREAS, the parties desire to amend and extend the Agreement by this Addendum;
and
WHEREAS, BWG further represents that it has taken all corporate action necessary to
enter into this Addendum.
NOW THEREFORE, the parties mutually agree as follows:
1. The term of the Agreement between the parties is modified and extended to and
including June 1, 2010.
2. The undersigned person executing and delivering this Addendum on behalf of
BWG represents and certifies that he is the duly authorized officer of BWG and has been fully
empowered to execute and deliver this Agreement and that all necessary corporate action has
been taken and done.
3. All other terms, conditions and provisions of the Agreement shall remain in full
force and effect during the term of this extension.
IN WITNESS WHEREOF, the Parties hereto have caused this Extension Addendum to
be executed as of the day and year first above written.
