RESOLUTION NO. 2638
RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION
APPROVING AND AUTHORIZING THE EXECUTION OF
AN ADDENDUM TO THE MASTER AGENCY AGREEMENT
(DLZ -Opinion of Probable Construction Costs
for Memorial Hospital Improvements)
WHEREAS, effective January 1, 2009, the South Bend Department of
Redevelopment, acting by and through its Redevelopment Commission (the
"Commission") and the South Bend Board of Public Works (the "BPW") entered into a
Master Agency Agreement which authorized the BPW to act as agent for and on behalf
of the Commission for certain projects during 2009; and
WHEREAS, pursuant to the Master Agency Agreement, the Commission desires to add
the DLZ -Opinion of Probable Construction Costs for Memorial Hospital Improvements
to the Master Agency Agreement by way of this Addendum.
NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment
Commission as follows:
Section 1. The Commission hereby approves the Addendum to Master
Agency Agreement (DLZ -Opinion of Probable Construction Costs for Memorial
Hospital Improvements) and hereby authorizes its execution in substantially the form
attached hereto with such changes as the Commission may deem necessary or appropriate
upon the advice of counsel, said execution thereof to be conclusive evidence of the
Commissions approval of such changes. The Clerk is hereby directed to file a copy of
the Addendum with the BPW.
Section 2. This Resolution shall be in full force and effect after its adoption
by the Commission.
ADOPTED at a meeting of the South Bend Redevelopment Commission held on
December 18, 2009, at 10:00 a.m., in Room 1308, County-City Building, South Bend,
Indiana 46601.

ADDENDUM TO
MASTER AGENCY AGREEMENT
(DLZ -Opinion of Probable Construction Costs
for Memorial Hospital Improvements)
This Addendum to Master Agency Agreement (this "Addendum"), made and
entered into as of the 18th day of December, 2009, by and between the South Bend
Department of Redevelopment, acting by and through its Redevelopment Commission
(the "Commission") and the City of South Bend, Indiana, a municipal corporation duly
organized and existing pursuant to the laws of the State of Indiana, acting by and through
its Board of Public Works (the "BPW") for purposes of the Commission designating the
BPW to act as the Commission's agent to undertake the DLZ -Opinion of Probable
Construction Costs for Memorial Hospital Improvements (the "Project")
WHEREAS, effective January 1, 2009, the Commission and the BPW entered
into a Master Agency Agreement which authorized the BPW to act as agent for and on
behalf of the Commission for certain projects during 2009; and
WHEREAS, pursuant to the Master Agency Agreement, the Commission desires
to add the DLZ -Opinion of Probable Construction Costs for Memorial Hospital
Improvements to the Master Agency Agreement by way of this Addendum.
NOW, THEREFORE, in consideration of the mutual covenants and promises
contained herein, and for other good and valuable consideration, the receipt of which is
hereby acknowledged, the BPW and the Commission agree as follows:
The Commission hereby empowers and appoints the BPW, pursuant to the
Master Agency Agreement, to act as the Commission's agent for the limited purpose of
contracting for and managing the completion of the Project, the scope of said Project
being more specifically described in "Exhibit A", attached hereto and made a part hereof.
2. All of the terms and conditions of the Master Agency Agreement shall
control this appointment and this Addendum shall be attached to the Master Agency
Agreement.
IN WITNESS WHEKEOF, the undersigned execute this Addendum to Master
Agency Agreement to be effective as of the date first written above.

for Memorial Hospital Improvements
ATTACHMENT A
Opuuon of Probable Construction Cost for Memorial Hos ital Im rovements
A. Opinion of Probable Construction Cost shall be developed for the following improvements
(see attached EXHIBIT A):
1. Provision of southbound exclusive right turn lane at the intersection of Michigan Street
and Bartlett Street, including the signal modification and replacement of curb, sidewalk
and tree lawn. Feasibility of relocation of south crosswalk on Michigan Street and option
of providing stamped concrete crosswalks on all four approaches,
2. Widen Bartlett Street, west of Michigan Street, to provide a westbound left turn for
entrance into Bartlett Street Garage.
3. Piacemerat/replacement of curb and sidewalks, as needed, on Madison Sheet, between
Michigan and Lafayette Boulevard. Milling and overlaying will be required for
replacement of curb.
4, Placement/rcplacement of curb and sidewalks, as needed, on Marion Street, between
Michigan and Lafayette Boulevard. Milling and overlaying will be required for
replacement of curb.
5. Placement/replacement of curb and sidewalks, as needed, on Lafayette Boulevard,
between LaSalle Avenue and Navarre Street. Milling and overlaying will be required for
replacement of curb.
6. Placement/replacement of curb and sidewalks, as needed, on Main Street, between
Madison Street and Navarre Street. Milling and overlaying will be required for
replacement of curb.
~. Removing concrete infill for the provision of tree lawn on the east side of Michigan
Street, between Navarre Street and Bartlett Street, to match the west side of the street.
Tlus will also include replacement of sidewalk and curb, as necessary. Milling and
overlaying will be required for replacement of curb.
8. Removing concrete infill for the provision of tree lavm on the east and west sides of
Michigan Street, between Madison Street and LaSalle Avenue. This will also includc
replacement of sidewalk and curb, as necessary. Milling and overlaying will be required
for replacement of curb.
9. Removing concrete infill for the provision of tree lawn on the north side of Navarre
Street, between Michigan Street and St. Joseph Street. Tl1is will also include replacement
of sidewalk and curb, as necessary. Milling and overlaying will be required for
replacement of curb.
10. Removing concrete infill for the provision of tree lawn on the south side of Bartlett
Street, between Michigan Street and St. Joseph Street. This will also include replacement
of sidewalk and curb, as necessary. Milling and overlaying will be required for
replacement of curb,
1 1. ADA compliant curb ramps at the intersections of Michigan Street with Bartlett Street
and Navarre Street,
12. Sidewalk replacement, between Michigan Street and entrance to Bartlett Street parking
garage, to meet the grade requirements. Milling and overlaying will be required for
replacement of sidewalk.
13. Close the access to old Pizza Hut Building on the east side of Michigan Street north of

14. Median island located in the southeast corner of the intersection of Main Street and
Marion Street.
15. Remove the left-most northbound travel lane on Michigan Street, from the E/W alley
between Madison Street and Ivlarion Street, through the curve (adjacent to the Hospital's
Gateway Parking Lot) until where it merges with the left-most southbound travel lane on
Main Street. Inf 1] for the provision of a planted tree lawn.
B. One (1) meeting with City and Memorial Hospital to discuss the opmlon of probable
construction cost,
C. Information provided by OWNER:
1. Cost for Brick Facade on Bartlett Street Garage
Design and constnlction document development are not included in the scope of work and are
considered additional services.

SCHEDULE
DLL proposes to initiate the Scope of Services for `Opinion of Probable Construction Costs for Memorial Hospital Improvements'
outlined above upon receiving a signed Agreement and Notice to Proceed.
COMPENSATION
For performing the professional services outlined above, DLZ Indiana, LLC will be paid on an hourly rate basis in accordance with
our Agreement for Professional Engineering Services, "General Engineering Services", dated September 24, 2007. All other
conditions as set forth in the original Agreement shall remain in full force and effect, except as herein modified. Fees for the
Supplemental Agreement will be invoiced on a monthly basis in accordance with the attached Attachment R.
