("DRNI") and City of South Bend ("Customer") 1. Reference to Agreements. This Exhibit is executed pursuant to the Master Services Agreement dated October 2016 ("Agreement"), executed by the undersigned, and shall be deemed to be a part thereof. 2. Description of Services. DRNI will provide Data Center Services to Customer. The following details the services ("Services") to be provided under this Schedule: a) Data Center Space The data center space will be used by Customer to co -locate server, storage, and network cabinets. The data center space has the following characteristics: i. Security — Security is provided using biometric hand scanners for authorized access. CCTV - state of the art video surveillance is installed at each entrance, around the external facility, and in all data and core infrastructure rooms. Security desk performs 24x7 monitoring. There is a secure fenced area around generators and cooling towers. Security Systems are powered by a redundant UPS infrastructure. ii. Cooling — The facility has two (2) chilled water systems with an initial redundant mechanical load capacity of 250 Tons and an overall capacity of 750 Tons for initial building. Chiller Plant is an N+1 design with a single pathway and will provide process cooling for the space. These systems shall maintain proper temperature and humidity levels for appropriate equipment operation using a closed -loop high -efficiency chiller system. Chillers are magnetic bearing / oil free, with evaporative condensers. The chilled water systems are designed to operate twenty- four (24) hours per day, three -hundred sixty-five (365) days per year. The systems are designed to allow for individual unit maintenance and/or replacement without affecting the overall cooling of the space. iii. The average temperature and humidity will be maintained at levels in accordance with published ASHRAE TC9.9 Data Center Standards. If ASHRAE standards change Data Realty will maintain compliance with current standards. DRNI Co -Location Schedule Page 1 of Revised August 26, 2016 IV. Fire Suppression — The data center space is protected by an inert gas fire protection system. Installation of FM-200 within raised floor area, pre -action within Mechanical, Electrical & Plumbing areas. V. Monitoring — DRNI shall provide continuous monitoring of all critical support equipment via both electronic and human means. Sensors will be installed to monitor ambient temperature, humidity and to provide leak detection, and the data center will be staffed 24x7x365. vi. UPS — Designed as a Distributed Catcher system transferring load at the PDU level. Each UPS output distribution panel serves individual branch circuit panel boards to furnish "A" and "B" redundant branch circuit UPS power capabilities to each Customer cabinet. The power circuits are arranged so that one (1) circuit is providing conditioned power to Customer's cabinet from UPS-1 and the other circuit is providing conditioned power from UPS-2. Customer must install equipment which allows for dual power supplies. It is the Customer's responsibility to connect appropriately. Custom power delivery systems can be designed on a per Customer basis. vii. Telecommunications — DRNI provides a carrier neutral facility with diverse entry points, dual meet -me -rooms and copper or fiber cross connected as requested by Customer. Multiple fiber carriers are available. Selection and configuration of network services is responsibility of Customer. DRNI can provide contact information for several carriers who provide Internet and/or private bandwidth services at the DRNI data center. Customer is responsible for selection and configuration of all external network services which may be required including any required equipment, software, or implementation services. Fiber hand-offs use Single Mode Fiber. viii. Generators — Two 1500kW generators equipped with dedicated sub- base fuel tanks, fully redundant starting and charging systems, and fuel monitoring and scrubbing systems are located on site. Fuel storage is maintained to provide a minimum 48-hour run time, with contracted refill schedules with redundant carriers. The generators will be load tested regularly. ix. HVAC — DRNI utilizes eight (8) 40 ton CRAH Units installed within each CRAH gallery for cooling supported by a water -based system fed from a redundant chiller system. CRAH units are provided with dual electrical sources with integral automatic transfer switches. Ambient air is utilized in the cooling process to lower cooling costs and increase efficiency. DRNI will maintain cooling capacity with a minimum of (N +1) redundancy on all systems. One (1) redundant CRAH for every three (3) required for capacity. UPS rooms are each supported by (2) dedicated and redundant 6-ton CRAH Units with independent water feeds DRNI Co -Location Schedule Page 2 of Revised August 26,2016 b) Power - Power distribution is provided via a distributed redundant A-B-C scenario. Redundant electrical systems to support mechanical loads are also installed, including separate galleries for transformer placement. Power is fed, and monitored for quality from above cabinet redundant power bus ways. All power will be delivered in an N+1 fashion. c) Cross -Connections: DRNI will provide [TBD] cross -connections to Customer for [$50) each per month. Where carrier services allow, and as requested by Customer the cross -connects will be arranged so that one is feeding into the Customer's chosen carrier's primary cabling infrastructure and the other into the carrier's secondary cabling infrastructure. It is the Customer's responsibility to ensure that its network equipment allows for dual network connections and is configured appropriately. If additional cross -connects are required, they may be purchased at $50 monthly per physical connection. DRNI will schedule and supervise the installation of copper or fiber cross -connects as requested in writing by Customer, and invoice Customer for the cost of cross -connect installation as described in (3) and (4) below. d) Blanking Panels: Not later than 30 days after Customer relocation DRNI will install cold aisle blanking panels on all open rack space in Customer cabinet(s). DRNI will supply the blank panels. e) Remote Hands: DRNI's on -site technical staff can provide maintenance, installation, and assistance with equipment located within the Customer's collocation environment. Remote Hands is a technical service designed to support Customers on -site at DRNI who require assistance installing or trouble shooting equipment. Our technical staff is available on -site 24x7x365 to provide services such as: • Rebooting or power cycling equipment. • Pushing a button, toggling a switch or setting an externally accessible dip - switch. • Relaying status of equipment status indicators or typing commands on pre - installed consoles. • Plugging in a console port for remote management by Customer. • Moving or securing cables. • Installing or removing equipment (e.g. router/switch, externally accessible components, etc.) • Swapping of media • Replacing or verifying connectivity integrity of DRNI provided cross -connects. • Adding, removing, or verifying a demarcation label. • Basic troubleshooting of Customer equipment. DRNI Co -Location Schedule Page 3 of 5 Revised August 26, 2016 • Taking digital pictures of equipment or co -location space. • Labeling equipment and cable connections. • Assisting Customer with physically installing, relocating, or movement of equipment. • Installing or swapping pre -configured equipment or components. • Installing cross -connects from Customer equipment to cabinet patch panels. • Moving or securing cables or Customer -side cross -connects. • Assist with critical data backup and/or restore tasks Other customized services can and will be available and detailed in a separate agreement. 3. Sniadecki SUBJECT: Data Realty -Data Center DATE: 10/27/16 Members of the Board, Please see the attached Master Services Agreement between Data Realty & COSB for you to review and approve. COSB had been migrating servers and storage (data) into virtual environment in the Cloud over the past year. We are now at the point that we can setup our upgraded core network environment and move majority of our remaining HW (servers, storage, network devices & others) from our CCB 1211 floor server room, if not also from other locations into the Data Center at Data Realty. The Office of Innovation and Technology team has reviewed the quote and gave favorable recommendation. We will be moving into this Data Center that will provide protection and redundancy in every area necessary for uptime availability of 100% such as: • Security • HVAC/Cooling • Fire Suppression • Monitoring • Power/UPS/Generators • Telecommunications • Others There is an agreement in place between Data Realty and COSB where COSB gets the actual rack space free in exchange for Data Realty using some of COSB's conduits. The monthly recurring cost for this full rack is $705 with a one -charge of $2020. This a average monthly saving of $900 compared to a regular client would be paying. This Data Center Co -location will become COSB's primary server room. If it is unable to be put into the virtual environment in the Cloud, it will be hosted in this Data Center. The current CCB 1211 floor server room will become a much needed office space for the Office of Innovation & Technology Dept. Thank you, Michael E.
