Engineer shall provide Basic and Additional Services, for the new sidewalk along Corby Boulevard between Twyckeham Drive and Churchill Drive. It is undersood that the City of South Bend has a limited budget for the first phase of sidewalk installation, which is to be installed in 2016. Therefore, the final Construction Documents and Specification shall identify segments of the sidewalk as Alternates for phasing purposes. The services for this project are as set forth below PART 1— BASIC SERVICES A1.01 Topographic Survey A. The Engineer has reviewed the proposed concept drawing, aerial photographs as well as driven the site limits, shown in Attachment B, to obtain a thorough understanding of the task at hand. The project study area is located on Corby Boulevard and is between Twyckeham Drive and east of Churchill Drive. There is approximately 2,100 lineal feet of roadway within the project limits. B. The Engineer will provide the following information as it pertains to the survey tasks: 1. Establish both horizontal and vertical control throughout the project limits utilizing both GPS survey grade equipment as well as conventional survey equipment. Vertical control datum is to be on the NAVD88 system. 2. Request utility locates per the Indiana 811 Call Before You Dig call center. Please note that the utilities that will be marked by this company do not include any private utilities. Should private utilities exist within the project limits it may be necessary to contact a private utility locating company to have these lines marked in the field. Fees associated with a private utility locating company are provided as an Allowance, as identified in Exhibit C. 3. Correspondence with utility companies to facilitate the locate process. This may include requesting record utility information so the location of the utilities may be graphically depicted on the drawings. 4. Collect the topographic information within the project limits, including but not limited to, sanitary and storm structures, edges of pavement and curb lines, building comers, observed utilities, trees and spot elevations. 5. Collect invert information for the sanitary and storm structures within the project limits. 6. Perform research to acquire subdivision plats, prior surveys, and roadway plans. 7. Prepare a CAD drawing of the existing site conditions that will include a surface model with contours for design purposes. 8. Utility lines will be shown based upon field evidence located during our field investigation and per plans and markings provided by the owner, utility companies, or their representatives. We cannot certify that all utilities required are available. A 1.02 Sidewalk Easements (T&E Basis): A. Currently there are 12 existing properties along the southern right of way within the project limits. Upon completion of the topographic it will become apparent if there are spacial contraints between the existing roadway edge and the right of way to construct the sidewalk and have a treelawn buffer. Therefore a sidewalk easement may be required. This scope of service will include review of the vesting deeds for the affected properties, preparation of the necessary legal descriptions and the creation of sidewalk easement documentation. B. The fees for this services have been prepared as if all properties will be affected and therefore will be billed on a Time and Expense Basis. A1.03 Utility Coordination: A. Based on a site visit it was noted that there are existing power poles along the roadway edge. It is the desire of the City to avoid any utility relocation for the installation of the sidewalk. However, there are existing utility boxes between Clemens Drive and Northwood Drive where utility coordination services may be required. JPR will facilitate coordination efforts with the affected utility companies and/or departments. A 1.04 Conceptual Design Phase A. Upon completion of the topographic survey JPR will commence with the development of an overall conceptual design showing the location of the proposed 5 foot sidewalk along the southern right of way, new curb ramps, connections to existing walkways, and potential encroachment areas outside of the right -of way. JPR will provide the following: 1. Prepare one (1) Conceptual Drawing showing the full extent of the proposed 5' sidewalk and related site improvements. 2. JPR will prepare a Preliminary Opinon of Probable Cost for the construction of the new sidewalk. This estimate will help in establishing potential phasing or bid alternate limits. 3. JPR will present this plan to the City of South Bend Engineering staff for review and comment. 4. Upon receiving the input from City staff, JPR will update the Conceptual Plan for a final approval by the City. A1.05 Construction Drawings and Specifications A. Copyright © 2008 National Society of Professional Engineers for EJCDC. All rights reserved. This is EXHIBIT 1, consisting of 2 pages, referred to in and part of the Agreement between Owner and Engineer for Professional Services dated Limitations of Liability Paragraph 6.10 of the Agreement is supplemented to include the following agreement of the parties: A. Limitation of Engineer's Liability 1. Engineer's Liability Limited to Amount of Insurance Proceeds: Engineer shall procure and maintain insurance as required by and set forth in Exhibit G to this Agreement. Notwithstanding any other provision of this Agreement, and to the fullest extent permitted by law, the total liability, in the aggregate, of Engineer and Engineer's officers, directors, members, partners, agents, employees, and Consultants to Owner and anyone claiming by, through, or under Owner for any and all claims, losses, costs, or damages whatsoever arising out of, resulting from, or in any way related to the Project or the Agreement from any cause or causes, including but not limited to the negligence, professional errors or omissions, strict liability, breach of contract, indemnity obligations, or warranty express or implied, of Engineer or Engineer's officers, directors, members, partners, agents, employees, or Consultants (hereafter "Owner's Claims"), shall not exceed the total insurance proceeds paid on behalf of or to Engineer by Engineer's insurers in settlement or satisfaction of Owner's Claims under the terms and conditions of Engineer's insurance policies applicable thereto (excluding fees, costs and expenses of investigation, claims adjustment, defense, and appeal). If no such insurance coverage is provided with respect to Owner's Claims, then the total liability, in the aggregate, of Engineer and Engineer's officers, directors, members, partners, agents, employees, and Consultants to Owner and anyone claiming by, through, or under Owner for any and all such uninsured Owner's Claims shall not exceed $ [or] 2. Exclusion of Special, Incidental, Indirect, and Consequential Damages: To the fullest extent permitted by law, and notwithstanding any other provision in the Agreement, consistent with the terms of Paragraph 6.10. the Engineer and Engineer's officers, directors, members, partners, agents, Consultants, and employees shall not be liable to Owner or anyone claiming by, through, or under Owner for any special, incidental, indirect, or consequential damages whatsoever arising out of, resulting from, or in any way related to the Project or the Agreement from any cause or causes, including but not limited to any such damages caused by the negligence, professional errors or omissions, strict liability, breach of contract, indemnity obligations, or warrantyexpress or implied of Engineer or Engineer's officers, directors, members, partners, agents, employees, or Consultants, and including but not limited to: Page 1 (Exhibit I - Limitations on Liability) EJCDC E-500 Agreement Between Owner and Engineer for Professional Services. Copyright © 2008 National Society of Professional Engineers for EJCDC. AB rights reserved. 3. Agreement Not to Claim for Cost of Certain Change Orders: Owner recognizes and expects that certain Change Orders may be required to be issued as the result in whole or part of imprecision, incompleteness, errors, omissions, ambiguities, or inconsistencies in the Drawings, Specifications, and other design documentation furnished by Engineer or in the other professional services performed or furnished by Engineer under this Agreement ("Covered Change Orders"). Accordingly, Owner agrees not to sue or to make any claim directly or indirectly against Engineer on the basis of professional negligence, breach of contract, or otherwise with respect to the costs of approved Covered Change Orders unless the costs of such approved Covered Change Orders exceed % of Construction Cost, and then only for an amount in excess of such percentage. Any responsibility of Engineer for the costs of Covered Change Orders in excess of such percentage will be determined on the basis of applicable contractual obligations and professional liability standards. For purposes of this paragraph, the cost of Covered Change Orders will not include any costs that Owner would have incurred if the Covered Change Order work had been included originally without any imprecision, incompleteness, error, omission, ambiguity, or inconsistency in the Contract Documents and without any other error or omission of Engineer related thereto. Nothing in this provision creates a presumption that, or changes the professional liability standard for determining if, Engineer is liable for the cost of Covered Change Orders in excess of the percentage of Construction Cost stated above or for any other Change Order. Wherever used in this paragraph, the term Engineer includes Engineer's officers, directors, members, partners, agents, employees, and Consultants. B. Indemnification by Owner: To the fullest extent permitted by law, Owner shall indemnify and hold harmless Engineer and its officers, directors, members, partners, agents, employees, and Consultants from and against any and all claims, costs, losses, and damages (including but not limited to all fees and charges of engineers, architects, attorneys, and other professionals, and all court, arbitration, or other dispute resolution costs) arising out of or relating to the Project, provided that any such claim, cost, loss, or damage is attributable to bodily injury, sickness, disease, or death or to injury to or destruction of tangible property (other than the Work itself), including the loss of use resulting therefrom, but only to the extent caused by any negligent act or omission of Owner or Owner's officers, directors, members, partners, agents, employees, consultants, or others retained by or under contract to the Owner with respect to this Agreement or to the Project.
