2015 CONTINUUM OF CARE PROGRAM GRANT AGREEMENT <br />Oaklawn Psychiatric Center, Inc. — SHRA Oaklawn <br />March 1, 2016 — February 28, 2017 <br />HUD Grant # IN0012LSH001508 <br />THIS AGREEMENT is entered into this LO'day of 2016 by <br />and between the City of South Bend, State of Indiana, by and through is Board of Public Works, <br />for and in behalf of the Department of Community Investment (the "City") and Oaklawn <br />Psychiatric Center, Inc. (the "Subrecipient" or "Agency"). This award is granted under CFDA <br />14.267, Continuum of Care Program, Department of Housing and Urban Development, Office of <br />Community Planning and Development, Grant Number IN00121-51-1001508. <br />WHEREAS, the City has received a grant (the "Grant") under Subtitle F of Title IV of the <br />Stewart B. McKinney Homeless Assistance Act, 42 USC 11301 et seq. (the "Act") and the <br />Continuum of Care Program regulation (the "Regulation"), and <br />WHEREAS, the City desires to engage the Subrecipient to give certain assistance in <br />connection with such undertakings and the Subrecipient desires to perform the activities <br />identified herein. <br />NOW, THEREFORE, in consideration of the mutual promises and obligations set forth <br />herein, the City and the Agency do mutually agree as follows: <br />1. DURATION: This Agreement shall commence on March 1, 2016, and terminate on <br />February 28, 2017. <br />2. DEFINITIONS: As used in this Agreement: <br />A. "Subrecipient" means the entity, whether public or private, which has the <br />responsibility for implementing a project, activity, or service. <br />B. "HUD" means the U.S. Department of Housing and Urban Development, the <br />Secretary thereof or a person authorized to act on his/her behalf. <br />C. "Program" means the Continuum of Care Grant approved by HUD as the same <br />may be amended from time to time. <br />3. SCOPE OF SERVICES: The Agency shall perform all services according to the attached <br />"Scope of Services — Project Description for 2015 Continuum of Care Grant <br />Agreement" and the Continuum of Care Interim Rule. Upon publication fore effect <br />of a Final Rule for the Continuum of Care program, the Final Rule will govern this <br />Agreement instead of the Interim Rule. <br />4. AMENDMENTS: Any revision to this Agreement, including Attachments, shall be <br />made by written amendment to this Agreement. <br />5. COMPLIANCE WITH APPROVED PROGRAM: All activities authorized by this <br />Agreement shall be performed in accordance with the Act and the Regulation. <br />6. SUBCONTRACTING: The performance covered by this Agreement shall not be <br />subcontracted, assigned or delegated without the prior written consent of the City. <br />1 <br />
