"Deposit Agreement Counterparts" shall mean the financial institution that enters into <br />a Deposit Agreement with the Participant, which financial institution shall be approved by the <br />Finance Authority and may be replaced by the Finance Authority from time to time. <br />"Director of Environmental Programs" shall mean the person designated by the <br />Finance Authority as authorized to act as the Director of Environmental Programs (which <br />designation includes such Director's assumption of the duties previously assigned to the <br />Wastewater SRF Program Representative and the Wastewater SRF Program Director) and where <br />not limited, such person's designee. <br />"Disbursement Agent" shall mean the party disbursing the Loan to or for the benefit of <br />the Participant, which shall be the Trustee unless amounts are held in the Construction Fund, in <br />which case the Disbursement Agent shall thereafter be the Deposit Agreement Counterparts as <br />the party disbursing amounts are held in the Construction Fund unless otherwise agreed by the <br />Finance Authority. <br />"Disbursement ReQUest" shall mean a request for a disbursement of the Loan made by <br />an Authorized Representative in such form as the Finance Authority may from time to time <br />prescribe. <br />"Eligible Cost" shall mean and include, whether incurred before or after the date of this <br />Agreement, all costs which have been incurred and qualify for Financial Assistance, including <br />engineering, financing and legal costs related thereto. <br />"Equity Account" shall mean the Equity Grant Account, the Equity Earnings Account <br />and any other Equity account, each as created and existing from time to time under the <br />Wastewater SRF Indenture and held as part of the Wastewater SRF Fund. <br />"Finance Authority" shall mean the Indiana Finance Authority, a body politic and <br />corporate, not a state agency but an independent instrumentality ofthe State. <br />"Finance Authority Bonds" shall mean (A) any Indiana Bond Bank State Revolving <br />Fund Program Bonds issued as a part of the Wastewater SRF Program within the meaning of the <br />Wastewater SRF Indenture and (B) any Finance Authority State Revolving Fund Program Bonds <br />or other similar obligations of the Finance Authority issued as a part of the Wastewater SRF <br />Program within the meaning of the Wastewater SRF Indenture. <br />"Financial Assistance" shall mean the financial assistance authorized by the Clean <br />Water Act, including the Loan. <br />"Loan" shall mean the purchase of the Bonds by the Finance Authority to finance the <br />planning, designing, constructing, renovating, improving and expanding of the Participant's <br />Treatment Works or refinance an existing debt obligation where such debt was incurred and <br />building of such systems began after March 7, 1985, but does not mean the provision of other <br />Financial Assistance. <br />BDDBOI 5738468v1 <br />B-4 <br />
