(i) there shall have occurred any new outbreak of hostilities or any new national or international calamity or crisis, including a financial crisis, the effect of which on the financial markets of the United States of America being such as would in the reasonable judgment of the Purchaser materially adversely affect the market price of the Bonds; (ii) there shall be in force a general suspension of trading on the New York Stock Exchange or a general banking moratorium shall have been declared by Federal, Indiana or New York authorities, the effect of which would, in the reasonable judgment of the Purchaser, materially adversely affect the offering prices of the Bonds; (iii) a material adverse change in the financial condition or general affairs of the Issuer shall occur; or (iv) an event, court decision, proposed law or rule that may have the effect of changing the federal income tax incidents of the Bonds or the contemplated transactions shall occur. 6. Survival of Representations. Warranties and Agreements. All representations, warranties, and agreements of the Issuer and the Purchaser shall remain in full force and effect regardless of any investigations made by or on behalf of the Purchaser and shall survive the Closing Date. 7. Execution in Counterparts. Counterparts of this executed Purchase Agreement shall constitute one and the same instrument. 8. Notices. Any notice or other communication to be given to the Issuer shall be given by delivering the same in writing to the Controller of the Issuer at the address set forth above, and any notice or other communication to be given to the Purchaser shall be given in writing to 9. Parties in Interest. This Purchase Agreement is made solely for the benefit of the parties hereto and no other person, including any future holder of the Bonds, shall acquire or have any right hereunder or by virtue hereof.
