This MOU may be executed in several counterparts, each of which shall be <br /> an original and all of which shall constitute but one and the same agreement. <br /> 5.10 Consent or Approval. Except as otherwise provided herein, whenever consent or <br /> approval of any party is required, such consent or approval shall not be unreasonably withheld or <br /> delayed. <br />
