(d) A11 laws, ordinances, rules, regulations and orders (including. but not <br />limited to, those relating to coning, building, lire. health. salety and <br />ens°ironmental control and protection) of any government or any agency. <br />body or subdivision thereof: bearing on the Seller's o~~ncrship, operation <br />or sue o1 the Property or an~~ part thereof. have been or will, prior to the <br />closing, be complied v<~iih by Scllcr; all notices, licenses, permits. <br />certificates and authority, required in connection with the Seller's <br />occupancy or use of the Property or any part thereof, have been obtained <br />and are in full Corce and effect. <br />(e) Neither the execution of this Contract nor the consummation oC the <br />transactions contemplated herein «-ill constitute a breach under any <br />contract or agreement to which Seller is a party or by ~~fiich Scllcr is <br />bound or affected or which affects the Property or any part thereof. <br />(f) There are no actions. suits or proceedings pending, or to the knowledge of <br />Seller threatened, before anv judicial body or any governmental authority <br />or anv order, writ, injunction, decree or demand or anv court or any <br />governmental authority relatin~~ to the Propertti~ or any part thereof. <br />1 E. The parties shall indemnity and hold the other free and hannlcss from all losses. <br />damages. costs and expense, including reasonable attorney's lees, which either ma_v suffer or <br />incur as a result of the other's breach of the foregoing representation. <br />17. Condemnation. Purchaser shall have the right, in the event that all or part of the <br />Property is subject to a bona fide threat of condemnation, or is taken in the exercise of the power <br />of eminent domain, or by way of sale in lieu thereof. by written notice to Seller. to elect to cancel <br />this Contract prior to the Datc of Closing. If no such election is made by Purchaser, this Contract <br />shall remain in full force and effect and the Purchase and sale contemplated herein. less any <br />interest taken by condemnation, or sale in lieu of condemnation, shall be effected with no further <br />adjustment, and Seller shall, at the closing. assign to Purchaser all of Seller's right. title and <br />interest in and to am~ award that has been or that may thereafter be made for such taking. Seller <br />shall immediately notify Purchaser in the event that the Property or any portion thereof becomes <br />the subject of a condemnation proceeding. <br />18. Notice. Notices delivered personally or sent by certified or express mail to Scllcr <br />at Community and Economic Development, Lth Floor, County-City Building, South Bend. <br />Indiana 46(01.
