Relationship of the Parties. Nothing contained in this Agreement nor any act of the Parties shall be construed to create a principal and agent, joint venture, partnership, or similar relationship between the Parties, nor shall anything contained in this agreement or any act of the parties be construed to render any party liable for the debts or obligations of any other Party. 9. Authority. The person executing this Agreement on behalf of a Party represents that he or she has the authority to bind that Party. 10. Modification. No modification of this Agreement will be effective unless in writing and signed by all of the Parties. 11. Entire Agreement. This Agreement, including the attached Exhibits, contains the entire contract between the Parties and all of the terms and conditions to which the Parties have agreed and supersedes all prior oral or written agreements or understandings concerning the subject matter. 12. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana. 13. Interpretation. No provision in this Agreement shall be interpreted for or against any Party because that party or that party's legal representative drafted the provision. 14. Captions. All headings contained in this Agreement are intended for convenience only and are not to be deemed or taken as a summary of the provisions to which they pertain or as a construction thereof. 15. Counterparts. This Agreement may be executed in counterparts, each of which when taken together shall constitute one and the same instrument. [Signature Pages to Follow]
