Dollars ($600,000.00); and <br />WHEREAS, The City and the Commission have determined to enter into <br />a Lease with the Lessee, and the same is approved as provided by law; and <br />WHEREAS, The said City, the Commission, the Lessee, and the Trustee <br />desire to reduce their agreements to writing as to the disposition of funds, <br />the payment of Bond, the security for the Bond, and the rights and duties <br />of the parties. <br />NOW, THEREFORE, in consideration of the premises and in consideration <br />of the covenants herein contained it is agreed as follows: <br />ARTICLE I. <br />Definitions <br />Section 1.1 In addition to the words and terms elsewhere defined in this <br />Indenture, the following words and terms as used in this Indenture, shall <br />have the following meanings unless the context or use indicates another or <br />different meaning: <br />"Act" shall mean the Indiana Statute cited as the "Municipal Econo- <br />mic Development Act of 1965" as amended or supplemented from time to time. <br />"Lessor" shall mean the City and the Commission, both acting pur- <br />suant to said Act. <br />"Lessee" shall mean Ridgedale Nursing Home, an Indiana partnership, <br />organized and operating under the laws of Indiana, and its successors and <br />assigns, including any surviving, resulting,. or transferee corporation, partner- <br />ship, or sole proprietorship. <br />"City" shall mean the City of South Bend, Indiana, a municipal <br />corporation existing under the laws of the State of Indiana. <br />"Trustee" shall mean the St. Joseph Bank and Trust Company, South <br />Bend, Indiana, acting in its fiduciary capacity hereunder. <br />"Commission" shall mean the South Bend Development Commission estab- <br />lished pursuant to ordinance of the Common Council of the City. <br />"Construct" and "construction" include repair, maintain, renovate, <br />remodel, rebuild, enlarge, or make major structural improvements or additions <br />to existing buildings, as well as to build new improvements on unimproved <br />land. <br />"Bond" and "Bonds" shall mean the Economic Development Revenue <br />Bonds of the City issued pursuant to Ordinance No. of the Common <br />- 2 - <br />P <br />
