or statements or other document or documents as may be deemed by <br />them to be necessary or advisable in order to comply with the <br />procedures set forth in Section 1.103- 10(b)(2)(vi) of the Income <br />Tax Regulations (26 CFR Part 1) under Section 103 of the Internal <br />Revenue Code of 1954, as amended, and all acts heretofore taken <br />by them in this connection are hereby ratified and confirmed. <br />Sec_ tion 16. It is hereby recognized that the St. <br />Joseph Bank and Trust Company, South Bend, Indiana, is Trustee <br />under the Indenture. The Issuer hereby recognizes, agrees to and <br />approves the deposit of the proceeds of the Series 1978 Bond with <br />the St. Joseph Bank and Trust Company, as Trustee which amount <br />shall be held by the Trustee in accordance with the provisions of <br />the Indenture. The Mayor and City Clerk of the Issuer are hereby <br />authorized to direct the Trustee to authenticate and deliver the <br />Series 1978 Bond. <br />Section 17. The Mayor and the City Clerk are hereby <br />authorized and directed to cause to be prepared an issue of <br />$400,000 principal amount of the Series 1978 Bond in the form, <br />bearing interest at the rate, and having the other terms and <br />provisions specified in the First Supplemental Indenture. <br />Section 18. The Mayor and the City Clerk, as appro- <br />priate, are hereby authorized and directed to execute such cer- <br />tifications, financing statements, assignments, documents and <br />other instruments as are in the opinion of counsel to the Issuer <br />and nationally recognized bond counsel necessary to perfect the <br />pledges set forth in the First Supplemental Indenture and the <br />First Supplemental Loan Agreement and any such other documents <br />and instruments as may be required to effectuate any portion of <br />the financing transcation. <br />Section 19. The provisions of this Ordinance are <br />hereby declared to be separable and if any section, phrase or <br />provision shall for any reason be declared by a court of com- <br />petent jurisdiction to be invalid or unenforceable, such declara- <br />tion shall not affect the validity of the remainder of the Sec- <br />tions, phrases and provisions hereof. <br />-11- <br />
