19 <br />following the Completion Date, the Developer shall be entitled to assign this Agreement to any <br />purchaser of the Project with the express prior written consent of each of the City Bodies, which <br />consent will not be unreasonably withheld, conditioned or delayed upon compliance by the <br />Developer with this Section 8.14. On or after the date that is five (5) years following the Completion <br />Date, the Developer shall be entitled to assign this Agreement to any purchaser of the Project <br />without the City Bodies’ prior written consent; provided such purchaser shall be required to assume <br />all obligations of the Developer under this Agreement arising after such purchase. Upon such <br />assumption, the Developer shall be released from all obligations pursuant to this Agreement arising <br />after the date the purchaser assumes this Agreement. With respect to any assignment of this <br />Agreement prior to the date that is five (5) years following the Completion Date, Developer shall <br />demonstrate to the City Bodies that the new purchaser and associated affiliates of the Project have <br />comparable financial strength and reputation as the Developer, including its affiliates. <br />8.15 No Third Party Beneficiaries. This Agreement shall be deemed to be for the benefit <br />solely of the Parties and shall not be deemed to be for the benefit of any third party. <br />8.16 Effective Date. Notwithstanding anything herein to the contrary, this Agreement <br />shall not be effective until all parties hereto have executed this Agreement and the Redevelopment <br />Commission has approved or ratified this Agreement at a public meeting. <br /> <br /> <br />[Signatures follows on next page]
