REAL ESTATE PURCHASE AGREEMENT <br />This Real Estate Purchase Agreement (this “Agreement”) is made on December 11, 2025 <br />(the “Contract Date”), by and between the City of South Bend, Indiana, Department of <br />Redevelopment, acting by and through its governing body, the South Bend Redevelopment <br />Commission (“Seller”) and Momentum Development Group, LLC, an Indiana Limited Liability <br />Company with a principal office address of 510 S. Main Street, South Bend, IN 46601 (“Buyer”) <br />(each a “Party” and together the “Parties”). <br />RECITALS <br />A.Seller exists and operates pursuant to the Redevelopment of Cities and Towns Act <br />of 1953, as amended, being Ind. Code 36-7-14 (the “Act”). <br />B.In furtherance of its purposes under the Act, Seller owns five (5) parcels of real <br />property located in South Bend, Indiana (the “City”), specifically parcel numbers 018-3017-0615, <br />018-3017-0620, 018-3017-0621, 018-3017-0622, and 018-3017-0623, and more particularly <br />described in attached Exhibit A (the “Property”). <br />C.The Parties entered into a certain Real Estate Option Agreement, dated May 25, <br />2023 as further amended by the First Amendment to Real Estate Option Agreement dated August <br />8, 2024 (the “Option Agreement”), in which the Seller agreed to grant the Buyer an exclusive <br />option to purchase the Property. <br />D.The Buyer has notified the Commission with a written notice of its intent to <br />purchase the Property and provided with detailed site plans and specifications for the proposed <br />development of the Property (the “Notice of Intent”), as required by the Option Agreement. <br />E.The Parties now desire to proceed with the transfer of Property under the terms set <br />forth in the Option Agreement and as further set forth herein. <br />NOW, THEREFORE, in consideration of the mutual covenants and promises in this <br />Agreement and other good and valuable consideration, the receipt of which is hereby <br />acknowledged, Buyer and Seller agree as follows: <br />1.RECITALS <br />The recitals above are hereby incorporated into this Agreement by reference. <br />2.OFFER AND ACCEPTANCE <br />A copy of this Agreement, signed by Buyer, constitutes Buyer’s offer to purchase the Property on <br />the terms stated in this Agreement and shall be delivered to Seller, in care of the following <br />representative (“Seller’s Representative”): <br />TO SELLER: Caleb Bauer
