SECRETARY'S CERTIFICATE <br />The undersigned, Richard Sedory, being the duly elected and acting Secretary of Toter, LLC the <br />"Company" �, does hereby certify that the following resolutions were adopted by written action by <br />Wastequip, LLC, the Sole Member of the Company on July 8, 2024: <br />WHEREAS, a principal portion of the business of the Company is negotiating contracts with <br />municipalities and governmental agencies; <br />WHEREAS, the submission of bidding documents and the execution of contracts is part of the process of <br />obtaining work with municipalities; and, <br />WHEREAS, many municipalities require proof that the person submitting the bidding documents and <br />executing contracts has lawful authority to bind the Company. <br />NOW, THEREFORE, BE IT RESOLVED, that the following persons be, and they hereby are, authorized, <br />empowered and directed, for an on behalf of the Company, to submit bids and all related documents to <br />municipalities and units of government and to execute contracts and other documents binding the <br />Company: <br />Martin "Marty„ Bryant <br />John Defenbaugh <br />Amanda Garman <br />Laura Hubbard <br />Steve Klueg <br />Derrick Masimer <br />1P McLaughlin <br />Larry Harvey <br />Richard Sedory <br />David Pelichet <br />RESOLVED FURTHER, that any instruments or documents submitted in connection with any bidding <br />process and any contracts associated therewith, heretofore signed by any of the foregoing persons be, <br />and the same hereby are, ratified, affirmed and approved, <br />Richard Se ory, Secretary <br />Dated: July 8, 2024 <br />
