BUILT FOR EXTREMES"' Toter, LLC's Response — City of South Bend Bid for Six Thousand (6,000) More or Less Universal/Nestable Refuse and Yard Waste Containers TOTER'S NOTES TO PRICING ✓ Pricing totals are based on approximately 3,000 carts of each size, due to Question/Answers with the City. However, Toter's Unit Pricing is based on orders placed in lots of truckload quantities of 624 carts per load of 96 gallon carts, or 912 carts per load of 48 gallon carts. Sizes may be mixed to make up full truckload quantities. When mixing sizes, please note that Toter's minimum order quantity is 100 carts of the same size/model, markings and features. Orders for other than lots of truckload quantities may be made, but may incur additional freight. ✓ Firm Pricing - As indicated in our "Exceptions", the market costs of resin and freight continue to be volatile through time, not allowing pricing to be held firm beyond 90 contract calendar days (3 months) at a time. It is Toter's policy to utilize price adjustments to prevent penalizing the City with high pricing which would be set to offset non -predictable fluctuations in the market. With our proposed Price Adjustments procedure, we can keep our pricing fair for both the City and Toter. Please refer to our Price Adjustments page in our Bid. ✓ Delivery - Toter agrees to deliver carts within 60 days from Toter's receipt in writing of Purchase Order, Order Confirmation, and Markings Approvals forms from the City, and if credit has been established; however, the delivery time frame may be subject to shorter or longer lead times due to extraordinary demand or outside circumstances including our compliance with applicable CDC/local agency guidance and mandates, executive orders, and federal, state and local laws. ✓ Taxes— Pricing does not include applicable taxes. ✓ Payment Terms — 0% discount; Net 30 days.
