h <br />PURCHASE AGREEMENT <br />THIS AGREEMENT, entered into this day of <br />2004, by and <br />between, South Bend Heritage Foundation hereinafter referred to as the "Buyer," and the Civil <br />City of South Bend, a municipal corporation of the State of Indiana, hereinafter referred to as the <br />"City." <br />WITNESSETH: <br />WHREAS, both I. C. 36-1-11-1(b)(7) and I.C. 5-22-22-1(c)(7) permit the sale of real <br />property owned by the City of South Bend to a not -for -profit corporation organized for education, <br />literacy, scientific, religious, or charitable purposes that is except from federal income taxation under <br />Section 501 of the Internal Revenue Code; and <br />WHEREAS the South Bend Heritage Foundation, Inc., as part of its charitable purpose, helps <br />improve neighborhoods and encourage home ownership in the City of South Bend, is an Indiana not - <br />for -profit corporation organized for education, literacy, scientific, religious, or charitable purposes <br />that is except from federal income taxation under Section 501 of the Internal Revenue Code; and <br />W-HEREAS, the board of Public Works of the City of South Bend (hereinafter referred to <br />as the "Board") is empowered to convey property owned by the City of South Bend; and <br />WHEREAS, the Board has determined that: <br />1. The highest and best use of certain real property owned by the City is by sale to an <br />Indiana not -for -profit corporation dedicated to the improvement of property throughout the City of <br />South Bend for the benefit of the City of South Bend should be returned to the tax rolls and occupied <br />by its owner; <br />2. It would be to the advantage of the City of South Bend to sell the property described <br />below to the South Bend Heritage Foundation, Inc. for twenty-nine thousand dollars ($29,000.00). <br />WHEREAS, the offer of the Buyer in the amount of Twenty -Nine Thousand Dollars <br />($29,000.00) was offered for said property and has been accepted in the best interest of the City of <br />South Bend. <br />NOW, THEREFORE, it is agreed by and between the parties hereto, and for and in <br />consideration of the promises and the mutual covenants herein contained, as follows: <br />1. The City agrees to sell and Buyer agrees to buy the following property located in St. <br />Joseph County, Indiana: <br />The East Half (1/2) of Lot Numbered Twelve (12) and a strip of land 5 feet in width, <br />from East to West, taken off of and from the entire length of the East side of the West <br />half (1/2) of said Lot Numbered Twelve (12) all as shown on the recorded Plat of <br />Wall and Hine's Subdivision of the North park of Bank Out Lot 90 of the SecondPlat <br />of Out Lots of the Town, now City of South Bend platted by the State Bank of <br />Indiana. <br />Commonly refen-ed to as 1010 Jefferson. <br />
