• "Bond Register" means the registration books of the <br />Authority kept by the Trustee (in its capacity as Registrar) or by <br />the Tender Agent (if designated by the Trustee to act as Registrar <br />pursuant to Section 715 hereof) or by any Co-Registrar (if <br />designated by the Trustee pursuant to Section 715 hereof) to <br />evidence the registration and transfer of Bonds. <br />"Business Day" means a day of the year which is not (a) <br />a day on which banking institutions are authorized or required to <br />close in New York, New York, or in the cities where the principal <br />offices of the Trustee, Remarketing Agent, Tender Agent and Credit <br />Facility Issuer are located or (b) a day on which the New York <br />Stock Exchange is closed. <br />"Capitalized Interest Account" means the account so <br />designated which is created and established pursuant to Section 402 <br />hereof. <br />"Closing Date" means June 29, 1994, the date of the <br />initial authentication and delivery of the Bonds. <br />"Code" means the Internal Revenue Code of 1986, as <br />amended from time to time. Each reference to a section of the Code <br />herein shall be deemed to include the United States Treasury <br />Regulations, including temporary and proposed regulations, relating <br />to such section which are applicable to the Bonds or the use of the <br />proceeds thereof. <br />"Commission" means the South Bend Redevelopment <br />Commission or if said commission shall be abolished, the successor <br />thereto. <br />"Construction Fund" means the trust fund so designated <br />which is created pursuant to Section 302 of this Indenture. <br />"Conversion Date" means an Adjustment Date for any Bond <br />on which it begins to bear interest at a Fixed Rate. <br />"Credit Facility" means the Initial Credit Facility, <br />Renewal Credit Facility or Alternate Credit Facility at the time <br />in effect. <br />"Credit Facility Agreement" means, initially, the Letter <br />of Credit and Reimbursement Agreement dated as of June 1, 1994, <br />between the Authority and the Initial Credit Facility Issuer as <br />such agreement may from time to time be amended or supplemented, <br />and thereafter means the agreement pursuant to which the Credit <br />Facility Issuer agrees to issue any Renewal Credit Facility or <br />Alternate Credit Facility at the time in effect, as such agreement <br />may from time to time be amended or supplemented. <br />6 <br />
