To the Initial Credit Facility Issuer (for all notices other than Credit Facility draws or administration): The Fuji Bank, Limited,-New York Branch Two World Trade Center New York, New York Attention: Vice President and Manager, Public Finance Notwithstanding anything herein to the contrary, at such time as all of the Bonds outstanding hereunder have been converted to the Fixed Mode and all amounts owed to the Credit Facility Issuer shall be paid in full and the Credit Facility shall have been returned for cancellation, no notices shall be required to be given hereunder to the Remarketing Agent, the Credit Facility Issuer or the Tender Agent. Section 1404. Counterparts. This Indenture may be simultaneously executed in several counterparts, each of which shall be an original and all of which shall constitute but one and the same instrument. Section 1405. Governing Law. This Indenture shall be governed exclusively by and construed in accordance with the laws of the State of Indiana. • Section 1406. Payments Due on Non Business Days. In any case where the date of maturity of interest on the Bonds, or principal of the Bonds, or the date fixed for redemption of any Bonds shall not be a Business Day, then. payment of such interest or principal need not be made on such date but shall be made on the next succeeding Business Day., with the same force and effect as if made on the date of maturity or the date fixed for redemption, and, in the case of such payment, no interest shall accrue for the period from and after such date. Section 1407. Immunity of Officers Employees and Members of Authority. No recourse shall be had for the payment of the principal of or premium, if any, or interest on any of the Bonds or for any claim based thereon or upon any obligation, covenant or agreement in this Indenture contained against any past, present or future officer, director, member, employee or agent of the Authority, or any incorporator, officer, director, member, trustee, employee or agent of any successor corporation or body politic, as such, either directly or through the Authority or any successor corporation or body politic, under any rule of law or equity, statute or constitution or by the enforcement of any assessment or penalty or otherwise, and all such liability of any such incorporators, officers, directors, trustees, members, employees or agents, as such, is hereby expressly waived and • 109
