Page 9 of 21 <br />(1) Grantee certifies that: <br />(a) Grantee, except for de minimis and nonsystematic <br />violations, has not violated the terms of: <br />(i) IC § 24-4.7 [Telephone Solicitation Of Consumers]; <br />(ii) IC § 24-5-12 [Telephone Solicitations]; or <br />(iii) IC § 24-5-14 [Regulation of Automatic Dialing <br />Machines]; <br />in the previous three hundred sixty-five (365) days, even if IC 24- <br />4.7 is preempted by federal law, all as amended from time to time; <br />and <br />(b) Grantee will not violate the terms of IC § 24-4.7 for the <br />duration of this Agreement, even if IC §24-4.7 is preempted by federal law, <br />all as amended from time to time. <br />(2) Grantee certifies that no affiliate of Grantee or any agent acting on <br />behalf of Grantee or on behalf of an affiliate of Grantee, except for de minimis and <br />nonsystematic violations, <br />(a) has violated the terms of IC § 24-4.7 in the previous three <br />hundred sixty-five (365) days, even if IC § 24-4.7 is preempted by federal <br />law, all as amended from time to time; or <br />(b) will violate the terms of IC § 24-4.7 for the duration of this <br />Agreement even if IC § 24-4.7 is preempted by federal law, all as amended <br />from time to time. <br />I. Grantee shall complete and return the Information and Questionnaire, <br />attached hereto as Exhibit “F”, and incorporated fully herein. <br />J. Grantee warrants that to the best knowledge of the undersigned on behalf of <br />Grantee, neither the undersigned nor any other member, employee, representative, agent, <br />or officer of Grantee, directly or indirectly, has entered into or been offered any sum of <br />money or other consideration for the execution of this Agreement other than that which <br />appears upon the face hereof. <br />K. Notwithstanding anything herein to the contrary, any obligation, duties or <br />compliance responsibility set forth under this Agreement on Grantee shall rest fully and <br />solely with said Grantee entity and not be an obligation, duty or compliance responsibility <br />of the individual volunteer member, officer, agent, or representative serving said Grantee <br />entity, except for any intentional malicious actions by such individual. <br />L.
