This Agreement reflects the entire agreement of the parties hereto with respect to the subject <br />matter hereof. This Agreement shall be governed in all respects by the laws of the State of Indiana <br />without reference to its or any other state's choice of law principles or rules. Venue for any legal <br />proceeding arising out of this Agreement shall be exclusive to courts located in St. Joseph County, <br />Indiana. The parties hereto waive trial by jury in any action, proceeding or counterclaim arising out <br />of this Agreement.
