.0 • <br />Section 12.5. Amendments Cha�ea and Modifications. <br />Except a:e ,,yherwise provided h this Lease or in the Inden- <br />ture, subsequent to the initial issuance of Bonds and prior <br />to their payment in full (or provision for the payment <br />thereof having been made in accordance with the provisions <br />of the Indenture), this Lease may not be effectively amended, <br />changed, modified, altered or terminated without the written <br />consent of the Trustee. <br />Section 12.6. Execution Counter arts. This Lease may <br />be executed in severs counterparts, each of which shall be <br />an original. <br />section 12.7. Other Instruments. <br />(a) In order to assure perfection of the respective <br />security interests of the Lessor and the Trustee in and to <br />certain tangible personal property which may constitute a <br />part of the machinery or equipment of the Project, the <br />Lessee agrees that on the Completion Date it will furnish <br />the Lessor and the Trustee with a written opinion of counsel <br />to the effect that all appropriate steps on the part of the <br />Lessee then necessary to permit perfection of such respective <br />interests of the Lessor and the Trustee under the Indenture <br />as may be created by this Lease in and to all tangible <br />personal property as against third party creditors of and <br />purchasers for value in good faith from the Lessor or the <br />Lessee have been taken. <br />The Lessor agrees that on the Completion Date it will <br />furnish the Trustee with a written opinion of counsel to the <br />effect that all appropriate steps on the part of the Lessor <br />then requisite to perfection (as aforesaid) of the respective <br />security interests of the Trustee and the Lessor inand to <br />all such personal property have been taken. <br />Thereafter and at any such time as additional tangible <br />personal property, whether as substitutions, replacements or <br />otherwise, of an aggregate value in excess of $150,000 shall <br />become part of the Project, the Lessee agrees to furnish to <br />the Trustee, supplements to the aforementioned written <br />opinions of counsel to the effect that all steps requisite <br />to perfection of the foregoing security interests have been <br />duly taken. <br />All opinions required by this Section 12.7 shall specify <br />the further refilings and renewals required in order to <br />continue perfection of such security interests for so long <br />as the Bonds shall be outstanding under the terms of the <br />Indenture. <br />(b) The Lessee and the Lessor agree to enter into and <br />sign all instruments (including financing statements) deemed <br />2'39 ,, 253 <br />XII-2 <br />
