12. Each party and signatory to this Agreement represents and warrants to the <br />other party that it has full power, authority and legal rights, and has completed all <br />proceedings and obtained all approvals necessary, to executive, deliver and perform this <br />Agreement. Further, each party represents that it has had the opportunity to consult with its <br />legal counsel regarding this Agreement prior to signing. The judicial rule of construction <br />requiring or allowing a document to be construed against the interests of the document's <br />maker or drafter shall not apply to this Agreement. <br />13. This Agreement may be executed in several counterparts, each of which shall <br />be deemed an original, but together the counterparts shall constitute one and the same <br />document. <br />14. No amendments, modifications, alterations, or additions to this Agreement <br />shall be binding unless made in writing and signed by the parties signing this Agreement <br />below or their respective legal representatives of successors. <br />15 Grantee's Contractor will name Grantor as additional insured during project <br />duration. <br />(Signatures on following page) <br />
