SALE OF THE BOND: EXECUTION OF DOCUMENTS <br />Section 12. (a) The sale of the Bond hereby <br />authorized to the Bank at a price of $1,550,000 and payment <br />pursuant to the Bond Purchase Agreement in substantially the form <br />which has.been presented to the members of the Issuer, is hereby <br />approved by said members, and the Bond Purchase Agreement in <br />substantially the form which has been presented to the members of <br />the Issuer is hereby in all respects authorized, approved and <br />confirmed. <br />The Mayor of the Issuer is hereby authorized, empowered <br />and directed to execute the Bond Purchase Agreement for and on <br />behalf of the Issuer, and the City Clerk of the Issuer is hereby <br />authorized, empowered and directed to attest the same and to <br />affix the official seal of the Issuer thereto, and the Mayor and <br />the City Clerk are hereby authorized, empowered and directed to <br />deliver the Bond Purchase Agreement, such Bond Purchase Agreement <br />to be in substantially the same form as presented to and approved <br />by the members of the Issuer, or with such changes therein as <br />shall be approved by the officers of the Issuer executing the <br />same, their execution thereof to constitute conclusive evidence <br />of their approval of any and all changes or revisions therein <br />from the form of a Bond Purchase Agreement presented to and <br />approved by the members of the Issuer. <br />(b) The Agreement, the Mortgage and the Assignment in <br />substantially the form in which the same have been presented to <br />the members of the Issuer are hereby approved by such members, <br />and are in all respects authorized, approved and confirmed. <br />The Mayor of the Issuer is hereby authorized, empowered <br />and directed to execute the Agreement, the Mortgage and the <br />Assignment for and on behalf of the Issuer, and the City Clerk of <br />the Issuer is hereby authorized, empowered and directed to attest <br />the same and to affix the official seal of the Issuer thereto, <br />and the Mayor and the City Clerk are hereby authorized, empowered <br />and directed to deliver the Agreement, the Mortgage and the <br />Assignment, such Agreement, Mortgage and Assignment to be in <br />substantially the same form as presented to and approved by the <br />members of the Issuer, or with such changes therein as shall be <br />approved by the officers of the Issuer executing the same, their <br />execution thereof to constitute conclusive evidence of their <br />approval of any and all changes or revisions therein from the <br />form of Agreement, Mortgage and Assignment presented to and <br />approved by the members of the Issuer. <br />-30- <br />
