' s contained in any such supplemental agreement as to any provision authorized to be contained therein shall be, and shall be deemed to be, part of the terms and conditions of this Agreement for any and all purposes. Sec. 10.04. The Trustee shall be entitled to receive, and shall be fully protected in relying upon, the opinion of any counsel approved by it who may be counsel for the Authority, as conclusive evidence that any such proposed supplemental agreement complies with the provisions of this Agreement, and that it is proper for the Trustee, under the provisions of this Article, to join in the execution of such supplemental agreement. Sec. 10.05. Notwithstanding anything contained in the foregoing provisions of this Agreement, the rights and obligations of the Authority and of the holders of the Bonds,. and the terms and provisions of the Bonds and this Agreement, or any supplemental agreement, may be modified or altered in any respect with the consent of the Authority and the consent of the holders of all the Bonds then outstanding. ARTICLE XI. Miscellaneous Provisions Sec. 11.01. Any covenant of the Authority set forth in this Agreement may be waived or modified in whole or in part with the written consent of the Authority and the Trustee without the necessity of obtaining the consent of the Bondholders and without the execution and delivery of a supplemental agreement, provided that the Trustee determines, upon the advice of legal counsel, that any such waiver or modification will not adversely impact the interests of the Bondholders. Sec. 11.02. Any notice or demand which by any provision of this Agreement is required or permitted to be given or served by the Trustee on the Authority shall be deemed to have been sufficiently given or served for all purposes, by being deposited, postage prepaid, in a United States Post Office letter box, addressed (until another address is filed in writing by the Authority with the Trustee for that purpose) as follows: South Bend Redevelopment Authority 1200 County-City Building 227 West Jefferson Boulevard South Bend, Indiana 46601 Any notice or demand which by any provision of this Agreement is required or permitted to be given or served by the Authority on -43-
