_. , . <br />• <br />RESOLUTION NO. 169 <br />A RESOLUTION OF <br />THE SOUTH BEND REDEVELOPMENT AUTHORITY <br />REVISING ITS PROCEDURES AND THE DUTIES OF ITS OFFICERS <br />WHEREAS, pursuant to Ind. Code § 36-7-14.5-7, the South Bend Redevelopment Authority <br />("Authority") has been created as a separate body corporate and politic and an instrumentality of the <br />City of South Bend, Indiana and may exercise any power granted to it by Ind. Code § 36-7-14.5 et <br />seq. ; and <br />WHEREAS, in accordance with Ind. Code § 36-7-14.5-10, the Authority may adopt such <br />bylaws and rules as it considers necessary for the proper conduct of its duties and the safeguarding of <br />the funds and property entrusted to its care; and <br />WHEREAS, the Authority meets on the first and third Wednesdays of each month; and <br />WHEREAS, the Authority's current procedure for the execution of documents is to require <br />that all documents approved by the Authority be signed by the President and attested to by the <br />Secretary; and <br />• WHEREAS, from time-to-time, one of the officers of the Authority is unable to attend a <br />meeting, although a quorum may still be present so that the Authority may conduct its business; and <br />. WHEREAS, in the interest of good government and the efficient conduct of business, .the <br />Authority desires to revise its procedure regarding the execution of documents and duties of its <br />officers. <br />NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment Authority as <br />follows: <br />The President shall preside at all meetings of the Authority, except as otherwise <br />authorized by resolution of the Authority, and shall exercise general supervision over the <br />administration of the Authority, including the execution of resolutions, contracts, and <br />agreements, the appointment of committees and representatives, the determination of <br />points of order and procedure, -the signing of all official documents, and perform such <br />other duties are ordered by the Authority. At each meeting, the President shall submit <br />such recommendation and information has he or she may consider proper concerning the <br />business affairs and policies of the Authority. <br />2. The Vice President shall perform the duties of the President or Secretary in the absence <br />of the President or Secretary; and in the case of the resignation or death of the President, <br />s <br />
