15 <br />BID PROPOSAL REQUIREMENTS AND CONFORMITY <br />12.0Indemnity <br />ASAP shall indemnify and hold harmless, the City, its officers, employees, including any agency <br />department, or commission of the City for any and all suits or actions brought against the City on <br />account of any loss, injury or damage sustained or claimed to have been sustained by anyone in <br />connection with or arising out of the performance of this contract by ASAP Towing or any of its agents, <br />employees, or independent contractors. <br />13.0 Insurance and Liability Coverage <br />• ASAP Towing holds indemnity and liability insurance under the Korson, Inc., the parent <br />company, of ASAP Towing. Liability insurance covers up to $1,000.000.00 and is held by <br />Arrowhead — certificate #437868169, policy #CP01640181-03. <br />• Copy of Insurance for complete coverage and underwriter information — attachment 20-21 <br />14.0 Maintenance of Vehicles <br />ASAP Towing agrees to handle all removals authorized by the city with the upmost respect. All <br />personal property and components within the vehicle shall be kept intact. Vehicles will be returned to <br />the owners in substantially the same conditions as they existed before being towed. <br />15.0 Terms and Termination <br />ASAP Towing agrees to the term and termination outlines. The company agrees to work with the City <br />of South Bend Police Department for the period of three (3) years and that one (1) year term <br />thereafter, upon the mutual written agreement of the City and company. <br />ASAP understands and will abide by the RFP outlines for the termination of the contract, on the part of <br />the company, to address the City in writing and provide notice of one hundred twenty (120) days so <br />provisions may be made on the part of the City to replace ASAP Towing. <br />16.0 Costs <br />• Please see cost break down — page 7 and 8 <br />
