Aj <br />mescllcmiails ]rnc. <br />BID ADDENDUM <br />1. The chlorine Producers have declared Force Majeure a combined eleven times since 2021. <br />Chlorine supply remains on strict allocation. In September 2022, all chlorine shipments in the <br />nation were halted for a week, and were behind schedule for several more, due to the threat of a rail <br />strike. <br />JCl has no control over raw material supply or its transportation, and we must ensure that we are <br />not penalized should we be rendered unable to deliver by any disrupting event beyond our control. <br />Therefore, JCI must respectfully insist on including the following Force Majeure clause, or one of <br />your choosing that is approved by L; as a term of our bid and any related contract that may be <br />issued. <br />FORCE MAJEURE: JCI Jones Chemicals shall not be responsible for damages or delays <br />caused by Force Majeure nor other events beyond its control and which could not <br />reasonably have been anticipated or prevented. For purposes of this Agreement, <br />Force Majeure includes, but is not limited to, adverse weather conditions, floods, <br />epidemics, war, riot, strifes, lockouts, and other industrial disturbances; unknown <br />site conditions, accidents, sabotage, fire, and acts of God. <br />Please note that Force Majeure is of no relation to pricing- it is super related only. JCI's pricing and <br />price terms will always remain as -bid regardless of Force Majeure status. <br />2.
