This Agreement may be terminated by either Pasty, for a material preach of the Agreement, by delivery of a written notice to the other Party identifying the alleged bleach and providing no less than 30 days to cure the same. Either Party may terminate for convenience, with or without cause, upon providing the other Party with thirty (30) days' prior written notice. Upon the termination of this Agreement, the City shall allow the Licensee access to and use of its right of ways for the purpose of removing its devices. The Licensee shall have no less than thirty (30) days to do the same. Compliance with The Licensee, at its sole cost and expense, shall be responsible for complying with all applicable federal, state and focal laws., regulations and rules. Amendment This Agreement may only be amended by the mutual written agreement of the Parties. Limitations of Liability NEITHER PARTY SHALL BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR OTHER INDIRECT DAMAGES ARISING FROM THIS AGREEMENT. Governing Later This Agreement and all makers concerningits interpretation, performance, or enforcement will be govemed in accordance with the laws of the State of Indiana. Any litigation arising out of this Agreement or the reaationship of the Parties hereto shall be brought in a court of competent jurisdiction within St. Joseph County, Indiana. Severabili In the event any of the provisions of this Agreement shall be held to be invalid by any court of competent jurisdiction, the same shall be deemed servahle, and as never having been contained herein, and this Agreement shall thin be construed and enforced in accordance with the remaining provisions hereof. Notice Any notice required or permitted hereunder will be deemed effective when sent by electronic mail, or by certified mail, registered mail, or a signature confirmation service provided by the United States Postal Service, postage prepaid, or when sent by an overnight carries.
