2. Staff Support will be provided for specific or ongoing projects of UEA, where the <br />performance of staff support duties by City employees, in the opinion and discretion <br />of the Executive Director of the Department of Community Investment, directly <br />relates to carrying out neighborhood, redevelopment, and/ or economic development <br />and/ or community development plans of the City. <br />3. The City and UEA mutually acknowledge and agree to fulfill all responsibilities to <br />which they are or may subject under Title 1 of the Housing and Community <br />Development Act of 1974 (42 U.S.C. 5301 et. seq. as amended), and the conditions <br />imposed under Title VI of the Civil Rights Act of 1964, as amended providing that no <br />person shall, on the grounds of race, age, sex, color, religion or national origin, be <br />excluded from participation in, be denied the benefits of, or be subjected to <br />discrimination in the undertaking and carrying out of any federally assisted projects, <br />and the regulations of the Department of Housing and Urban Development <br />effectuating that title. <br />4. The term of this Agreement shall be from January 1, 2022 to and including December <br />31, 2024. However, this Agreement can be terminated by thirty (30) days' prior <br />written notice delivered by the terminating party to the offices of the other party. <br />5. The City and UEA agree that no City employee performing Staff Support shall have <br />the authority to bind or commit UEA to any agreement or action unless so authorized <br />by resolution of the UEA board of directors or executive committee, provided that <br />nothing in this section prohibits such individuals providing Staff Support from <br />carrying on preliminary negotiations when such negotiations have been generally <br />authorized by the UEA board or executive Committee. <br />Signature Page Follows <br />
