REAL ESTATE PURCHASE AGREEMENT <br />This Real Estate Purchase Agreement (this “Agreement”) is made effective on the 27th day of <br />September, 2022 (the “Contract Date”), by and between South Bend Community School <br />Corporation, an Indiana public school corporation (“Seller”) and the City of South Bend, Indiana, <br />a municipal corporation, acting by and through the South Bend, Indiana Board of Public Works <br />(“Buyer”) (each a “Party” and together the “Parties”). <br />RECITALS <br />A.Seller owns certain real property located in South Bend, Indiana, commonly known <br />as parcel number 71-08-12-158-012.000-026 and more particularly described in attached Exhibit <br />A (the “Property”). <br />B.Seller represents that the Property has not been used for classroom instruction and <br />does not exceed two hundred thousand (200,000) gross square feet in area. <br />C.Seller desires to sell and Buyer desires to purchase the Property under the terms and <br />conditions set forth herein. <br />D.Seller has passed a resolution of intent to sell the Property and conducted a public <br />hearing pursuant to Indiana Code § 36-1-11. <br />E.The Property has not been used for classroom instruction and does not exceed two <br />hundred thousand (200,000) gross square feet in area. <br />F.Seller and Buyer have adopted substantially similar resolutions authorizing the sale <br />and purchase on the terms and conditions set forth in this Agreement pursuant to Indiana Code § <br />36-1-11-8 and as allowed under §20-26-5-4(a)(6) and 20-26-7-1. <br />THEREFORE, in consideration of the mutual covenants and promises in this Agreement <br />and other good and valuable consideration, the receipt of which is hereby acknowledged, Buyer <br />and Seller agree as follows: <br />1.RECITALS <br />The recitals above are hereby incorporated into this Agreement by reference. <br />2.OFFER AND ACCEPTANCE <br />A copy of this Agreement, signed by Seller constitutes Seller’s offer to sell the Property and once <br />signed by Buyer, constitutes Buyer’s offer to purchase the Property on the terms stated in this <br />Agreement. A copy signed by Buyer shall be delivered to Seller, in care of the following <br />representative (“Seller’s Representative”): <br />Kareemah Fowler
