1 <br />FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT <br />This First Amendment to Professional Services Agreement (this “First Amendment”) is <br />dated the __22__ day of ___July___ 2022, by and between the City of South Bend, Indiana, an <br />Indiana municipal corporation, acting by and through its Board of Public Works (the “Owner”), <br />and Jones Petrie Rafinski Corporation (“Engineer”) (each a “Party” and collectively the “Parties”). <br />RECITALS <br />A.The Owner and the Engineer entered into a Professional Services Agreement dated <br />effective September 14, 2021 (the “Services Agreement”), for the provision of Services to the City, <br />which are more specifically defined in the Services Agreement, attached hereto as Exhibit A. <br />B.The Owner and the Engineer wish to amend the Services Agreement to increase the <br />scope of Services, extend the contract period, and clarify the fee service schedule related to the <br />performance of the Services. <br />NOW, THEREFORE, in consideration of the mutual promises and obligations in this First <br />Amendment and the Services Agreement, the adequacy of which consideration is hereby <br />acknowledged, the Parties agree as follows: <br />1.The language following “121-065 DTSB Façade Grants (“Project”)” on page 1 of <br />the Services Agreement shall be deleted in its entirety and replaced with the <br />following: <br />Provide Engineering and Architecture professional services as <br />needed in support of the 2021 DTSB Façade Activation Grants and <br />2022 Vibrant Places Grant. Duties include, but are not limited to, <br />project management and coordination with the Grant winners, <br />verification of adherence to local, state, and federal regulations by <br />Grant winners, preparation of basic architectural and site design <br />services, such as conceptual drawings and recommendations on <br />materials, and clarifying construction-related questions during <br />installation of Grant winner projects. <br />If detailed and completed architectural site design services, such as <br />full construction sets are required, the Engineer will prepare separate <br />contracts between the business and the Engineer. Engineer will <br />furnish services in addition to those set forth herein if authorized by <br />the City, or if required because of changes in the project. <br />2. Subsection B. of Section 1.01 of the Services Agreement shall be deleted in its <br />entirety and replaced with the following: <br />B.Engineer shall complete its services within a reasonable time, or <br />within the following specific time period: December 31, 2022.
