Page 1 of 8 <br />Data Sharing Agreement <br />Between BlueConduit and <br />the City of South Bend, Indiana <br />This Data Sharing Agreement (“Agreement”) is entered into by and between Abernethy Schwartz <br />Partners LLC d/b/a BlueConduit (“BlueConduit”) and the City of South Bend, Indiana, an <br />Indiana municipal corporation, acting by and through the City of South Bend, Indiana Board of <br />Public Works (“City”), (each a “Party” and collectively referred to as the “Parties). In consideration <br />of the mutual understandings and covenants set forth herein, the Parties agree as follows: <br />I.PURPOSE <br />BlueConduit and the City desire to enter into this Agreement in order to share data regarding <br />lead service line inventory and related information. Data sharing is necessary to provide and <br />improve services and resources needed to meet citizen needs, to achieve continuous <br />improvement across programs, and to make informed public policy decisions. This <br />Agreement will enable the sharing of data and define the terms and conditions governing the <br />sharing, maintenance, use, secure storage, and disclosure of confidential data among <br />agencies. This Agreement provides authorization for the use of these confidential data in the <br />manner detailed herein. <br />II.TERM <br />This Agreement is effective beginning on the signature date of the last signing Party through <br />such date as either Party desires to terminate the Agreement, as set forth in the Termination <br />section of this Agreement. <br />III.DEFINITIONS <br />A.Authorized user means a recipient’s employees, agents, assigns, representatives, <br />independent contractors, or other persons or entities authorized by the data recipient to <br />access, use or disclose information through this agreement. <br />B.Confidential information means information that is protected from public disclosure by <br />law or is designated by the disclosing Party as confidential in writing or, if disclosed <br />orally, is identified as confidential at the time of disclosure. Examples of confidential <br />information are social security numbers and healthcare information that is identifiable to <br />a specific person. <br />C.Data storage means electronic media with information recorded on it, such as <br />CDs/DVDs, computers, and similar devices. <br />D.Data transmission means the process of transferring information across a network from a <br />sender (or source), to one or more destinations. <br />E.Direct identifier Direct identifiers in research data or records include names; postal <br />address information (other than town or city, state, and zip code); telephone numbers, <br />fax numbers, email addresses; social security numbers; medical record numbers; health <br />plan beneficiary numbers; account numbers; certificate/license numbers/ vehicle <br />identifiers and serial numbers, including license plate numbers; device identifiers and <br />serial numbers; web universal resource locators (URLs); internet protocol (IP) address
