,x r at • ARTICLE I. Definitions Section 1.01. The terms defined in this Article I shall, for all purposes of this Agreement, and any agreement supplemental hereto, have the meanings herein specified, unless the context otherwise requires: (a) "Agreement" or "this Agreement" means this instrument, either as originally executed or as it may from time to time be supplemented, modified or amended ;:;,,: by any supplemental agreement entered into pursuant to the provisions of-this: Agreement. (b) "Authority" means the South Bend Redevelopment Authority, a body corporate and politic, or any successor entity. (c) "Bond' or "Bonds" (unless the context shall otherwise require) means any Bond or Bonds, or all the Bonds, as the case may be, authenticated and delivered under this Agreement. (d) "Bondholder," "holder," "owner" and "registered owner" means the registered owner of a Bond. • (e) "Code" means the Internal Revenue Code of 1986, as amended. (f) "Commission" means the South Bend Redevelopment Commission, or if said commission shall be abolished, the commission, board, body or agency succeeding to the principal functions thereof. (g) "Cost of Issuance" shall mean any and all costs and expenses relating to the issuance, sale and delivery of the Bonds, including but not limited to, premiums for municipal bond insurance, all fees and expenses of legal counsel, financial feasibility or other consultants, trustees, underwriters and accountants, the preparation and printing of the Agreement, the preliminary and final official statement and such Bonds. (h) "Expense Fund' means the Expense Fund created and established by Section 3.03. (i) "Government Obligations" means bonds, notes, certificates of indebtedness, treasury bills or other securities constituting direct obligations of, or obligations the timely payment of the principal of and the interest on which are fully and unconditionally guaranteed by, the United States of America or any agency or instrumentality thereof. • ::ODMA\PCDOCS\SBDOCSI\24203\2 -3-
